The Board of Directors at Girls Inc. of Greater Miami plays a critical role in overseeing the organization’s strategic direction, governance, and overall accountability. We are committed to upholding our mission to inspire all girls to be strong, smart, and bold. Our board members are champions of our values and are dedicated to ensuring the long-term sustainability of our programs and services.
General Responsibilities
Familiarize yourself with, and actively support and promote the mission, vision, and core values of Girls Inc. of Greater Miami.
Attend all monthly meetings
Board members must attend all monthly meetings (in person at least once per quarter)
Virtual attendance is otherwise permitted
More than 2 missed meetings could result in removal from the board
Stay informed about the organization's programs, services, and accomplishments.
Represent Girls Inc. of Greater Miami at relevant community events and conferences.
Conduct at least one site visit annually
Fiduciary Responsibilities
Understand and comply with all applicable laws, regulations, and ethical standards.
Exercise due diligence and care in overseeing the organization's financial management.
Ensure the organization maintains sound financial practices and accountability.
Support and review the annual budget and financial reports.
Contribute to the development and implementation of strategic plans and policies.
Evaluate the effectiveness of the organization in achieving its mission and goals.
Participate in the selection, evaluation, and support of the Executive Director.
Monitor and assess the organization's overall performance.
Fundraising & Resources Development
Pay required annual dues in a timely manner
Actively participate in fundraising efforts and contribute to the organization's resource development goals. (Fund Development committee to outline how the Board participates
Support and participate in donor cultivation and stewardship activities. (Write thank you notes, make personal phone calls)
Committee Participation
Serve on one or more Board committees, as assigned or as determined by interest and expertise.
Actively participate in committee meetings and carry out the committee's annual plan.
Report committee activities and recommendations to the full Board.
Leads the board and ensures effective governance and strategic leadership.
Ensure the organization adheres to its mission and vision.
Monitor and evaluate the organization’s progress toward its goals
Oversee the work of board committees, ensuring they are aligned with the organization’s goals.
Prepare the agenda in collaboration with the Executive Director/CEO.
Preside over board meetings, ensuring they are efficient and effective
Relay relevant information to the board within 24 - 48 hours
Serve as the primary liaison between the board and the Executive Director/CEO.
Guide the board and organization through crises and significant challenges.
Make critical decisions in collaboration with the Executive Director/CEO and the board.
Ensure there is a succession plan in place for key leadership positions, including the board chair and Executive Director/CEO.
Stay updated with the Girls Inc. National
Works closely with the Executive Director, finance committee, and board members to oversee financial policies and procedures, providing crucial financial oversight and guidance.
Oversee the annual budget preparation in collaboration with the Executive Director and finance committee.
Present financial reports and key financial metrics to the board at regular meetings.
Work with the Executive Director to prepare and submit all required financial filings, including tax returns and grant reports.
Lead the development of the organization’s annual budget, ensuring alignment with strategic goals and priorities.
Provide financial analysis and forecasting to support strategic planning and decision-making.
Monitor budget performance and recommend adjustments as needed.
Collaborate with the board and Executive Director to develop and implement financial strategies that support fundraising and resource development.
Participate in fundraising planning and activities to ensure financial goals are met.
Coordinate the annual audit process, working with external auditors and the finance committee.
Review audit findings and implement recommendations to improve financial practices.
Ensure transparency and accountability in financial reporting.
Records and shares the minutes with the board 24-48 hours after the meeting. The Secretary also captures actions assigned to the various Committee Chairs post-meeting.

Collaborate with the CEO for strategic planning and decision-making.
Run board meetings, record minutes and actions
Exercises some or all powers of the board between regularly scheduled meetings.
Serves as a sounding board for management on emerging issues, problems, and initiatives.
Confers with the staff leader to share key accomplishments, upcoming plans, and any challenges.
Leads the annual evaluation of GIGM’s most senior staff leader.
Provides oversight to other committees to ensure that each is fulfilling its responsibilities and meeting its goals.
Provides input into the agenda for each board meeting.
Monitor and ensure compliance with National and grant requirements, adherence to meeting requirements as per bylaws and legal regulations
Develop mitigation approaches as necessary to address gaps.
Design compliance programs to satisfy conditional grants.
Evaluate the effectiveness of Board members
Identify and recruit new board members, oversee their orientation and training, and ensure ongoing education and development opportunities for all board members.
Oversee adherence to board policies and procedures, ensuring compliance with the organization’s bylaws and relevant regulations, and recommending updates to governance documents as needed.
Develop and maintain a succession plan for key board positions, ensuring a smooth transition of leadership within the board.
Identify gaps in Governance and suggest solutions.
Manage budget compliance, monitor spending, raising issues with the Treasurer & CEO
Administer the organization’s budget.
Monitor and identify potential shortfalls and advise mitigation opportunities.
Lead the development and implementation of the annual budget, ensuring alignment with the organization’s strategic goals.
Oversee financial planning to support long-term sustainability.
Monitor the organization’s financial performance, ensuring accurate and timely financial reporting to the board. Review financial statements, budgets, and forecasts regularly.
Recommend updates to financial policies as needed.
Ensure proper allocation and tracking of funds raised through grants, donations, and other sources.
Coordinate the annual audit process, working with external auditors and the finance committee.
Ensure the implementation of internal controls to safeguard the organization’s assets.
Identify and mitigate financial risks, ensuring the organization’s financial stability and integrity. Monitor and report on financial risks to the board.
Make key introductions, develop government relations, grant identifying and writing, develop new fund-raising strategies
Leverage and expand personal and professional networks to reach new funding sources.
Identify key government and school board advocates and introduce to the CEO/Director of Development
Ensure fundraising efforts meet or exceed the fundraising target set out in the annual budget
Oversee fundraising of the organization and in particular, of the Board.
Collaborate with staff to establish a fundraising plan that incorporates a series of appropriate vehicles such as special events, direct mail, etc
Coordinate with the Events Committee to execute new fundraising events
Lead certain types of outreach efforts, such as chairing an event, hosting fundraising parties, etc.
Ensure all board members participate in fundraising.
Promote the growth and development of InspireHer
Planning for events including but not limited to Gala, Fashion Brunch, Give Miami Day, and Women’s Panel
Create an annual calendar of signature events
Plan and execute events
Work with the Fund Development Committee to create and launch new fundraising events
Assemble and oversee event committees
Create event budgets in alignment with the organizational budget
Ensure staying within budget
Document event expenses for each event
Report on planning progress and event attendance
Market & promote events
Evaluate event outcomes
Report the progress of each event
