By clicking applying and signing up as a content creator on Chilling, Inc. (“Chilling”), you (“Contributor”) agree to the following terms:
1.1 Content Contribution: Contributor agrees to provide original video or audio content (“Content”) to Chilling for distribution on its platform. 1.2 Non-Exclusive License: Contributor grants Chilling a non-exclusive, worldwide license to distribute, market, and promote the Content through its platform and associated channels.
2.1 Revenue Sharing: Contributor will receive 50% of net revenue generated from their Content. Net revenue refers to revenue received by Chilling after platform fees, taxes, or other applicable deductions. 2.2 Payment Terms:
Payments will be made 45 days after the close of each month if Contributor’s earnings meet the $100 minimum payout threshold.
Earnings below the threshold will roll over to the following months until the threshold is reached.
Payments will be accompanied by a revenue summary report.
3.1 Originality and Rights: Contributor represents and warrants that:
All Content is original, and Contributor has the rights and permissions to distribute it.
The Content does not infringe on any third-party intellectual property rights. 3.2 Liability: Contributor assumes full responsibility for any copyright claims or legal disputes and agrees to indemnify Chilling against any related claims. 3.3 Promotion: While not required, regular promotion of Chilling by the Contributor is encouraged to increase visibility and revenue.
4.1 Termination: Either party may terminate this Agreement with 30 days’ written notice. Accrued revenue rights prior to termination remain unaffected. 4.2 Content Withdrawal: Contributor may request to remove specific Content with 30 days’ notice, provided any outstanding revenue share obligations are fulfilled.
Both parties agree to maintain confidentiality regarding all non-public information, including revenue reports and platform performance metrics.
6.1 Independent Contractor: Contributor is an independent contractor, not an employee, agent, or partner of Chilling. 6.2 Governing Law: This Agreement is governed by the laws of North Carolina. 6.3 Modifications: Chilling may modify these terms with notice, and continued use of the platform constitutes acceptance of any changes.
