Exhibit A
Responsibilities of Franchisee and Franchisor
1. Franchisee will accept all leads from AgingChoices as quickly as possible, but in no event in a timeframe greater than 12 hours.
2. Franchisee will enter every lead regardless of outcome in ALL-IN. Franchisee will identify the referral source as a Corporate Lead with the Secondary Lead Category identified as AgingChoices.
3. Franchisee will advise both AgingChoices and Assisted Living Locators (AgingChoicesHQ@assistedlivinglocators.com) of any instance in which the lead cannot be accepted and processed.
a. In the event that AgingChoices incorrectly directs a lead to a franchise office, and the franchisee identifies the misdirection immediately, the franchisee will not reject the lead, but will deliver the lead to the appropriate franchisee office and notify AgingChoices of the “lead transfer”. “Lead Transfers” will not be subject to Assisted Living Locators split fee placement rules, and will be wholly owned, for the purposes of this agreement, by the receiving franchisee.
4. Franchisee will make every effort to contact the lead within 1 business day, using reasonable judgement and using multiple contact methods, if needed.
5. Franchisee will update AgingChoices upon request (by either phone or email) with the status of the lead until such time as an automated interface is established between AgingChoice’s platform and ALL-IN. In general, the status options will be:
a. Lead received;
b. Attempting to Contact
c. Contact Made
d. Intake Completed
e. Exploring Options/Touring
f. Deposit Made
g. Successfully Placed (requires notification to both Aging Choices and AgingChoicesHQ@assistedlivinglocators.com of the client placed, date of placement and the amount of invoice.
h. Closed without placement (includes reason: death, unable to make contact, found place on own, budget, level of care).
i. Moved to Long Term (greater than 60 days out)
6. Franchisee will also update the ALL-IN platform with the status of the lead. Franchiisee responsibility to update AgingChoices directly on lead status (Per #4 above) will end with the automation of the interface between AgingChoices and ALL-IN.
7. Placements will occur consistent with best practices established by Assisted Living Locators and already in use by Franchisee.
8. Invoicing and payments for placements for leads shall be consistent with the following rules:
a. Franchisee identifies and places client in a property. Franchisee invoices property based on Franchisee contract terms. Franchisee completes Royalty Report as normal.
b. Franchisee will be invoiced by Assisted Living Locators Corporate for AgingChoices portion of the placement fee along with the Corporate fees as specified below:
i. Placement and Respite invoices of less than $1000 will not have a corporate lead fee, and will be subject to Royalty fee payments. This revenue will be split 50/50 with AgingChoices and the royalty fee will be applied on the retained 50% of the revenue.
ii. Placement and Respite invoices from $1001 to $1666 will be charged a corporate lead fee of 30% of the invoiced amount. This placement will not be subject to Royalty payments. The remaining balance, after the lead fee is subtracted, is split 50/50 with AgingChoices.
iii. All placements about $1667 will be subject to a corporate lead flat fee of $500. The remaining balance, after subtracting the lead fee, is split 50/50 with AgingChoices.
iv. No home care invoice will result in a split fee calculation or a corporate lead fee, and will be subject to Royalty fee payments.
v. Split-Fee placements will not be subject to a corporate lead fee but will be subject to review by Corporate. If you are the placing franchisee, you must send an email to AgingChoicesHQ@assistedlivinglocators.com , cc the billing franchisee, and ask for instructions on the creation of the split fee invoice in this instance.
c. Fees will be invoiced and collected at the same time and in the same manner as Royalty fees, however these fees will be collected via a separate invoice.
d. NOTE: There will be a delay between when automated ALL-IN tools will be able to properly display royalty fees due and the start of this program. Corporate finance will be manually calculating the royalty fee payments due and will exclude all AgingChoices placements of greater than $1000 from the royalty fee calculation.
9. Referred leads to properties by Franchisees remain in effect consistent with state or federal law and contractual agreements between the Franchisee and their properties, but for purposes of settlements between AgingChoices and the Franchisee, the settlement terms above are in effect for 365 days from the date of referral to the Franchisee.
10. Franchisee is not allowed to make public announcements of this agreement without the express approval of the Franchisor.
11. Franchisor will monitor performance of individual franchisees, the franchise systems as whole and AgingChoices to ensure that the franchise system maximizes the lead generation opportunity under this agreement.
