WELLESBOURNE LOCAL HISTORY GROUP

Constitution

1.      Name. Wellesbourne Local History Group.

2.      Aims.  To collect, record and maintain the histories of Wellesbourne and its environs.

Achieved by:

a)     Lectures, discussions, research groups.

b)     Maintaining a library of printed and other works for the use of the group.

c)     Preserving, transcribing and publishing original source materials, documents and photographs in multi-media formats.

d)     Collaborating with similar groups and with established bodies such as churches, libraries, record offices and educational institutions.

e)      Other activities as appropriate.

3.      Membership.  By subscription and is open to anyone who adopts the  aims of the group.

4.      Subscriptions are determined by the committee and payable  annually.

5.      Financial Year is 1St January to 31st December.

6.      Meetings.

a)      The Annual General Meeting will be convened within five months after the Financial Year End and Notice will be given to all members not less than 21 days prior.

b)      The committee will convene at least three meetings a year including the A.G.M.

c)      At least 8 Members may call an Extraordinary Meeting by  giving written notice to the Secretary and the meeting must take place within 56 days of the written notice being            received.

d)      A Quorum will constitute at least 4 Committee Members.  

7.      Committee and Officers. 

a)      The Committee will consist of no more than eight officers and will include a Chairman, Secretary and Treasurer who will be elected at an A.G.M.

b)      Casual vacancies will be filled by the Committee.

8.      Auditors. The Committee will appoint an independent Auditor who will provide an Annual Statement to be presented at the A.G.M. Interim audits may also be required by the                           Committee.

9.      Finance The Treasurer will be responsible for the bank account(s) to be opened in the name of Wellesbourne Local History Group and such account(s) may be conducted with internet banking.

a)      All finances must be used in accordance with the Aims of  the group.

b)     Any accounts set up must be in the name of the group.

c)      Any cheques must be signed by at least two of three nominated signatories.

d)     A financial record of funds is to be maintained by the Treasurer and available for members to inspect and must be independently checked before and available at the AGM.

e)      Upon winding up of the group any surplus funds after all outstanding creditors have been paid in full are to be transferred to a registered charity nominated by the Committee, or to another body the Committee deems to have similar Aims.

10.   Copyright. Any original source material, books, documents and photographs belonging to or created by Wellesbourne History Group must not be reproduced without permission.

11.  Amendments. Amendments to this Constitution may only be made at  an Annual General Meeting, or at an Extraordinary Meeting. Notice of the proposed amendment must be lodged in writing with the Secretary at least 56 days before the date of the meeting. At least three quarters of members attending must vote in favour for any amendment to be passed.
