Club Constitution

Air NZ Ski Club Constitution - 2017NAME:  The name of the club shall be the AIR NEW ZEALAND SKI CLUB herinafter referred to as “the club”.OBJECTS:1 To promote snow sports and social activities.2 That be it accepted that the club is established primarily for the benefit and convenience of its members.3 To foster a relationship with the company for their co-operative support and the wellbeing of the membership.4 To foster relationships with kindred organisations.MEMBERSHIP1. Full Membership: Any member who is a permanent employee of the company and its subsidiaries. Any member who leaves the company with retiree status. Any member who leaves the company having completed not less than 5 years’ service with the company, who has been made redundant or resigned is entitled to full membership.2. Associate Membership: Partners and family of full and retired members will be associate members. Friends & others only at the discretion & approval of all the committee members. Children aged 18 years and under not gainfully employed, no fee/charge.3. Life membership: A person who has given long and meritorious service to the club may be recommended by the committee to an Annual General Meeting of the club for life membership. A maximum of 6 life members in the club and only 1 nomination every 2 years.4. Full Members i.e. members also belonging to the Air New Zealand Sports and Social Club.TERMINATION OF MEMBERSHIP.1 By resignation.2 By expulsion. Members who misconduct themselves, bring discredit to the club or commit offences under this constitution render themselves liable to expulsion on the majority decision of the committee. Members shall have the right to appear at and be heard at any meeting considering a complaint against them.3 Any member expelled shall have the right of appeal under these rules.4 By default. By non-payment of subscription a member may be struck off the register of members.SUBSCRIPTIONS.1 The annual subscription shall from time to time be determined by the Committee at a meeting called for that purpose, prior to the end of each financial year.2 The subscription year of the club shall be the financial year and subscriptions shall become payable on that date. For voting purposes only, members remain financial until completion of the AGM to allow legal voting and nominations.COMMITTEE OF MANAGEMENT:The general business, management and control of the club shall be conducted by a committee comprising of the following officers:1 President.2 Vice President.3 Treasurer.4 Secretary5 Minimum of five (5) Committee members.A. The election of officers shall be held at the AGM or special general meeting called for that purpose.B. Nominations for the committee shall be made in writing and deposited with the Secretary 7 days prior to the meeting. The nominee shall be a financial member of the club and the proposer and seconder shall be financial members of the club.C. If written nominations are short on any position, then nominations shall be taken from the floor at the AGM or special meeting only to fill the remaining vacancies.D. Fifty-one (51) % of the committee must be full members or Air NZ retirees.E. A member of the committee shall vacate from office if they are given written notice to resign by two thirds of committee members being present at such meeting.F. When possible the committee should meet within two (2) weeks of the AGM at which it was elected and thereafter, as and when the clubs activities shall necessitate.TREASURERThe Treasurer shall pay into the bank for the credit of the club all monies received and shall furnish the committee with a detailed of receipts and payments as appropriate.A copy of the Treasurer’s statement of accounts shall be forwarded to the Air New Zealand Sports and Social Club with a list of:1.Air NZ Ski Club financial members that are also members of the Air NZ Sports and Social Club and2.Monies raised by the club in fund raising.ACCOUNTSThe committee shall cause to keep true accounts:1 Of all sums of money received and expended by the club and the matters in respect of such receipt and expenditure takes place.2 The financial year of the club shall begin on the first day of April in each year and shall expire on the last day of March in each year.3 The club as necessary shall submit or meet legal requirements under applicable statutes.4 All payments of all monies on behalf of the club shall be made in accordance with customary banking practices, signed by two (2) officers of the club.5 Signatory to cheques etc. are, Treasurer and two (2) nominated Committee members. With two (2) of the three (3) to sign.SECRETARYThe club shall elect a Secretary whose duties shall be to attend to the administrative duties of the club; to take minutes of committee and general meetings and generally conform to such regulations as shall from time to time be made by the committee. Such minutes shall be read and confirmed at the following committee meeting.AUDITORThe Honorary Auditor may be a member of the club but shall not be a member of the Executive or the committee.The Auditor shall have the right to attend any meeting of the club at which the clubs’ financial affairs are under discussion.ANNUAL GENERAL MEETING• Where possible the AGM should be held not later than the first (1st) of May.• At least fourteen (14) days notice of any Annual, Special meeting shall be sent to each financial member of the club.• The President and Executive shall present a report of the club’s activities for the preceding year.VOTINGAt any General or Special meeting, every Full and Life member shall be entitled to be present and to give one vote and no more on every question provided however that in the case of equality of votes the President or his nominee of the meeting shall have a second or casting vote. Voting shall be on the voices in the first instance, provided however that the President or his Nominee on his own volition may and on the application of two members shall call for a show of hands.QUORUM1 At any committee meeting a combination of at least two (2) Executive and Two (2) committee members. These Committee members may also be executive officers. Thus 4 present may all be executive members of committee if necessary.2 At any AGM or Special meeting seven (7) members with at least two (2) Executive and two (2) committee members inclusive who are either full time or retirees of the Air New Zealand group.In the event of there being no quorum within half an hour after the time fixed for the meeting, the meeting shall stand adjourned and a new date to be fixed by the committee who shall give at least three (3) days notice. In the event of there being no quorum this time the meeting shall proceed as if there was a quorum and be duly recorded in the minutes.BOARD OF APPEAL1.A board of appeal shall consist of three (3) Full members of the committee.2.Any member desiring to appeal should give notice in writing to the Secretary within seven (7) days of the date of such suspension stating the grounds for appealing.3.The decision of the board of appeal shall be final.INTERPRETATIONIn the interpretation of this Constitution, the decision of the committee shall be final and binding.REVISION OF THE CONSTITUTIONThis constitution may be revised or amended by a resolution passed by a majority of the members for the time being entitled to be present and to vote at any General or special meeting of which notice specifying the intention to propose the resolution has been duly given according to this constitution.GENERALAll matters provided for in this Constitution shall, at all times, be dealt with in accordance with the clubs objectives as set out in the clause objects, hereof.WINDING UPIf the club is wound up, the surplus assets after all payments of all debts, costs and liabilities shall be disposed of for such purposes as may be determined in accordance with the Incorporated Societies Act 1908 or by resolution, but no distribution shall be made to any Member. Ideally the monies should go to the Air NZ Sports and Social Club and or a Charity or Charities relevant to the Air NZ Ski Club.This document approved at 2017.
