ACCEPTANCE OF TERMS
BY ACCESSING THE YD Exchange App SERVICE, YOU AGREE TO BOTH THE YD Exchange App®, INC. (“YD Exchange App”) TERMS OF USE AND THE YD Exchange App PRIVACY POLICY.
The services that YD Exchange App provides to you through its website, ph-yd.com, mobile application(s), and related services (collectively, the “YD Exchange App Service”) are subject to the following Terms of Use (“TOU”). YD Exchange App reserves the right to update these TOU at any time without notice to you. The most current version of these Terms of Use can be reviewed by clicking on the “Terms of Use” hypertext link located at the bottom of our web pages located at ph-yd.com/#/register /terms.
YD Exchange App shall have the right at any time to change or discontinue any aspect or feature of the YD Exchange App Service, including, but not limited to, content, access, or use.
The Services include access to financial services, such as trading and investment opportunities (“YD Exchange App Trading”), for users who meet certain qualifications. The YD Exchange App Trading services are provided by YD Trading, Ltd., an Antigua And Barbuda limited liability company (“YD”) and its affiliated companies. Users who opt to use YD Exchange App Trading are referred to and integrated with certain features and services offered by YD and YD US via the YD Exchange App platform. YD maintains separate terms of use and privacy policy on each of its websites, ph-yd.com respectively. You are strongly encouraged to visit YD’s websites, as applicable to you, and understand their terms of use and privacy policies before accessing the YD Exchange App Trading feature, as you will be required to agree to those terms prior to accessing the feature. For more information on how the YD Exchange App Service permits access by YD Exchange App users to YD’s services, read the section titled, “Links and Access to Third-Party and Affiliated Sites.”

Since 2021, YD Exchange App has taken a user-first approach and is committed to providing the best products, always innovating and optimizing to help in the advancement of the decentralized movement and our ecosystem. Our terms are designed to reflect this commitment and ethos.
SCOPE OF USE
These Terms of Use cover all use of the YD Exchange App Service while on YD Exchange App’s website, mobile application, or other form of access to the YD Exchange App Service, regardless of how the YD Exchange App Service is accessed, and regardless of which device is used for access. However, as noted previously, when using YD Exchange App Trading, the YD terms of service, not the YD Exchange App ones apply.
CONSENT TO ELECTRONIC SIGNATURE
YD Exchange App may, from time to time, ask you to accept this agreement, along with other online agreements and disclosures. By accessing and using the YD Exchange App Service, you will be providing your electronic signature that will affirm:
You understand and intend that these Terms of Use comprise a legally binding agreement and are equivalent to a signed, written contract; and You will use the YD Exchange App Service in a manner consistent with applicable laws and regulations, and in accordance with the terms and conditions of these Terms of Use and any other applicable rules, guidelines or other conditions that govern the use of a particular service or site.
NOTICES, COMMUNICATIONS, AND ELECTRONIC SIGNATURES
Because we will need to contact you from time to time to provide documents, notifications, and the like, you agree to keep your contact information up to date, and you consent to receive all communications from us using such contact information. Your contact information can be updated by logging into your account. You agree to waive all claims resulting from failure to receive communications because of changes in your contact information.
You hereby consent to receive communication from YD Exchange App by email. You can opt out of such communications by sending us an email at akiracanadxv@gmail.com, or by following the instructions in any email we send you.
LICENSE GRANT FROM YD Exchange App
YD Exchange App hereby grants you a single, revocable, non-exclusive, non-transferable, and limited license, personal to you, to access and use the YD Exchange App Service. This license grant is conditioned on your acceptance and adherence to these Terms of Use.
LICENSE GRANT TO YD Exchange App
Unless otherwise agreed upon by you and YD Exchange App, any communications or material of any kind that you e-mail, post, or otherwise transmit through the YD Exchange App Service, including data, questions, comments, or suggestions (your “Communications”) will be treated as non-confidential and non-proprietary. You hereby grant to YD Exchange App a license to reproduce, disclose, transmit, publish, broadcast, or post your Communications either on the YD Exchange App website or elsewhere with no liability or obligation to you. YD Exchange App is free to use any ideas, concepts, know-how, or techniques contained in your Communications for any purpose including, but not limited to, developing and marketing products using such information.
USE OF THE YD Exchange App SERVICE
You agree to use the YD Exchange App Service for lawful purposes only, and solely in a manner consistent with the intent of YD Exchange App as described in these Terms of Use.
You agree that you will not: (i) use any electronic communication feature of the YD Exchange App Service for any purpose that is unlawful, tortious, abusive, intrusive on another's privacy, harassing, libelous, defamatory, embarrassing, obscene, threatening or hateful; (ii) upload, post, reproduce or distribute any information, software or other material protected by copyright or any other intellectual property right (as well as rights of publicity and privacy) without first obtaining the permission of the owner of such rights; (iii) use the YD Exchange App Service for any commercial purpose not expressly approved by YD Exchange App in writing; (iv) use the YD Exchange App Service in connection with surveys, contests, pyramid schemes, chain letters, junk email, spamming, or any duplicative or unsolicited messages (commercial or otherwise), defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others, publish, post, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information.
You agree you will not upload, or otherwise make available, files that contain images, photographs, software, or other material protected by intellectual property laws, including, by way of example and not as limitation, copyright or trademark laws (or by rights of privacy or publicity) unless you own or control the rights thereto or have received all necessary consent to do the same, use any material or information, including images or photographs, which are made available through the YD Exchange App Service in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party, upload files that contain viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another’s computer or damage the property of another, advertise or offer to sell or buy any goods or services for any business purpose, falsify or delete any copyright management information such as author attributions, watermarks, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded, violate any code of conduct or other guidelines that may be applicable, harvest or otherwise collect information about others, including email addresses, violate any applicable laws or regulations, or create a false identity for the purpose of misleading others. You understand that any violation of these Terms of Use, including providing false or misleading information, can lead to your removal from the YD Exchange App Service, and YD Exchange App maintains sole discretion over whether to remove you for such violation.
You shall be solely liable for any damage resulting from any infringement of copyrights, proprietary rights, or any other harm resulting from such a submission. The foregoing provisions of this section are for the benefit of YD Exchange App, its subsidiaries, affiliates, licensors, and agents (which term includes but is not limited to YD Exchange App’s third-party service and content providers), and each shall have the right to assert and enforce such provisions directly or on its own behalf.
YD Exchange App reserves the right to terminate your access to the YD Exchange App Service at any time, without notice, for any reason whatsoever, and you agree that YD Exchange App will not be liable to you or to any third party for any termination, suspension, or modification to your account.
YD Exchange App reserves the right at all times to disclose any information it deems necessary to satisfy any applicable law, regulation, legal process or governmental request, and to edit, refuse to post or to remove any information or materials, in whole or in part, in its sole discretion. Materials uploaded to the YD Exchange App Service may be subject to posted limitations on usage, reproduction and/or dissemination; you are responsible for adhering to such limitations if you download the materials. Always use caution when giving out any personally identifiable information in any service. YD Exchange App does not control or endorse the third-party content, messages, or information found in the YD Exchange App Service. YD Exchange App disclaims any liability with regard to the YD Exchange App Service, and any actions resulting from your participation in the YD Exchange App Service. Managers and hosts are not authorized YD Exchange App spokespersons, and their views do not necessarily reflect those of YD Exchange App.
USER ACCOUNT, PASSWORD, AND SECURITY
You understand and acknowledge the risk that data, including e-mail, and other communications, along with personal data, may be accessed by unauthorized third parties when communicated in this way.
If you choose to create a user account with YD Exchange App, you agree to complete the registration process by providing YD Exchange App with current, complete, and accurate information as prompted by the applicable registration form. You will also choose a password and a username and/or provide your email address. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify YD Exchange App immediately of any unauthorized use of your account or any other breach of security. YOU WILL NOT HOLD YD Exchange App LIABLE FOR ANY LOSS THAT YOU MAY INCUR AS A RESULT OF ANY MISUSE OF YOUR LOGIN INFORMATION, WHETHER WITH OR WITHOUT YOUR KNOWLEDGE. You acknowledge that you may be held liable for losses incurred by YD Exchange App and/or another party due to someone else using your account or password. You may not use anyone else’s account at any time, without the permission of the account holder.
YOUR PORTFOLIO(S)
We recommend that you take steps to secure the confidentiality of your portfolio(s) on YD Exchange App and restrict access to your mobile device and computer. App and its affiliates reserve the right to suspend or terminate your portfolio(s) or remove content on the YD Exchange App Properties at its sole discretion. YD Exchange App users who are also YD Exchange App Trading users, please see notice below regarding Third Party and Affiliated Sites.
NO INVESTMENT ADVICE OR RECOMMENDATIONS; MARKET INFORMATION
We may make available to you certain financial information, including information that we obtain from our agents (“Market Information”). YD Exchange App makes this information available to you as a service for your convenience; YD Exchange App neither endorses nor approves such Market Information. YD Exchange App neither (1) guarantees the accuracy, timeliness, or completeness of Market Information, nor (2) warrants any results from your use or reliance on the Market Information. You agree that you use Market Information at your own risk.
The Market Information and any related content are for information, education, and entertainment purposes only. Although YD Exchange App may provide information relating to investment approaches and opportunities to buy or sell securities, you should not construe any Market Information, features, tools, or other content available through the YD Exchange App Service as legal, tax, investment, financial or other advice. You agree that neither YD Exchange App nor its agents will be liable to you in any way for the termination, interruption, delay, or inaccuracy of any Market Information. You agree that you will neither redistribute nor facilitate the redistribution of Market Information, nor will you provide access to Market Information to anyone who is not authorized by YD Exchange App to receive Market Information.

YOU EXPRESSLY AGREE THAT USE OF THE YD Exchange APP SERVICE IS AT YOUR SOLE RISK. NEITHER YD Exchange APP, ITS AFFILIATES NOR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, OWNERS, EMPLOYEES, OR LICENSORS, WILL BE LIABLE FOR ANY USE OR MISUSE OF THE YD Exchange APP SERVICE, WHETHER THAT USE IS BY YD Exchange APP, YOU, OR A THIRD PARTY. NEITHER YD Exchange APP NOR ITS AFFILIATES, NOR ANY OF THEIR RESPECTIVE EMPLOYEES, AGENTS, OR LICENSORS, WARRANT THAT THE YD Exchange APP SERVICE WILL BE UNINTERRUPTED OR ERROR FREE; NOR DO THEY MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE YD Exchange APP SERVICE, OR AS TO THE ACCURACY, RELIABILITY OR CONTENT OF ANY INFORMATION, SERVICE, MATERIALS, OR MERCHANDISE PROVIDED THROUGH THE YD Exchange APP SERVICE. YOU ACKNOWLEDGE THAT YD Exchange App IS NOT LIABLE FOR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS, AND THAT YOU ALONE ARE ASSUMING THE RISK OF INJURY FROM THE FOREGOING, TO THE FULLEST EXTENT OF THE LAW. IN NO EVENT WILL YD Exchange App, ITS AFFILIATES, ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, OWNERS, EMPLOYEES, AGENTS, LICENSORS OR ANY OTHER PERSON OR ENTITY INVOLVED IN CREATING, PRODUCING OR PROVIDING THE YD Exchange App SERVICE OR THE SOFTWARE, BE LIABLE FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE YD Exchange App SERVICE. IN ADDITION TO THE TERMS SET FORTH ABOVE, NEITHER YD Exchange App NOR ITS AFFILIATES, AGENTS, INFORMATION PROVIDERS, OR CONTENT PARTNERS, SHALL BE LIABLE REGARDLESS OF THE CAUSE OR DURATION, FOR ANY ERRORS, INACCURACIES, OMISSIONS, OR OTHER DEFECTS IN, OR UNTIMELINESS OR INAUTHENTICITY OF, THE INFORMATION CONTAINED WITHIN THE YD Exchange App SERVICE, OR FOR ANY DELAY OR INTERRUPTION IN THE TRANSMISSION THEREOF TO YOU, OR FOR ANY CLAIMS OR LOSSES ARISING THEREFROM OR OCCASIONED THEREBY. YD Exchange App RESERVES THE RIGHT TO MAKE CHANGES AND CORRECTIONS TO THE YD Exchange App SERVICE AND THESE TERMS OF USE AT ANY TIME, WITHOUT NOTICE. THE INFORMATION PROVIDED THROUGH THE YD Exchange App SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” YD Exchange App DOES NOT WARRANT, AND AFFIRMATIVELY DISCLAIMS, ANY AND ALL WARRANTIES REGARDING, THE ACCURACY, COMPLETENESS OR TIMELINESS OF INFORMATION, TEXT, GRAPHICS, LINKS OR OTHER ITEMS CONTAINED IN THE YD Exchange App SERVICE OR ON THE YD Exchange App WEBSITE. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE YD Exchange App SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER OR OTHER ELECTRONIC SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. OF LIABILITY
IN NO EVENT SHALL YD Exchange App BE LIABLE FOR ANY SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER, EVEN IF YOU OR THE RELEVANT PARTY HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, RESULTING FROM LOSS FROM YOUR: (I) INABILITY TO USE, (II) USE, AND/OR (III) MISUSE, DATA; NOR SHALL YD Exchange App BE LIABLE FOR ANY LOSS OF PROFITS, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE OR OTHER TORTIOUS ACTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE YD Exchange App SERVICE, DOCUMENTS, PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR INFORMATION AVAILABLE RELATED TO THE YD Exchange App SERVICE. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
IN NO EVENT WILL YD Exchange App OR ITS AGENTS, BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY TORT, CONTRACT OR ANY OTHER LIABILITY ARISING IN CONNECTION WITH THE USE OF THE YD Exchange App SERVICE, OR RELIANCE ON ANY INFORMATION OR SERVICES PROVIDED BY YD Exchange App. YD Exchange App AND AGENTS WILL UNDER NO
Because some states prohibit the limitation of liability for consequential or incidental damages, in such states the limitation of liability only with respect to consequential or incidental damages may not apply to you, and the respective liability of YD Exchange App and its agents, employees, distributors and agents is limited to the greatest extent allowable under applicable law in those states.
In the event that a court or arbitration panel, as the case may be, should hold that the limitations of liabilities or remedies available as set forth in this Agreement, or any portions thereof, are unenforceable for any reason, or that any of your remedies under these Terms of use fail, then you expressly agree that under no circumstances will the total, aggregate liability of YD Exchange App and its agents, employees, distributors, agents or affiliates, to you or any party claiming by or through you for any cause whatsoever, exceed $100 (U.S.), regardless of the form of action and whether in contract, statute, tort or otherwise.
LINKS AND ACCESS TO THIRD-PARTY AND AFFILIATED SITES
LINKS FOUND IN THE YD Exchange App SERVICE MAY LET YOU LEAVE THE YD Exchange App SERVICE TO ENTER OTHER SITES. YOU ACKNOWLEDGE THAT SUCH LINKED SITES ARE NOT UNDER THE CONTROL OF YD Exchange App, AND YD Exchange App IS NOT RESPONSIBLE FOR THE CONTENTS OF ANY LINKED SITE OR ANY LINK CONTAINED IN A LINKED SITE, OR ANY CHANGES OR UPDATES TO SUCH SITES. YD Exchange App IS NOT RESPONSIBLE FOR WEBCASTING OR ANY OTHER FORM OF TRANSMISSION RECEIVED FROM ANY LINKED SITE. YD Exchange App IS PROVIDING THESE LINKS TO YOU ONLY AS A CONVENIENCE, AND THE INCLUSION OF ANY LINK DOES NOT IMPLY ENDORSEMENT OF THE SITE BY YD Exchange App.
YD Exchange App does not offer trading services. However, due to the design of the YD Exchange App Service, some features, such as trading offered by YD,com and YD.us, may appear seamlessly integrated with the YD Exchange App Service for your convenience. For example, when you use the YD Exchange App Trading feature and click the “trade” button, you may be linked to a third-party or affiliated site (“Other Site”), such as the YD or the YD US website and services. When you first access the YD Exchange App Trading feature, you are leaving the YD Exchange App Service and entering the Other Site. As a result, you are no longer using the YD Exchange App Service, but rather using the service(s) of the Other Site. YD Exchange App is not responsible for any issues that you may have with the trading services.
You agree that once you leave the YD Exchange App Service and enter Other Sites, you are bound by the terms of use or terms of service as well as the privacy policy of the Other Sites. In no way is YD Exchange App responsible for the terms of use or privacy policy of other linked sites nor does YD Exchange App have any control or influence over the terms of Other Sites. It is your sole responsibility to read and understand the terms of use and privacy policy of Other Sites before accessing or continuing to use the services of Other Sites.
INDEMNIFICATION
You agree to defend, indemnify, and hold harmless YD Exchange App, its affiliates and their respective owners, directors, officers, employees, and agents from and against all Federal, State, and International, claims, demands, losses, costs, and/or expenses, including attorneys’ fees, arising out of the use of the YD App Service by you or by your account on the YD Exchange App Service.
TERMINATION
YD Exchange App shall have the right to immediately terminate your account in the event of any conduct by you that YD Exchange App, in its sole discretion, considers to be unacceptable, or in the event of any breach by you of these Terms of Use.
TRADEMARK NOTICE
The term YD Exchange App, along with any associated logos, are trademarks of YD Exchange App, Inc, all rights reserved. All other trademarks appearing on the YD Exchange App website or within the YD Exchange App Service are the property of their respective owners.
PRIVACY POLICY
To access the YD Exchange App Service, you must explicitly consent to our privacy and data security practices.
YD Exchange App users who are also YD Exchange App Trading users should carefully read the pertinent privacy policy of YD or YD US prior to creating a YD Exchange App Trading account. You will be provided the pertinent terms of use and privacy policy for each site prior to entering your email for such site. You must read and consent to the pertinent terms of use and privacy policy prior to entering your email address for such site.
YD Exchange App users cannot access the YD Exchange App Trading feature without prior review of the YD or YD US privacy policy; you must enter your own email address prior to opening an account on the YD or YD US site.
WHAT TYPES OF DATA ARE COLLECTED?
To ensure the best product for Users, Usage Data may be collected while Users are using the application.
Certain types of Usage Data may be freely provided by the User while using the application. For example, when a User manually inputs the details of their transactions, this data is then utilized to provide features such as total portfolio values and profit/loss over time.
Other types of Usage Data may be collected by the application automatically for the purposes of improving the product. For example, debugging information to help identify and address bugs may be compiled.
However, no personal information that could identify a User in any way is ever collected for accounts that do not create a user login. Any data collected is used solely for the purposes of providing the best service possible for the User.

Access to the Data within YD Exchange App is limited in usage to only when required for user benefiting functions, including for the following purposes:
CUSTOMER SUPPORT
Users may, from time to time, submit requests for modifications, deletions, or other types of changes to their portfolio data. In order to fulfill these requests, custom support representatives may (only with the User’s permission) access such data.
Data is also only processed following strict organizational procedures to ensure it is limited to the purpose indicated above.
WHERE IS DATA PROCESSED?
The Data is processed at YD Exchange App’s operating office and in any other place where the parties involved with the processing are located.
HOW LONG IS DATA RETAINED?
The Data is kept for the time necessary to provide services and features to the User. At any time, the User may request to have their data be suspended or removed. Upon first request, YD Exchange App will remove the data specified.
CHANGES TO THIS POLICY
We may revise this Privacy Policy from time to time. If we make a change to this policy that, in our sole discretion, is material, we will take steps to notify all users by a notice on the site. By continuing to access or use the Services after those changes become effective, you agree to be bound by the revised Privacy Policy.
MISCELLANEOUS
These Terms of Use constitute the entire agreement between each you and YD Exchange App concerning the subject matter hereof and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the subject matter hereof. Except to the extent applicable law provides otherwise, these Terms of Use and any access to or use of the YD Exchange App Service will be governed by the laws of the State of California, without regard to the conflict of laws rules thereof. All disputes of any nature related to these Terms of Use shall be determined by final and binding arbitration in Los Angeles County, California before a single arbitrator. The parties shall agree on the rules and procedures to be followed in the arbitration. If the parties are unable to agree on the rules and procedures to be followed within 15 days, the arbitration shall be administered by JAMS pursuant to its Streamlined Arbitration Rules and Procedures, and the arbitrator shall apply the laws applicable in the State of California (without regard to the conflict of laws rules thereof). Judgment on the arbitral award may be entered in any court having jurisdiction thereof. The foregoing arbitration provisions shall not preclude either party from seeking an injunction or other provisional remedies in aid of arbitration from a court of appropriate jurisdiction. The arbitrator shall, in the arbitral award, allocate all or part of the costs of the arbitration, including the fees of the arbitrator and reasonable attorneys’ fees of the prevailing party, for payment by the non-prevailing party, and shall determine the prevailing party for this purpose. You and YD Exchange App, further agree that (i) any claims brought by either party must be brought in such party’s individual capacity and not as a plaintiff or class member in any purported class or representative proceeding, and (ii) the arbitrator may not (x) consolidate more than one person’s claims, (y) otherwise preside over any form of a representative or class proceeding or (z) award class-wide relief.
