USER AGREEMENT ARTICLE 1- PARTIES
The user who uses the WORDLEY mobile application under the conditions specified in the contract, with the mutual rights and obligations regulated by this contract, is deemed to have accepted this agreement when he downloads the application to his phone and starts using it.
ARTICLE 2- DEFINITIONS The following definitions are the definitions to be referred to within the scope of this contract and will be used within the framework of the meanings described. User/Member: Refers to the persons who register to the application with the methods specified in this agreement and benefit from the products and services offered by the application within the conditions specified in this agreement. System Access Tools: User's account management page, user name providing access to the application, password, code, password, defined device, etc. Services: It refers to all the works and transactions set forth within the WORDLEY application in order to enable the users to perform the services defined in this contract and included in the 6th article of the contract. Communication Channels: Refers to communication channels such as instant notification, e-mail, sms, mms, telephone notification Personal information / Confidential Information: contact name / surname, address, phone number, device ID, e-mail address and any user-identifying information refers to all kinds of information Product: It refers to the in-app purchases of the users.
ARTICLE 3- SUBJECT AND SCOPE 3.1 The subject of this contract; It is the determination of all products and services that are available in the WORDLEY application and / or that will be offered by the WORDLEY application in the future, the terms of benefiting from these products and services and the mutual rights and obligations of the parties within the framework of this contract.
ARTICLE 4- MEMBERSHIP AND TERMS OF USE 4.1. People who want to take advantage of the mobile application will be able to log in to the application without requiring membership. Applications made through persons who are not authorized to represent and bind the legal person for minors or legal person members cannot benefit from the rights of the "User", even if they have completed the registration process in case of any detection. WORDLEY is not responsible for damages that may occur due to requests and actions to the contrary. In order to use the application without restrictions, the user must not be temporarily restricted or banned indefinitely by WORDLEY. 5.1. of this contract by WORDLEY as stated above. The completion of user transactions by persons who have been temporarily suspended from membership or whose membership has been banned indefinitely in accordance with Article No.
ARTICLE 5-MUTUAL RIGHTS AND OBLIGATIONS 5.1. User Rights and Obligations The user shall act in accordance with all the terms and conditions in this agreement and all applicable legislation, while performing the usage procedures, benefiting from the products or services in the application, and performing any transactions related to the products or services in the application, all the terms and rules specified in this contract. accepts that he has read, understood and approved. In cases where the user is obliged to make a statement to the official authorities in accordance with the provisions of the mandatory law in force, WORDLEY will be authorized to disclose the confidential / private / commercial information of the members to the official authorities, if this information is duly requested by the official authorities, and therefore, under any name whatsoever. The user has accepted that WORDLEY will be authorized to disclose the commercial information of the members to the business partners with which WORDLEY has entered into an agreement for the performance of the products and services subject to this contract and for this reason, and therefore cannot claim compensation from him under any name. The user is obliged to keep the System Access Tools (such as user name, password, code, device information) used to access the application confidential. The right to use the means of accessing the system belongs exclusively to the user. The user will not disclose this information to third parties. The User is fully responsible for the consequences of the use of the means of access to the system by a third party. WORDLEY is not obliged to identify the persons who make such illegal uses. User up Without prejudice to the provisions stated above, he/she accepts, declares and undertakes that he/she is responsible for the use of this information by a third party and the consequences thereof, and that the transactions made through the use of this information are binding on him. The user accepts and undertakes that the information and content provided by him within the application are correct and in accordance with the law. WORDLEY is not liable and responsible for investigating the accuracy of the information and content transmitted by the user or uploaded, changed and provided by the user through the application, undertaking and guaranteeing that this information and content is safe, correct and legal, and it is not responsible for the information and content in question to be false or inaccurate. The User accepts, declares and undertakes that all transactions made on the Application page are carried out exclusively and independently by him. The user undertakes that the contact information given to WORDLEY is only his/her contact information under his/her control and that he/she actively uses this contact information. WORDLEY because this contact information does not belong to the user himself or does not actively use the contact information. shall be liable for any damages incurred by him. In the event that the user transfers or makes available the portals created for him, the user accepts and declares that WORDLEY has the right to terminate this agreement and terminate the use of the User unilaterally and without notice. The user cannot transfer this agreement or its rights and obligations under this agreement to any third party without the written consent of WORDLEY. Those who benefit from the products and services offered by WORDLEY can only make transactions for legal purposes within the application. The legal and criminal responsibility of the user in every transaction and action within the application belongs to him. While using the application, users can use the Turkish Penal Code, Turkish Commercial Code, Code of Obligations, Law on Consumer Protection, Regulation on Distance Contracts, Law No. 5651 on Regulation of Publications Made on the Internet and Fighting Against Crimes Committed Through These Publications, Law on Intellectual and Artistic Works, Trademark, The user accepts that this application belongs to WORDLEY and is operated by it. . The content of this application is protected in accordance with Intellectual and Industrial rights. The user shall not reproduce, copy, distribute or process the pictures, texts, visual and audio images, video clips, files, databases, catalogs and lists contained in the application that may infringe on the real or personal rights, property of WORDLEY and/or another third party. WORDLEY is not responsible for the content published by third parties, including the user, in the application and on the websites linked through the application. The commitment of the accuracy and legality of the information, content, visual and audio images provided and published by any third party is entirely the responsibility of the persons who perform these actions. does not undertake or guarantee the security, accuracy and legality of the services and content provided by third parties. The user and WORDLEY are independent parties. The approval and implementation of this contract does not result in a partnership, agency or employee-employer relationship between the parties. The User must immediately make the changes and/or corrections requested by WORDLEY. The first and most important condition of the facility of any User and Recipient is "to be over 18". The user declares and undertakes that he/she is over the age of 18 within the scope of this Agreement after downloading and installing the application on his/her phone. If it is determined that the user is under the age of 18 at the time of downloading and installing the application on his phone; WORDLEY may unilaterally terminate the contract of the relevant user. In this case, the user accepts, declares and undertakes that he/she has no right to object and that he/she has no right to claim, including pecuniary or non-pecuniary damages. Rights and Obligations of WORDLEY WORDLEY , the product and service offered in the application reserves the right to unilaterally change the information and content at any time, to close and delete the information and content uploaded by the user to the system, to the access of third parties, including the user. WORDLEY can use this right without giving any notice and giving priority. If the change and/or correction requests requested by WORDLEY from the user are not fulfilled within the specified time, WORDLEY will not be responsible for the damages that have arisen or may arise, and will have the right to freeze or terminate the user's right to use the application. or links to content. WORDLEY may remove the messages and contents from access at any time and in any way and/or terminate the use of the user who entered this comment, message and content without any notice. reserves the right to change, reorganize, and stop the Application without any need. Changes take effect at the time of publication in the application. Users are deemed to have accepted these changes by using the application or logging into the application. Changes are announced to users through the channel determined by WORDLEY WORDLEY does not give any guarantee that the services it provides within the scope of the application will be constantly active and accessible. WORDLEY especially as a result of judicial and other competent official authority decisions and practices, force majeure, situations caused by third parties, disruptions and delays caused by Internet connection service providers and similar external factors, misuse, technical failures and other disruptions, repair works or other referrals. WORDLEY may, when necessary, limit access to the application in order to prevent any malfunctions that may occur in the network, software or recorded files, in case the operational security of the network is in danger, the continuity of access to the network, to prevent possible disruptions or to reduce its effect and in other cases it deems necessary or can stop.
ARTICLE 6- SERVICES WORDLEY will provide the Users with the services, the scope and content of which are determined by this contract, through the WORDLEY Application. The application in question is free. Pro version available with in-app purchases. The pro version obtained is only valid in the Store where that purchase was made. WORDLEY will provide users with this application the right to use the application in the form and conditions determined by this contract. WORDLEY reserves the right to make changes in the content of the services it provides at any time.
ARTICLE 7- PRIVACY 7.1. Personal information will also be used to contact the user when necessary. Information requested by WORDLEY or information provided by the user or information about transactions made through the application; It can be used by WORDLEY and its collaborators in various statistical evaluations, database creation and market research without disclosing the identity of the user, even for purposes and scope determined by the contract. WORDLEY will not disclose any of the personal information to companies and third parties that WORDLEY is not in cooperation with, unless otherwise stated in this agreement. In the limited cases specified below, WORDLEY may disclose the information of users to third parties, except for the provisions of this contract. ARTICLE 8- DISTANCE SALES SERVICE 8.1. One of the services WORDLEY provides with the application is the sale of the products prepared within the scope of the application. The purchase-sale relationship between the parties is subject to the Law No. 6502 on the Protection of the Consumer and the Regulation on Distance Contracts. WORDLEY undertakes to provide preliminary information about the product before sale within the scope of this contract and the relevant legislation. will not apply to products. However, for products that are not specially produced in line with personal needs or wishes, the buyer has the right to withdraw from the sales contract within fourteen days without giving any reason and without paying any penalty. The right of withdrawal starts on the day the buyer receives the goods. However, the buyer may use his right of withdrawal within the period from the conclusion of the contract to the delivery of the goods. It is sufficient for the buyer, who wants to use the right of withdrawal, to notify WORDLEY in writing or with a permanent data store within the time limit. This period cannot exceed thirty days in any case. If this obligation is not fulfilled, the buyer may terminate the sales contract. WORDLEY will keep the information and document regarding each transaction regarding the ordered products, the right of withdrawal, information, delivery and other obligations for three years.
ARTICLE 9- APPLICABLE LAW AND AUTHORIZED COURT Laws of the Republic of Turkey will be applied in the implementation and interpretation of this Agreement. Eskişehir Central Courts and Enforcement Offices are authorized in the settlement of all kinds of disputes that arise or may arise due to this Agreement.
ARTICLE 10- INTELLECTUAL PROPERTY RIGHTS, The Application (general appearance, design, text, image, logo, icon, technical data presented in written, electronic, graphic or machine-readable form, WORDLEY brand, applied business method and business model, software code and including, but not limited to, other codes) are owned by WORDLEY and/or used by WORDLEY under copyright from a third party. All these elements of WORDLEY, which are protected under the Law on Intellectual and Artistic Works, cannot be changed, copied, reproduced, translated into another language, republished, resold, shared, distributed, exhibited, used outside the scope of the User Agreement, or derived from them, without prior permission and indicating the source. works cannot be done or prepared, in case of doing otherwise, the responsible person(s) will be liable to cover the amount of compensation demanded from WORDLEY due to the damage suffered by WORDLEY and/or the damages suffered by third parties, including the licensors, including court costs and attorney fees. In the event that any written and visual content uploaded to the application by users is subject to intellectual property law, the intellectual property rights belong to the user, and the user gives WORDLEY the right to reproduce, copy, process and print media, radio-television, satellite and cable. Users have given the right to use indefinitely and free of charge without any geographical limitation, including but not limited to the right to broadcast by means of sign and/or image transmission, and any other means, via radio or radio broadcasting organizations or the internet and other forms of digital communication. Publish the content that does not belong to them, but in accordance with the procedure specified in the law and with the condition of making reference. knows. Otherwise, the user who uploaded the content will be responsible for the damages that WORDLEY will suffer, including the compensations requested by the 3rd parties.
ARTICLE 11- AGREEMENT CHANGES WORDLEY may change this User Agreement or any of its provisions at any time it deems appropriate, by posting in the application, depending on current conditions and changes in relevant legislation. The changed provisions of this User Agreement will become valid on the date they are announced or, if there is a previously stated validity date, on the specified date; The remaining provisions will remain in effect and continue to have consequences. This User Agreement cannot be changed by the unilateral declarations of the users.
ARTICLE 12- FORCE MAJEURE 12.1 The term force majeure means natural disasters, riots, wars, strikes, attacks on the Application, Portal and the system despite WORDLEY's taking the necessary information security measures, including but not limited to WORDLEY's reasonable control and which develops outside of WORDLEY's reasonable control. In all cases deemed as force majeure, the parties are not liable for late or incomplete performance or non-performance of any of their acquisitions determined by this Agreement. These and similar situations will not be deemed as delay, incomplete performance or non-performance or default for WORDLEY, or no compensation can be claimed from WORDLEY for these situations.
ARTICLE 13- VALIDITY OF RECORDS The user shall declare that the electronic and system records, commercial records, ledger records, microfilm, microfiche and computer records kept by WORDLEY in its own database and servers shall constitute reliable, binding, final and exclusive evidence in case of disputes arising from this Agreement. It accepts, declares and undertakes that it is in the nature of an evidential contract within the meaning of Article 193 of the HMK.
ARTICLE 14- TERMINATION OF THE AGREEMENT This User Agreement will remain in effect as long as the user acquires the application and will continue to have provisions and consequences between the parties; It will be deemed to have ended in the event that the user's membership period expires or the use of the user is stopped temporarily or permanently. In the event that the users of the Application violate this User Agreement and/or similar rules regarding the usage, membership and Services in the Application, and especially in the cases listed below, WORDLEY User Agreement may be terminated unilaterally and the users will be liable to WORDLEY's liability due to termination. shall be liable to compensate for all damages suffered; i- By using any method, the user commits unrealistic actions to manipulate the operation of the system, ii- iii- The user transfers the user profile created for him to someone else or makes it available for use, to be found.
ARTICLE 15- NOTIFICATION ADDRESSES 15.1 WORDLEY application does not request postal addresses from members in advance. However, the e-mail address that the users notify to WORDLEY is considered as the e-mail where the legal address will be requested for any notification regarding this contract, unless the parties notify the other party in writing of changes in their existing e-mails within 3 (three) days. Again, any notification that WORDLEY will make using the registered e-mail address of the users will be deemed to reach the members 1 (one) day after the e-mail is sent by WORDLEY.
ARTICLE 16- ENFORCEMENT The user declares, accepts and undertakes that she/he has read, understood, accepted all the clauses in this agreement and approved the accuracy of the information she/he has given about herself/himself. This Agreement consists of 16 clauses and has been mutually accepted and entered into force upon the user's acquisition of the application.
