These Terms of Service (“Terms”) form a legally binding agreement between you (“you” or “your”) and Vidverse.
These Terms govern your access to and use of our websites where these Terms are posted (the “Sites”), our mobile applications (the “Apps”), and all related content, products, and services (collectively, the “Service”).
By downloading, installing, or otherwise using the Service, you agree to be bound by these Terms. Your use of the Service is also subject to any applicable supplemental or third-party licenses and terms.
IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE. YOU MUST IMMEDIATELY CEASE ALL USE OF THE SERVICE AND UNINSTALL AND DELETE ANY COPIES OF THE APPS OR RELATED SOFTWARE IN YOUR POSSESSION.
These Terms were originally drafted in English. In the event of any conflict or inconsistency between the English version of these Terms and any translated version, the English version shall prevail.
1. Modifications to the Terms and the Service
We reserve the right to modify these Terms at our discretion. Such modifications may be made, for instance, to reflect updates to our services, new features, technological changes, or to comply with legal or regulatory obligations. When we make changes, we will provide notice through reasonable means commensurate with the significance of the update, such as by updating the "Last Updated" date at the top of these Terms, sending an email notification, or displaying a notice within the Service.
You are responsible for reviewing these Terms periodically for any changes. Your continued access to or use of the Service after the updated Terms have been posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue using the Service and uninstall all associated Apps and software from your devices.
We may also, at any time and without prior notice, modify, suspend, or discontinue any aspect of the Service (including any content, feature, or functionality), without liability to you or any third party. This may be done for reasons including, but not limited to, service improvements, feature testing, technical development, or compliance with legal requirements.
Please note that certain services or features may not be accessible in all geographic regions, in all languages, or on all operating systems.
2. Eligibility
The Service is not intended for individuals under the age of 16. You may not access or use the Service if you are under 16 years of age.
If you are at least 16 years old but have not reached the age of majority in your jurisdiction, you may only use the Service with the consent and under the supervision of a parent or legal guardian who agrees to be bound by these Terms.
You may not access or use the Service if:
(a) you do not agree to these Terms;
(b) you are not legally capable of forming a binding contract with us (and do not have the necessary parental consent as described above); or
(c) you are prohibited from receiving or using the Service under applicable law.
3. Acceptable Use and Prohibitions
You agree not to, and not to permit any third party using your account or device to:
●Use the Service for any unlawful purpose or in any way that violates these Terms, infringes upon the rights of others, or is prohibited by applicable laws or regulations.
●Create, upload, post, transmit, or otherwise make available any content through the Service that is unlawful, harmful, fraudulent, defamatory, obscene, threatening, hateful, harassing, discriminatory, or that infringes any intellectual property, privacy, or other rights of any person or entity.
●Copy, modify, decompile, reverse engineer, or attempt to extract the source code of the Service or any part thereof, except as expressly permitted by applicable law or these Terms.
●Frame, mirror, or incorporate any part of the Service into another website, product, or service without our prior written authorization.
●Interfere with, disrupt, or overburden the integrity, performance, or security of the Service or any related networks or systems.
●Use any automated system (including "robots," "spiders," or "offline readers") to access, monitor, or scrape data from the Service in a manner that places an unreasonable load on our infrastructure.
●Circumvent, disable, or otherwise interfere with any security-related or digital rights management features of the Service.
●Facilitate or assist any third party in engaging in any of the activities prohibited above.
4. Intellectual Property Rights
The Service, including all content, software, graphics, designs, information, and materials made available through it (except for User-Generated Content as defined elsewhere), is owned by Vidverse or its licensors. This includes all associated intellectual property rights, such as copyrights, trademarks, patents, trade secrets, and other proprietary rights, whether registered or unregistered.
No rights to the Service or its content are granted to you except as expressly stated in these Terms. All rights not expressly granted herein are reserved by Vidverse and its licensors.
5. User-Generated Content
The Service may allow you to create, upload, post, store, share, or otherwise submit content ("User-Generated Content" or "UGC").
Ownership. You retain ownership of any intellectual property rights in your UGC. We do not claim ownership of your UGC.
License Grant to Us. To operate, provide, and improve the Service, you grant Vidverse a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, publicly perform, publicly display, and distribute your UGC. This license is for the limited purposes of operating the Service and developing new technologies or services. However, we will only use your UGC to train or improve machine learning models with your explicit prior consent, as further described in our Privacy Policy.
Your Responsibilities. You are solely responsible for your UGC and its legality, reliability, and appropriateness. You represent and warrant that you own or have the necessary rights to your UGC, that it does not infringe any third-party rights, and that it complies with these Terms and all applicable laws.
Feedback. We welcome your feedback and suggestions about the Service. By submitting any feedback, you agree that we may use it freely without any obligation to compensate you.
6. Generative AI Features
The Service may include functionality powered by generative artificial intelligence models (“Generative AI Features”). These features allow you to submit text, images, video, audio, or other materials as input (“Input”) and may generate corresponding text, image, video, or audio output (“Output”) in response.
Both your Input and the resulting Output are considered “User-Generated Content” under these Terms. As between you and us, you retain ownership of your Input and Output, subject to the license you grant us elsewhere in these Terms.
In addition to all other prohibitions outlined in Section 3, you agree not to use the Generative AI Features to:
●Create, upload, or distribute content that exploits or abuses children, including all child sexual abuse material.
●Create, upload, or distribute pornographic or sexually explicit content intended to be sexually gratifying.
●Facilitate or promote illegal activities, hate speech, discrimination, harassment, or violence against individuals or groups based on protected characteristics such as race, religion, gender, or sexual orientation.
●Generate content that promotes or provides instructions for illegal or harmful activities, including the creation of weapons, violence, or self-harm.
●Produce content with the intent to deceive, defraud, or mislead others, including generating disinformation, spam, or malware.
●Attempt to bypass or circumvent our safety systems, filters, or usage policies.
We reserve the right to restrict or block access to the Generative AI Features if we believe your use violates these Terms.
7. Disclaimer of Warranties
The Service is provided to you "as is" and "as available," without any warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Vidverse disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.
Vidverse does not warrant that the Service will be uninterrupted, error-free, secure, or meet your specific requirements. We do not guarantee that any defects will be corrected or that the Service is free of viruses or other harmful components. Any information or advice provided by us or through the Service does not create a warranty.
You assume all risks associated with your use of the Service, including any costs for servicing, repair, or correction, and are solely responsible for any data loss or corruption that may occur.
Some jurisdictions do not allow the exclusion of certain warranties. Therefore, the above limitations may not apply to you.
8. Termination
By You. You may stop using the Service at any time. These Terms will effectively terminate for you once you cease all use of the Service and uninstall all related software from your devices.
By Us. We reserve the right to suspend or terminate your access to the Service, or terminate these Terms, at any time and for any reason, with or without notice.
Effect of Termination. Upon any termination:
All rights and licenses granted to you under these Terms will immediately end.
You must immediately cease all use of the Service and uninstall all associated applications and software.
Sections of these Terms that are intended to survive termination by their nature will continue in effect, including but not limited to provisions regarding intellectual property, disclaimers, limitation of liability, and governing law.
