At Telecel, we earn our reputation every day. It is the result of individual decisions made by employees, in matters large and small. As our business and the world around us grow more complex, there are times when the right choice seems neither simple nor apparent. Yet, at all times our actions must be guided by a clear understanding of legal and regulatory requirements, our policies and procedures, and shared ethical principles and values.
These basic guidelines are spelled out in this updated “Code of Conduct.” All Telecel officers, employees, contract workers and agents are required to read, understand, and abide by the standards of this Code. The Code makes it clear that we do not tolerate illegal or unethical behavior in any of our business settings. I urge you to discuss any questions you may have about interpreting or applying the Code with your manager or our People Department, who can provide assistance and guidance. These and other resources are described in this booklet.
The communication of this Code is part of our ongoing effort to ensure a workplace and workforce that are fully committed to honesty, fairness, and integrity. Such ethical conduct honors Telecel years legacy of making a positive difference in connecting energies!

Welcome to Telecel! As part of our commitment to maintaining a productive, safe, and respectful workplace, we have established the following internal office and work policies. These guidelines are designed to ensure that all employees understand their roles and responsibilities within the company and adhere to the highest standards of professionalism.
The Code of Conduct (“Code”) applies to all consultants, contract workers, full-time and part-time employees at Telecel. Its divisions, and affiliations, regardless of your location, whether operating remotely or from the office.
The world of business grows more and more complex and fast-paced, and it is harder to make good decisions and take the right actions. But Telecel’s long-term success clearly depends upon the choices we make every day. Therefore, it is critical that we all understand and meet Telecel’s expectations as to the way we always behave in our business.
First, we must base our decisions and actions on our core values of honesty, fairness, and integrity.
We will not tolerate fraud, deceit, or concealment.
Our decisions must be based on fact and fairness, not bias or prejudice.
Our decisions must be based on strict principles of right and wrong as defined by the principles set forth in this code.
Compliance with Code:
Second, we must all comply with this Code, which is intended to support us in making good decisions and taking the right actions, to help keep us from doing the wrong thing, and to help us comply with the laws, rules and regulations that apply to our business.
We are all expected to understand how this Code applies to our own jobs and business decisions and activities – or if we don’t understand, we must get help with our questions.
All persons covered by this Code are expected to demonstrate integrity and leadership by complying with the Code themselves and promoting compliance by others.
Promotion of, and adherence to, this Code are elements in evaluating the performance of everyone to whom this Code applies.
Telecel contract workers and consultants must also comply with the applicable Principles of this Code. That is why, whenever we enter into a new contract or personal service agreement with a contract worker or agent, or whenever we renew or extend an existing contract or agreement, we must include appropriate compliance provisions.
Third, Telecel recognizes that many decisions are not set easy. So, any time we have a difficult decision to make, or we don’t understand how the code applies in a particular case, we should ask for advice and guidance. If we become aware of any violations or potential violations of the Code, or if we have complaints or concerns, we must promptly notify the appropriate persons as indicated.

Honest and Ethical Conduct
We will deal honestly with Telecel and with Telecel’s customers, suppliers, competitors, employees, and other stakeholders.
We will deal honestly and ethically with Telecel and on Telecel’s behalf in all matters.
We will treat people fairly. We must not take unfair advantage of anyone through manipulation, concealment, abuse of privileged or otherwise undisclosed information, misrepresentation of material facts or any other unfair-dealing practices.
A conflict situation can arise when one of us takes any action or has any interest that may make it difficult to perform our Telecel work objectively and effectively.
We must avoid any investment, interest, or association that interferes or might interfere with the independent exercise of our own individual best judgement, and with our obligation to perform our responsibilities in the best interests of Telecel.
We will avoid actual or apparent conflicts with Telecel’s interests.
For example:
We will deal with all suppliers, customers, and all other persons doing business with Telecel in a completely fair and objective manner without favor or preference based upon personal financial or relationship considerations.
We will not do business on behalf of Telecel with a member of our household or close relative, unless the transaction is disclosed, in writing, to the Human Resources department, which determines that the transaction is on arms-length terms and is consistent with the purposes of this principle. A close relative would include, for example, at a minimum, a spouse, domestic partner, parent, parent-in-law, sibling, sibling-in-law, child or son/daughter-in-law, or stepparent, stepsibling, or stepchild.
We will not, directly, or indirectly, have a financial interest in any firm or company which is a competitor of Telecel if such financial interest represents a material percentage of the total net worth of the employee, or if such ownership creates a direct conflict of interest for the employee in connection with work the employee is performing for Telecel.
We will not, directly, or indirectly, have a financial interest in or hold any employment, managerial, directional, consulting, or other position with any firm or company which does or seeks to do business with Telecel, if such interest or position may influence any decision that we might make in the performance of our regular duties.
PRINCIPLE 3: Telecel Opportunities
When presented with opportunities related to Telecel’s business interests, we must first offer those opportunities to Telecel. We will not: (a) take for ourselves personally, or for members of our household or close relatives, opportunities that are discovered through the use of Telecel’s property, information or position; (b) use Telecel property, information, or position for personal gain; or (c) hold any employment, managerial, directorial, consulting or other position with any firm or company which is a competitor to Telecel.
Standard Working Hours: The official working hours are from 9:00 AM to 5:00 PM, Monday to Friday. All employees are expected to be at their workstations and ready to begin their duties by 9:00 AM.
Employees can choose to commit to the 9-5 slot based on their respective time zones:
GMT+3 for Beirut Time Zone
GMT+2 for Paris Time Zone
GMT+1 for UK Time Zone
Flexible Hours: Employees may request flexible working hours, subject to manager’s approval. All flexible hours must be documented and tracked.
Punctuality: All employees must arrive at the office on time. Late arrivals should be communicated to your direct supervisor as soon as possible.
Attendance Tracking: Employees must punch in upon arrival and punch out when leaving the office. This helps the company accurately track working hours and manage payroll effectively. Arriving 10 minutes late to the office is the only allowed in case of traffic or exceptional.
Absenteeism: Unplanned absences must be reported to your direct supervisor as early as possible, ideally before the start of the working day. Absences exceeding two consecutive days require a medical certificate.
Lunch Break: Employees are entitled to a 30-minute lunch break. Break times should be coordinated within teams to ensure all areas are adequately covered during peak hours. Keeping the canteen clean is everyone's duty; let’s ensure it remains a welcoming place for everyone to enjoy. Don’t forget to do your dishes after your meal. do not store your lunch bags in the fridge or leave them in the kitchen or the canteen. Keep your personal items with you or store them appropriately to help keep our shared spaces clean and orderly.
Rest Breaks: Employees may take two 15-minute breaks during the day, one in the morning and one in the afternoon. Break areas are provided for relaxation, and employees are encouraged to take their breaks away from their desks as long as these breaks are not abused.
Access Control: All employees must always wear their ID badges visibly while in the office. Lost or stolen badges must be reported immediately to the admin team.
Visitor Policy: Visitors must be always accompanied and provided with a temporary badge upon arrival. Visitors are restricted from entering certain areas unless authorized.
Delivery Protocol: To ensure the security and privacy of our workspace, delivery personnel are not permitted beyond the ground floor. If you're expecting a delivery, please meet your delivery person at the designated reception area on the ground floor to receive your items. This helps maintain the integrity of our office floors and minimizes disruptions.
Professional Conduct on Social Platforms:
Employees are strictly prohibited from discussing or sharing political views on social media, WhatsApp statuses, or other public or semi-public platforms that could associate such opinions with the company. This policy is designed to maintain a neutral and inclusive workplace environment.
Confidential Information: All company data and confidential information must be handled with the utmost care. Do not share sensitive information without proper authorization and ensure that all electronic data is stored securely.
Password Management: Use strong, unique passwords for all company-related accounts and change them regularly. Never share your passwords with anyone and report any suspected security breaches immediately to the IT department.
Use of Technology: Company devices and the internet should be used for professional purposes only. Personal use should be limited and must not interfere with work responsibilities.
OneDrive: All sheets, folders, and documents must be uploaded to Telecel’s designated OneDrive. This includes email attachments, even drafts, to ensure proper documentation and version control. Use the sharing option to manage access permissions and regularly review who has access to specific folders within your department. This practice ensures data security, collaboration efficiency, and centralized file management.
Dress Code: Employees are expected to dress in a manner that is professional and appropriate for the workplace. Business casual attire is acceptable unless a more formal dress code is required for specific meetings or events, yet shorts, slippers, short tops … are not allowed.
Commuting Among the Floors via Stairs: While using the stairways to move between floors, we ask all employees to be mindful of maintaining a quiet environment. Some floors may host formal meetings or sensitive discussions where noise reduction is highly valued. Please ensure that conversations, phone calls, or any other activities that could create disturbances are kept to a minimum when traveling between floors, especially near meeting rooms. Avoiding the use of lifts is environment friendly and good for your health, we encourage everyone to use the stairs to commute between the floors.
Language and Communication: All communication, whether verbal, written, or electronic, must be conducted in a professional and respectful manner. Offensive language, discriminatory remarks, or inappropriate jokes are strictly prohibited internally or externally with customers and partners.
Respect for Colleagues: Treat all colleagues with respect and courtesy. Bullying, harassment, or any form of discrimination will not be tolerated and will be subject to disciplinary action.
Creative Communication: Got a bright idea? Share it visually! Use any glass surface as: windows, partitions, even drinking glasses. But remember, use only the right markers provided at every corner, and erase your thoughts after sharing to keep our glass clear and ready for more ideas.
Desk Organization: Keep your workstation clean and organized. Personal items should be minimal, and no food or drink should be left on the desk overnight.
Shared Spaces: Shared workspaces, such as meeting rooms, break areas, meditation room, and lounges, should be kept tidy. Return all items to their designated places after use and clean up any spills or messes immediately.
Noise Control: Maintain a quiet working environment. Use headphones for personal audio and take phone calls in designated areas to avoid disturbing others.
Flexible Desk Usage: Employees are encouraged to periodically change their desk positions and explore different spaces in the office to foster collaboration and creativity.
Workplace Safety: Keep your work area free of hazards. Report any unsafe conditions to the safety officer immediately. Do not block walkways or emergency exits and ensure that cords and cables are secured to prevent tripping.
Ergonomics: Maintain proper posture while sitting at your desk. Use adjustable chairs and desks to ensure a comfortable working environment. Take regular breaks to stretch and reduce strain.
Smoking Areas: Telecel maintains a non-smoking environment within all office buildings. Smoking, including electronic cigarettes, is permitted only in designated smoking areas outside the building.
Reservation System: Meeting rooms must be booked in advance using the office’s online reservation system. Rooms not reserved may be used on a first-come, first-served basis; however, reservations take priority. When selecting a meeting space, the room's capacity should match the meeting size. Small meetings (e.g., two people) should use booths or private areas if available on any floor. Meeting rooms should only be occupied for visitor meetings or when no smaller, suitable space is available. Ensure fair usage by considering others' needs for shared spaces.
Meeting Etiquette: Arrive on time and come prepared for meetings. Respect everyone’s schedules by finishing on time and leaving the room clean and organized. Return chairs, equipment, and any borrowed items to their original places before leaving.
Privacy and Confidentiality: Conversations in meeting rooms may involve sensitive information. Ensure that all confidential discussions remain private, and avoid leaving any documents, notes, or personal belongings behind after the meeting concludes.
Break Areas and Lounges
Cleanliness: Keep break areas clean and tidy. Dispose of trash properly, wipe down surfaces after use, and return furniture to its original position.
Respect for Others: Be considerate of others using the space. Keep noise levels down and avoid monopolizing shared areas during busy times.
Telecel is committed to environmental responsibility and sustainability. We encourage employees to adopt practices that minimize our environmental impact. Some examples of green initiatives include:
Reducing paper consumption by printing only when necessary and using double-sided printing.
Recycling paper, plastic, and other materials.
Conserving energy by turning off lights and electronics when not in use.
Work-Life Balance: The company encourages a healthy work-life balance. Employees are encouraged to use their vacation days and to disconnect from work during non-working hours.
Meditation Room: Telecel is committed to promoting employee well-being and provides a dedicated meditation room for employees to practice mindfulness and relaxation techniques. This space is designed to offer a quiet and peaceful environment for individuals to de-stress and recharge.
Telecel is committed to providing a work environment free from harassment and discrimination. Harassment is any unwelcomed conduct or comment referring to race, color, religion, national origin, sex, pregnancy, age, disability, or veteran status that interferes with an individual's work performance or creates a hostile work environment.
Examples of harassment include, but are not limited to:
Offensive jokes, remarks, or innuendo
Unwanted physical contact or advances
Threats or intimidation
Verbal abuse
Display of offensive or discriminatory materials
If you believe you are being harassed, you should immediately report the incident to your supervisor, Human Resources department, or another manager. Reports can be made anonymously if necessary. Telecel will take appropriate action to investigate and address all reports of harassment.
Policy Compliance: All employees are expected to adhere to the company’s internal policies. Failure to comply with these policies may result in disciplinary action, up to and including termination of employment.
Continuous Improvement: Employees are encouraged to provide feedback on existing policies and suggest improvements. Your input is valuable in helping Telecel maintain a positive and effective work environment.
Issue Reporting: Employees are required to report any concerns, including safety hazards, policy violations, or unethical behavior, to their supervisor or HR department. Reports can be made anonymously if necessary.
Whistleblower Protection: Telecel protects employees who report concerns in good faith. Retaliation against employees who report issues is strictly prohibited and will result in disciplinary action.
This internal office policy is designed to foster a positive, productive, and safe working environment for all employees at Telecel. By adhering to these guidelines, we can ensure that our workplace remains a place where everyone feels respected, valued, and motivated to achieve their best.
