End User License Agreement (EULA)

This End User License Agreement (“EULA”) is a legal agreement between you (“User” or “you”) and SyncWave (“Company”, “we”, “us”, or “our”) governing your use of the SyncWave mobile application (“App”).
By downloading, installing, or using the App, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not install or use the App.

1. License Grant

The App is licensed, not sold. Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App for your personal, non-commercial use on any Apple-branded device that you own or control, as permitted by the Apple App Store Terms of Service.
All rights not expressly granted to you are reserved by the Company.

2. Restrictions

You agree not to, and will not permit others to:

• Copy, modify, adapt, translate, or create derivative works of the App.

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except as permitted by applicable law.

• Use the App for any illegal, commercial, or unauthorized purpose.

• Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the App to any third party.
  Any attempt to do so is a violation of this EULA and may result in termination of your license.

3. Ownership and Intellectual Property

The App, including all content, features, functionality, trademarks, and intellectual property rights, is owned by the Company or its licensors and is protected by applicable copyright and intellectual property laws.
This EULA does not grant you any ownership interest in the App.

4. Content Responsibility and Usage Guarantee

The App is designed to provide LED visual display, text scrolling, and multi-device synchronization tools for general informational and entertainment purposes only.

• You are solely responsible for the text, phrases, and content you choose to display using the App across your devices or connected remote devices.

• The App's display visibility may vary depending on device screen brightness, ambient lighting, and distance.

• We do not guarantee uninterrupted connections during multi-device syncing or remote control operations, as these features rely significantly on local network environments and iOS hardware connectivity limits.

5. Disclaimer of Warranties

The App is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind.
To the maximum extent permitted by applicable law, we disclaim all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the App will be uninterrupted, error-free, or meet your expectations.

6. Limitation of Liability

To the extent permitted by law, in no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the App.
Our total liability for any claim arising under this EULA shall not exceed the amount you paid for the App or subscription during the twelve (12) months preceding the claim.
Some jurisdictions do not allow certain limitations, so these limitations may not apply to you.

7. Privacy

Your use of the App is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.
You can access the Privacy Policy within the App or on our website.

8. Termination

This EULA is effective until terminated.
We may terminate or suspend your license immediately if you violate this EULA. Upon termination, you must stop using the App and delete all copies from your devices.

9. Changes to This EULA

We reserve the right to modify this EULA from time to time. If changes are made, we will update the “Last updated” date and make the revised EULA available within the App.
Your continued use of the App after changes take effect constitutes your acceptance of the revised EULA.

10. Governing Law

This EULA shall be governed by and construed in accordance with applicable laws, excluding conflict of law principles.
