This User Agreement (“Agreement”) sets forth the terms and conditions governing your access to and use of Stely’s social software service (“Stely,” “we,” “us,” or “our”). By accessing or using our software, website, mobile applications, API, and related services (collectively, the “Service”), you (“you,” “your,” or “User”) agree to be legally bound by this Agreement. If you do not agree, do not access or use the Service.
“Affiliate(s)” means any entity that controls, is controlled by, or is under common control with Stely.
“Content” refers to all text, graphics, photos, videos, audio, data, and other materials submitted, uploaded, or posted by Users, third parties, or by us.
“Feedback” denotes suggestions, ideas, or commentary provided by Users concerning improvements or modifications to the Service.
“Service” encompasses all Stely products including websites, mobile apps, API, software, tools, and related functionalities.
“Third‑party Services” are external services, websites, or content not owned or controlled by Stely.
By creating an account, accessing, or using the Service, you acknowledge that:
You have read, understood, and agree to this Agreement;
You are at least 13 years old (if in the U.S.; elsewhere, you meet your local minimum age requirement);
Your compliance includes our Privacy Policy, Community Guidelines, and any additional rules posted on the Service.
If you do not agree, do not access or use the Service.
We may modify or update this Agreement from time to time (“Updated Terms”). When we do, we will post the new version or notify you via email or the Service. Changes will take effect at least 30 days after posting unless required sooner by law. Your continued use after the effective date signifies acceptance. If you disagree, you must stop using the Service and close your account.
To use the Service:
You must meet the minimum age requirement;
You cannot be barred from using the Service under applicable law;
If using through an organization or employer, ensure you are authorized to do so.
Account Creation – You must provide accurate, up-to-date information.
Username and Password – You’re responsible for account security and all activity under your account.
Verification – We may verify identity, suspend or terminate accounts with false information.
Single Account – Unless otherwise permitted, only one personal account per user.
Profile Content – You are responsible for information you provide.
Users must:
Use the Service lawfully;
Keep account credentials confidential;
Notify us immediately of unauthorized access;
Be responsible for communications and Content they post or transmit.
Use of your personal data is governed by our Privacy Policy, which is incorporated by reference into this Agreement. You agree we may collect, store, and use information according to that policy.
You retain ownership of your Content.
By posting, you grant Stely a royalty-free, worldwide, sublicensable, transferable, non-exclusive license to use, host, store, reproduce, modify, adapt, publish, publicly display, translate, distribute, and process your Content.
You warrant that:
You own all rights in your Content or have authorization;
Posting does not infringe others’ rights;
Content is lawful and complies with this Agreement.
We may analyze Content for service improvement, personalization, research, and monetization purposes.
We and our licensors keep all rights, title, and interest in the Service and its components (designs, code, algorithms, trademarks, trade secrets, and more). You are granted only a limited license to use the Service as intended by this Agreement. You are prohibited from duplicating, modifying, reverse‑engineering, or distributing the Service without authorization.
You agree not to:
Violate any laws, rights, or regulations;
Impersonate any person or entity;
Post hateful, harassing, or abusive content;
Upload viruses or harmful software;
Spam or manipulate the Service or others;
Scrape, data-mine, or monetize content without permission;
Interfere with the Service operation;
Encourage or support prohibited conduct.
Users must follow our Community Guidelines (posted on-site), which cover:
Respectful communication;
Appropriate Content standards;
Reporting violations;
Behavior expectations.
Violations may result in removal of Content, warnings, suspension, or termination.
Stely reserves the right to:
Review and remove Content;
Take action against offenders;
Use automated tools to detect violations.
Non-compliance may result in suspension or account termination, with or without notice.
The Service may include content from third parties. We are not responsible for accuracy, quality, or legality. Third-party links are provided for convenience; we do not endorse them.
Interacting with other Users is your responsibility; exercise caution.
You are liable for your conduct—disputes, claims, or losses arising from your interactions are solely your responsibility.
All Feedback becomes Stely’s property upon submission. We acquire a non-exclusive, perpetual, irrevocable license to use it.
For paid features, policies include:
Payment methods;
No refunds unless stated;
Price changes for upcoming subscription periods;
Usage limits;
Suspend or terminate for non-payment.
You may close your account at any time via your settings. We may retain or delete data per our policy.
We may suspend or terminate for violations, legal reasons, investigations, or business decisions.
Stely will attempt notice but may act immediately if needed.
Upon termination, rights granted to you end. You must stop using the Service. We may retain data per policy and delete Content at our discretion.
AS-IS – Service is provided without warranties.
No Guarantee of Continuity – We may modify, suspend, or discontinue the Service.
Third-party Disclaimers – We do not ensure third-party content is accurate or acceptable.
No Financial or Medical Advice – Content is for informational purposes only.
To the maximum extent permitted by law:
Stely and affiliates are not liable for indirect, incidental, special, or consequential damages.
Maximum liability is capped at the amount paid by you in the 12 months before the claim (or US $50 if no payment).
Some jurisdictions may not allow these exclusions—limitations apply accordingly.
You agree to indemnify Stely and its affiliates against claims, losses, damages, liabilities, costs, including attorneys’ fees, arising from:
Your violation of this Agreement;
Your use of the Service;
Your Content or interactions;
Your violation of others’ rights.
We reserve the right to control defense and you must assist.
Before initiating formal proceedings, you commit to notify us of disputes and attempt resolution for 60 days.
Unless you opt out within 30 days of first agreeing, disputes will be resolved by binding arbitration under the American Arbitration Association (if in the U.S.) or equivalent outside.
No class arbitrations or lawsuits; disputes resolved individually.
Either party may seek injunctive relief in court as needed.
U.S. Users: California law, exclusive venue in San Francisco County.
Otherwise: governing law where you reside, forum appropriate to parties.
Entire Agreement — This document, Privacy Policy, and other incorporated terms are the full agreement.
Severability — Invalid terms replaced where possible; remainder enforceable.
Waiver — Failure to enforce a right is not a waiver.
Assignment — We may assign rights; you require consent to transfer with exceptions.
Notices — We’ll notify via email or the Service.
Translations — English version governs in case of disparities.
