These Terms of Use ("Terms") govern your use of the Spendly mobile application (the "App") provided by Jamshid Mamatkulov ("we", "us", or "our"). By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial purposes, subject to these Terms and the rules of the app store from which you downloaded it.

2. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your country) to use the App. By using the App, you represent that you meet this requirement.

3. Accounts

• You may use the App without an account. Some features, such as cloud backup and cross-device sync, require you to create an account or sign in.

• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

• You agree to provide accurate information and to keep it up to date.

4. Subscriptions and Payments

The App offers an auto-renewable subscription, Expense Tracker Premium ("Subscription"), which unlocks premium features.

• Billing. Payment is charged to your Apple App Store or Google Play account at confirmation of purchase.

• Auto-renewal. Subscriptions automatically renew for the same period at the then-current price unless auto-renew is turned off at least 24 hours before the end of the current period.

• Managing and canceling. You can manage or cancel your Subscription at any time in your App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period.

• Free trial (if offered). Any unused portion of a free trial is forfeited when you purchase a Subscription, where applicable.

• Pricing. Prices and subscription lengths are shown in the App before purchase and may vary by region. We may change prices, with notice as required by law.

• Refunds. Purchases are handled by Apple or Google and are subject to their refund policies. We do not directly process refunds.

5. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose or in violation of these Terms;

• Reverse engineer, decompile, or attempt to extract the source code of the App, except as permitted by law;

• Interfere with or disrupt the App or its supporting infrastructure;

• Attempt to gain unauthorized access to any part of the App or other users' data.

6. Your Content

• You retain ownership of the financial data and other content you enter into the App ("Your Content").

• You grant us a limited license to store, process, and sync Your Content solely to provide the App's functionality to you.

• You are responsible for the accuracy of Your Content. The App is a tool for personal expense tracking and does not provide financial, accounting, tax, or investment advice.

7. Intellectual Property

The App, including its design, code, text, and graphics (excluding Your Content), is owned by us or our licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.

8. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the App will be uninterrupted, error-free, or that data will always be available or accurate. You are responsible for keeping your own backups of important data.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING FROM OR RELATED TO YOUR USE OF THE APP. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

10. Termination

We may suspend or terminate your access to the App at any time if you violate these Terms. You may stop using the App at any time. Provisions that by their nature should survive termination (such as intellectual property, disclaimers, and limitation of liability) will survive.

11. Changes to These Terms

We may update these Terms from time to time. We will update the "Last updated" date above and, where appropriate, notify you within the App. Continued use of the App after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of [YOUR COUNTRY / STATE], without regard to its conflict-of-laws rules, except where local consumer protection law requires otherwise.

13. Apple App Store Additional Terms

If you downloaded the App from the Apple App Store, you acknowledge that:

• These Terms are between you and us only, not with Apple, and Apple is not responsible for the App or its content.

• Apple has no obligation to provide maintenance or support for the App.

• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); Apple has no other warranty obligation.

• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
