TERM OF USE

1. INTRODUCE

Welcome to "Ngoc Nguyen Team", thank you for using our application. By downloading or using our Smart IPTV Player app (the “App”), By using Ngoc Nguyen Team, you agree to be bound by these Terms. If you don’t agree to these Terms, do not use the Ngoc Nguyen Team. If you are using the Ngoc Nguyen Team on behalf of an organization (such as your employer), you are agreeing to these Terms for that organization, and are indicating that you have the authority to bind that organization to these Terms. In that case, “you” and “your” will refer to that organization.

We may revise the Terms from time to time. Changes may be posted within our Apps, so please check that regularly.

2. AUTO RENEWING SUBSCRIPTIONS

• Subscribed users have unlimited access to the app translation services including speech-to-text recognition.

• Unregistered users can only use permitted services with a limited quota per day.

• Payment for such a subscription (which may be for example daily, weekly, monthly, or yearly) may be processed in the application, by third parties who act on our behalf or directly by the mobile platform owner (e.g. Apple)

• Free trial subscriptions may be canceled at any point up to 24 hours before the expiry of the free trial (Apple). You can cancel a subscription service at any time during the subscription period via the subscription settings in your iTunes. The cancellation will take effect after the last day of the relevant subscription period. You can find further information on canceling orders and any associated refunds on the website of the third-party re-seller from whom you purchased the app (for example, the Apple App Store).

• Any unused portion of a free trial period, if offered, will be forfeited when the user purchases a subscription to that publication, where applicable.

3. INTELLECTUAL PROPERTY RIGHTS

All content, information, photographs, illustrations, artwork and other graphic materials, and names, logos, and trademarks on the Mobile Application ("Service Content") are protected by copyright laws and/or other laws and/or international treaties, and belong to us and/or our suppliers, as the case may be. These works, logos, graphics, sounds, or images may not be copied, reproduced, retransmitted, distributed, disseminated, sold, published, broadcasted, or circulated whether in whole or in part, unless expressly permitted by us and/or our suppliers, as the case may be.

4. GENERAL PROHIBITIONS

You agree not to do or attempt to do any of the following:

• Probe, scan, or test the vulnerability of any Ngoc Nguyen Team system or network or breach any security or authentication measures;

• Access, tamper with, or use non-public areas of Ngoc Nguyen Team, Ngoc Nguyen Team’s computer systems, or the technical delivery systems of Ngoc Nguyen Team’s providers;

• Decipher, decompile, disassemble, or reverse engineer any of the software used to provide Ngoc Nguyen Team;

• Interfere with, or attempt to interfere with, the access of any user, host, or network, including sending a virus, overloading, flooding, spamming, or mail-bombing Ngoc Nguyen Team;

• Access or search Ngoc Nguyen Team or download any intellectual property from Ngoc Nguyen Team through the use of any engine, software, tool, agent, device, or mechanism (including spiders, robots, crawlers, data mining tools, or the like) other than our publicly supported interfaces;

• Plant malware or use Ngoc Nguyen Team to distribute malware;

• Post or transmit anything that is fraudulent or misleading, or that infringes on others’ rights. Send any unsolicited communications, promotions, advertisements, or spam;

• Impersonate or misrepresent your affiliation with any person or entity;

• Violate the privacy of others;

• Violate any applicable law or regulation; or

• Encourage or enable any other individual to do any of the above.

Although we’re not obligated to monitor access to or use of Ngoc Nguyen Team or your content or to review or edit any of your content or the intellectual property of other Ngoc Nguyen Team users, we have the right to do so for the purpose of operating Ngoc Nguyen Team, to ensure compliance with these Terms, or to comply with applicable law or other legal requirements. We reserve the right, but are not obligated, to remove or disable access to any of your content, at any time and without notice, including, but not limited to, if we, at our sole discretion, consider any of your content to be objectionable or in violation of these Terms. We have the right to investigate violations of these Terms or conduct that affect Ngoc Nguyen Team. We may also consult and cooperate with law enforcement authorities to prosecute users who violate the law.

5. DISCLAIMER OF WARRANTIES

Ngoc Nguyen Team makes no warranties or representations regarding the accuracy, reliability, completeness, or timeliness of the content or functionality of the Application. The Application is provided “as is” without any warranties or representations of any kind, express or implied.

• Smart IPTV Player does not host, provide, or contain any media or data preloaded playlists or channels. We solely serve as a player tool to facilitate the playback of data provided by users.

• Users must import their own content.

• Smart IPTV Player is not affiliated with any third-party providers.

• We do not endorse or offer IPTV subscriptions or access to copyrighted streams. Users are advised to add services from their respective service providers for streaming URLs or any other type of URLs they wish to stream, including user IDs, passwords, all identifying information, URLs, or m3u playlists. We strongly discourage the use of any illegal IPTV services.

This app simply displays the data added by the user and plays the user's data within the confines of the app.

6. INDEMNIFICATION

You agree to indemnify and keep us indemnified against any claim, action, suit, or proceeding brought or threatened to be brought against us which is caused by or arising out of (a) your use of the Services, (b) any other party’s use of the Services using your user ID, and/or (c) your breach of any of these Terms of Use, and to pay us damages, costs and interest in connection with such claim, action, suit or proceeding.

7. GOVERNING LAW

These Terms and any action related thereto will be governed by the laws of Vietnam without regard to its conflict of laws provisions.

8. GENERAL TERMS

These Terms constitute the entire and exclusive understanding and agreement between Ngoc Nguyen Team and you regarding Ngoc Nguyen Team, and these Terms supersede and replace any and all prior oral or written understandings or agreements between Ngoc Nguyen Team and you regarding Ngoc Nguyen Team, except that if you become a party to Ngoc Nguyen Team’s Business Agreement, either before or after reviewing these Terms, the terms and conditions of the Business Agreement will govern over any conflicting provisions herein. If for any reason a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.

You may not assign or transfer these Terms, by operation of law or otherwise, without Ngoc Nguyen Team’s prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. Ngoc Nguyen Team may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and insure to the benefit of the parties, their successors and permitted assigns.

Any notices or other communications provided by Ngoc Nguyen Team under these Terms, including those regarding modifications to these Terms, will be given: (i) by Ngoc Nguyen Team via email; or (ii) by posting to our website. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.

Ngoc Nguyen Team’s failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Ngoc Nguyen Team. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.
