1. CONTRACTUAL RELATIONSHIP
These Terms of Service ("Terms") constitute a legally binding agreement between you and Popi. By accessing or using the Popi mobile application (the "App"), you confirm your agreement to be bound by these Terms. If you do not agree to these Terms, you may not access or use the App.
2. LICENSE GRANT AND RESTRICTIONS
Subject to your compliance with these Terms, Popi grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to download and use the App on your personal iOS device.
Prohibited Use: You shall not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of that software.
3. USER RESPONSIBILITY AND RISK ACKNOWLEDGMENT
3.1 Data Deletion: Popi provides tools to assist in the deletion of files. You acknowledge that deletion is permanent. You are solely responsible for reviewing all items before confirming deletion. Popi is not liable for the loss of any data, photos, or contacts that you chose to delete or modify.
3.2 Acoustic Cleaning: The "Sound Wave Speaker Cleaner" uses high-frequency sound waves. While designed to be safe, you use this feature at your own risk. Do not place the device near your ears or the ears of others/animals while the cleaning frequency is active.
4. SUBSCRIPTIONS AND BILLING (APPLE APP STORE RULES)
Popi may offer premium features via a subscription model ("Premium Subscription").
Automatic Renewal: Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period.
Billing: Payment will be charged to your iTunes Account at confirmation of purchase.
Management: You can manage or turn off auto-renew in your Apple ID Account Settings at any time after purchase.
Refunds: All billing and refund requests are handled exclusively by Apple Inc. and are subject to Apple’s Media Services Terms and Conditions.
5. INTELLECTUAL PROPERTY
The App, including its logos, UI design, custom algorithms, and "Popi" branding, is the intellectual property of the developer. No license is granted to use our branding or trademarks without prior written consent.
6. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, NOT EXPRESSLY SET OUT IN THESE TERMS, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN ADDITION, WE MAKE NO REPRESENTATION, WARRANTY, OR GUARANTEE REGARDING THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, OR AVAILABILITY OF THE SERVICES.
7. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, POPI AND ITS DEVELOPERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE RELATED TO, IN CONNECTION WITH, OR OTHERWISE RESULTING FROM ANY USE OF THE SERVICES, REGARDLESS OF THE NEGLIGENCE (EITHER ACTIVE, AFFIRMATIVE, SOLE, OR CONCURRENT) OF POPI.
8. INDEMNIFICATION
You agree to indemnify and hold Popi and its officers, directors, and employees harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys' fees) arising out of or in connection with: (i) your use of the App; (ii) your breach or violation of any of these Terms; or (iii) your violation of the rights of any third party.
9. TERMINATION
We reserve the right to terminate or suspend your access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the App will cease immediately.
10. GOVERNING LAW AND JURISDICTION
These Terms are governed by and construed in accordance with the laws of the jurisdiction of the developer's residence, without giving effect to any conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located therein.
11. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Popi regarding the use of the App and supersede all prior or contemporaneous communications and proposals.
