Luminar User Agreement

Effective Date: October 30, 2025

These Terms of Service (hereinafter referred to as the "Terms" or the "Agreement") govern all actions you take when accessing or using Luminar and its associated services (collectively, the "Services") via the mobile application, web version, API, or any other form (collectively, the "App" or "Service"). Please read these Terms and the accompanying Privacy Policy carefully before using the Service to ensure you fully understand the contents. By accessing or using the Services, you agree that you have read, understood, and accepted to be bound by these Terms. If you do not agree with any part of these Terms, you must stop using the Service immediately.

Arbitration & Class Action Waiver

Any dispute arising from this Agreement between you and Luminar shall be submitted to binding and final arbitration under the jurisdiction of an appropriate arbitration body.

Both parties waive the right to participate in class actions or class arbitrations.

If you do not agree to arbitration, you may opt out by providing written notice to Luminar within 30 days of your initial acceptance of these Terms, as outlined herein.

1. Eligibility

You must be at least 18 years of age, or the minimum legal age required in your jurisdiction if higher, to register or use the Service.

You represent and warrant that you are legally capable of entering into and performing a binding agreement with Luminar, and you agree to comply with all applicable international, national, regional, and local laws and regulations.

Luminar does not knowingly provide Services to minors or knowingly collect their personal information. Luminar is not liable if you provide false information that circumvents age verification.

2. License Grant & Restrictions

License Grant

Subject to your compliance with these Terms, Luminar grants you a personal, worldwide, non-exclusive, royalty-free, revocable, non-transferable, and non-sublicensable license to download, install, access, and use the Services and their features.

Automatic Updates

The Services may include automatic updates and new features. You may manage update preferences through your device or account settings.

Restrictions

Unless explicitly permitted by law or authorized in writing by Luminar, you may not:

Copy, modify, publish, distribute, sell, rent, or sublicense any part of the Service;

Reverse engineer, decompile, decrypt, or extract source code from the Service;

Remove or alter copyright or trademark notices;

Circumvent technical restrictions or access restricted areas;

Use automated tools (e.g., bots or crawlers) to scrape or monitor the Service.

3. User Content & License

Definition

"User Content" refers to any text, images, audio, video, data, comments, ideas, or other material you upload, post, transmit, or store through the Service.

Ownership

You retain all rights to your User Content.

License to Luminar

To operate, enhance, and promote the Service, you grant Luminar and its affiliates a worldwide, royalty-free, sublicensable, transferable, non-exclusive license to host, store, use, modify, display, distribute, and create derivative works from your User Content.

Promotion & Localization

If your content is public in nature, you agree that Luminar may use your name, profile image, username, and content for promotional purposes worldwide at no cost.

Content Moderation

While not obligated to pre-screen all content, Luminar reserves the right to remove, restrict, or refuse to publish any content at its sole discretion.

4. Third-Party Content & Links

The Service may display content, advertisements, or links from third parties. Luminar makes no guarantees regarding their accuracy, legality, or safety, and you assume all associated risks.

Access to any third-party sites or services (including payment providers) is governed by their respective terms and privacy policies.

5. Privacy Protection

We value your privacy. Please refer to the Privacy Policy, which is an integral part of these Terms, to learn how we collect, use, store, and share your data.

By using the Service, you consent to the handling of your data in accordance with the Privacy Policy.

6. Code of Conduct

To maintain a respectful community, you may not upload, post, or distribute any content or engage in behavior that:

Violates others' privacy, image rights, or intellectual property;

Involves threats, harassment, discrimination, hate, violence, or illegal activities;

Promotes scams, malware, spam, or unauthorized data collection;

Facilitates money laundering, terrorism financing, or unlawful acts;

Uses automation to scrape or disrupt the Service;

Collects, stores, or discloses others' data without consent;

Violates laws or these Terms.

Luminar may take appropriate measures against violations, including warnings, content removal, account suspension, or permanent bans.

7. Intellectual Property

You must ensure that the content you upload is legally permitted. Luminar complies with the Digital Millennium Copyright Act (DMCA) and similar laws.

Rights holders may submit valid infringement claims with necessary documentation (e.g., ownership proof, content location). Repeated infringers may have their accounts terminated.

8. Security & Account Management

You are solely responsible for your account and its activity, including safeguarding your password and login credentials.

Account sharing, transfer, or sale is prohibited. Notify Luminar immediately if unauthorized use or security risks occur.

9. Purchases & Payments

Virtual Goods & Services

Prices and payment methods will be clearly displayed before purchase;

Payments are processed by third-party platforms (e.g., app stores, payment processors);

Refunds are not provided unless required by law or specifically stated.

Subscription Services

Subscriptions are non-refundable once paid, except as required by law (e.g., EU cooling-off period);

Auto-renewals must be canceled before the billing cycle ends;

Deleting the app or account does not cancel subscriptions.

10. Virtual Currency & Points

Luminar's virtual currency or points are for in-app use only and have no legal tender value. They are not exchangeable for cash, nor transferable.

Promotional or gifted currency may expire;

If system errors cause balance issues, Luminar will restore the correct amount but is not liable for compensation beyond actual value.

11. Mobile Data & Charges

You are responsible for any mobile data, SMS, or call charges incurred while using the Service. Please consult your network provider for details.

12. Modifications, Interruptions & Termination

Luminar reserves the right to modify, update, suspend, or terminate any part or all of the Services at any time without prior notice.

If you violate these Terms or applicable laws, Luminar may immediately suspend or terminate your access.

Sections 3, 4, 6, 7, 13, 14, 16, 17, 18, and 19 will survive termination.

13. Disclaimer

To the fullest extent permitted by law, Luminar provides the Services "as is" and "as available," without any express or implied warranties regarding accuracy, reliability, timeliness, security, or fitness for a particular purpose.

14. Limitation of Liability

To the extent permitted by law, Luminar and its affiliates are not liable for any direct, indirect, special, incidental, or consequential damages arising from your use or inability to use the Service, including loss of profits, data, or business interruption.

15. Dispute Resolution & Governing Law

These Terms and any disputes shall be governed by the laws of the State of California, USA, excluding its conflict of laws principles, unless otherwise required by your local jurisdiction.

Any dispute shall be submitted to final and binding arbitration in San Francisco, California, under the then-effective arbitration rules. The arbitration decision is binding for both parties.

16. Miscellaneous

Severability: If any provision is found unenforceable, the remaining provisions remain effective.

Entire Agreement: These Terms and the Privacy Policy constitute the complete agreement between you and Luminar.

Updates: Luminar may update these Terms at any time. Major changes will be announced in-app or by email. Continued use indicates acceptance.

Language: In case of discrepancies between translated versions and the English version of these Terms, the English version shall prevail.
