Terms of Use

Please read these terms carefully before using Hermes Agent. 

Effective: 1 July 2026   App: Hermes Agent (iOS)  

01  ·  ACCEPTANCE OF TERMS

Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and Developers of this app ("we," "our," "us"), governing your use of the Hermes Agent iOS application and related services.

By downloading, installing, or using Hermes Agent, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use Hermes Agent.

02  ·  LICENCE TO USE

Licence to Use

Subject to your compliance with these Terms, This App grants you a limited, non-exclusive, non-transferable, revocable licence to:

• Download and install Hermes Agent on iOS devices that you own or control

• Use Hermes Agent for your personal or internal business purposes

This licence does not include the right to:

• Sublicense, sell, resell, or commercially exploit Hermes Agent

• Reverse-engineer, decompile, or disassemble the iOS application (except to the extent permitted by applicable law)

• Remove or alter any proprietary notices, labels, or branding within the app

• Use Hermes Agent in any way that violates applicable law

03  ·  OPEN SOURCE COMPONENTS

Open Source Components

The Hermes Agent server software (the agent runtime, skill engine, and memory subsystem) is released under the MIT Licence. You are free to use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of the server software, subject to the MIT Licence terms.

Important: The iOS application itself (the client app distributed via the App Store) is proprietary software owned by Us and is not open source. The MIT licence applies to the server-side agent software only.

04  ·  ACCOUNT & ELIGIBILITY

Account & Eligibility

Hermes Agent does not require you to create an account. You access the app using your Apple ID for subscription purposes only.

You must be at least 13 years old (or 16 in the EEA) to use Hermes Agent. By using the app, you represent that you meet this requirement. You are responsible for all activity conducted through your Hermes instance.

05  ·  SUBSCRIPTIONS & BILLING

Subscriptions & Billing

Hermes Pro is an optional subscription that unlocks additional features including unlimited memory, autonomous mode, and unlimited skill writing.

Free trial: New subscribers receive a 7-day free trial. No charge is made until the trial period ends. You may cancel at any time during the trial without being charged.

Billing: Subscriptions are billed through Apple's In-App Purchase system. By subscribing, you authorise Apple to charge your Apple ID account on the billing cycle you selected (monthly or annual). Billing occurs at the start of each period and auto-renews unless cancelled at least 24 hours before renewal.

Price changes: We reserve the right to change subscription pricing. You will be notified before any price change takes effect, and the new price will apply at your next renewal.

Cancellation & refunds: Cancel anytime via iOS Settings > Apple ID > Subscriptions. Access continues until the end of the current paid period. Refunds are governed by Apple's refund policy. We do not independently issue refunds for App Store purchases.

06  ·  ACCEPTABLE USE

Acceptable Use

You agree not to use Hermes Agent to:

• Violate any applicable law or regulation

• Harass, threaten, or harm any person

• Send spam, unsolicited messages, or bulk commercial communications

• Distribute malware, phishing content, or malicious code

• Infringe the intellectual property rights of any third party

• Impersonate any person or entity

• Generate or distribute illegal content, including content that exploits minors

• Engage in any activity that disrupts or interferes with third-party services or networks

• Circumvent any technical restrictions or access controls

Autonomous mode responsibility: When you enable autonomous mode, Hermes acts on your behalf without per-action approval. You are solely responsible for all actions taken by Hermes in autonomous mode, including messages sent, files accessed, or API calls made.

07  ·  MESSAGING PLATFORM COMPLIANCE

Messaging Platform Compliance

When connecting Hermes to third-party messaging platforms (Telegram, Discord, Slack, WhatsApp, Signal, Email), you are responsible for ensuring that your use complies with the terms of service of each platform.

In particular:

• You must not use Hermes to send unsolicited messages or spam

• You must comply with each platform's bot and automation policies

• You must not use Hermes to access or scrape platform data in ways that violate their terms

We bear no responsibility for violations of third-party platform terms resulting from your use of Hermes.

08  ·  AI-GENERATED CONTENT

AI-Generated Content

Hermes Agent uses AI language models to generate responses and take actions. You acknowledge and agree that:

• AI outputs may be inaccurate. AI-generated content can contain errors, hallucinations, outdated information, or factual inaccuracies. Do not rely on AI outputs for decisions requiring professional expertise (medical, legal, financial, safety-critical).

• You review before acting. In supervised and balanced modes, you have the opportunity to review proposed actions before they are executed. In autonomous mode, you accept that actions are taken without per-action review.

• You own your outputs. Subject to the terms of the AI backend provider you configure, AI-generated content produced by your Hermes instance is yours.

• AI models are third-party services. We do not provide the underlying AI model. Your use of any AI backend is subject to that provider's terms and policies.

09  ·  YOUR SERVER RESPONSIBILITIES

Your Server Responsibilities

Because Hermes runs on infrastructure you control, you are responsible for:

• The security of your Hermes server, including access controls, encryption, and keeping software updated

• Compliance with applicable data protection laws for data stored on your server

• The actions taken by your Hermes instance, including actions taken in autonomous mode

• Costs associated with your chosen hosting provider and AI backend usage

• Backing up your memory vault and configuration data

We are not responsible for data loss, security breaches, or other incidents arising from your server infrastructure.

10  ·  INTELLECTUAL PROPERTY

Intellectual Property

The Hermes Agent iOS application, including its design, brand elements, artwork, and user interface, is the intellectual property of Developers of this app and is protected by copyright and applicable intellectual property law.

Content you create using Hermes (prompts, memories, skill configurations) belongs to you, subject to the terms of any third-party AI backend you use.

11  ·  DISCLAIMER OF WARRANTIES

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HERMES AGENT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

WE EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

You use Hermes Agent entirely at your own risk. We do not warrant the accuracy, completeness, or usefulness of any AI-generated content.

12  ·  LIMITATION OF LIABILITY

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, LOSS OF BUSINESS, OR REPUTATIONAL HARM, ARISING OUT OF OR RELATED TO YOUR USE OF HERMES AGENT.

IN NO EVENT SHALL TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR INR 1,000 (WHICHEVER IS GREATER).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

13  ·  INDEMNIFICATION

Indemnification

You agree to indemnify, defend, and hold harmless, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your use of Hermes Agent in violation of these Terms

• Actions taken by your Hermes instance, including in autonomous mode

• Your violation of any third-party rights or platform terms

• Your server infrastructure or its security

14  ·  TERMINATION

Termination

These Terms remain in effect until terminated. You may terminate your use of Hermes Agent at any time by deleting the app from your device and cancelling any active subscription.

We may terminate or suspend your access to Pro features (by invalidating subscription entitlements) if you materially breach these Terms and fail to remedy the breach within 14 days of notice.

Upon termination: your licence to use the iOS application ends; your Hermes server data (memory, skills, configuration) remains on your own infrastructure and you remain responsible for it.

15  ·  GOVERNING LAW & DISPUTES

Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any dispute arising from these Terms or your use of Hermes Agent shall first be attempted to be resolved through informal negotiation. If resolution is not reached within 30 days, disputes shall be referred to binding arbitration in India under the Arbitration and Conciliation Act, 1996.

Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.

16  ·  CHANGES TO THESE TERMS

Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through App Store release notes or an in-app notice. The updated Terms will be effective as of the date posted on this page.

Your continued use of Hermes Agent after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, please discontinue use of the app.
