Terms of Service — Flux Studio AI

Welcome to Flux Studio AI (“Flux Studio,” “the App,” “we,” “us,” or “our”). These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “User,” or “Creator”) and Flux Studio AI governing your access to and use of our mobile applications, web services, desktop applications, APIs, and associated services (collectively, the “Service”).

By downloading, installing, accessing, or using Flux Studio AI, you agree to be bound by these Terms and our Privacy Policy If you do not agree to these Terms, you must not use or access the Service.

1. Eligibility & Account Registration

1. Age Requirement: You must be at least 13 years of age (or the minimum legal age of digital consent in your jurisdiction, e.g., 16 in the European Economic Area) to use the Service. If you are under 18, you represent that you have received consent from your parent or legal guardian.

2. Account Security: When registering an account via Google Sign-In, Apple ID, or email, you agree to provide accurate, complete information and keep your credentials secure. You are solely responsible for all activities occurring under your account.

3. Unauthorized Use: You must immediately notify Flux Studio AI at `support@fluxstudio.ai` if you suspect unauthorized access or security breaches of your account.

2. Description of Service & AI Functionality

Flux Studio AI is an advanced creative suite combining on-device WebGL canvas editing with cloud-based neural generative models (including FLUX 3.0 Ultra, FLUX 2.0, and proprietary image processing pipelines).

Key features of the Service include:

- Studio Portrait Retouching & AI Relighting: Neural face enhancement, 3D volumetric light casting, and tone adjustments.

- Generative Inpainting & Outpainting: Smart removal of objects and contextual expansion of canvas borders.

- Style Transfers & Film Emulation: 35mm film grading, artistic styles, and commercial product staging.

- High-Resolution Upscaling: 2K, 4K, and 8K studio upscaling and export.

- Hardware WebGL Canvas Tools: Real-time client-side cropping, color grading, and parameter adjustments.

3. Subscriptions, Credits, Billing & Cancellation

3.1 Subscription Tiers & Billing Cycles

Flux Studio AI provides tiered access to generative models and computing queues:

- Standard Plan: Includes monthly credit allotment, standard 2K resolution export, personal usage license, and access to all client-side WebGL canvas tools.

- Pro Plan: Includes 2,000 monthly credits with rollover, FLUX 3.0 Ultra model access, 4K Ultra export, commercial creator license, and priority GPU processing.

- Ultra Plan: Includes 5,000 monthly credits with rollover, 8K Master upscaling, 5 simultaneous variations, multi-project commercial license, and VIP sub-3s rendering queue.

Subscriptions are billed in advance on a recurring Monthly or Annual basis depending on the plan selected at checkout.

3.2 FLUX Credits & Rollover Policy

- Standard AI image generations consume credits based on the model tier and output resolution.

- Client-side WebGL adjustments (crop, rotate, color grading, adjustments) do not consume credits.

- Credit Rollover: Unused monthly credits roll over to the next billing cycle as long as your subscription remains active and in good standing. If a subscription lapses or is cancelled, unused credits expire at the end of the paid billing period.

3.3 Payments & Store Processing

- Subscriptions and in-app credit purchases made through the mobile application are processed securely by the Google Play Store or Apple App Store via our billing infrastructure (Adapty).

- Applicable taxes (such as VAT or sales tax) are determined and collected by the respective platform store based on your billing address.

3.4 Cancellation & Refunds

- Cancel Anytime: You may cancel recurring subscriptions at any time via your Google Play Account Settings or Apple Subscriptions Settings. Cancellation takes effect at the end of your current billing period; you retain access to all plan features until that date.

- Refund Policy: Purchases made through Google Play or Apple App Store are subject to the refund policies of those respective platforms. Flux Studio AI cannot directly issue refunds for purchases processed through third-party app stores.

4. User Content & Intellectual Property

4.1 Uploaded Content (“Input”)

- You retain full ownership of all images, photos, prompts, and materials you upload or input into the Service (“Input”).

- You represent and warrant that you own or have obtained all necessary licenses, consents, rights, and model releases for any Input you submit.

- You grant Flux Studio AI a limited, non-exclusive, worldwide license to process, encode, and transmit your Input solely for the purpose of operating the Service and delivering your generated outputs. **We do not sell your personal photos or use your private images to train public base models.**

4.2 Generated Artwork (“Output”)

- Ownership of Output: To the maximum extent permitted by applicable law, you own the Output generated through your account via Flux Studio AI.

- Commercial Licensing:

  - Standard Tier: Granted a non-exclusive, revocable, personal, non-commercial license.

  - Pro & Ultra Tiers: Granted full, royalty-free, perpetual commercial rights to reproduce, distribute, display, monetize, and incorporate Output into commercial advertising, client deliverables, prints, and merchandise.

- Nature of Generative AI: You acknowledge that due to the probabilistic nature of generative artificial intelligence models, Outputs may not be unique across different users submitting similar or identical prompts.

4.3 Flux Studio AI Platform Rights

The software, UI design, brand assets, logos, trademarks, WebGL shaders, and proprietary algorithms of Flux Studio AI are the exclusive intellectual property of Flux Studio AI and its licensors. You may not reverse engineer, decompile, copy, or redistribute our platform without prior written consent.

5. Acceptable Use Policy & Safety Restrictions

You agree not to use Flux Studio AI to create, upload, generate, or distribute:

1. Child Sexual Abuse Material (CSAM)  or any content that exploits, harms, or endangers minors.

2. Non-Consensual Sexual Imagery (NCII) or deceptive deepfakes depicting real individuals without their explicit written consent.

3. Defamatory, Hateful, or Harassing Content: Material promoting violence, discrimination, or hate speech against protected groups.

4. Fraudulent, Deceptive, or Unlawful Content: Fake identification, political disinformation, or impersonation of official bodies.

5. Infringing Content: Uploading materials that violate third-party copyrights, trademarks, publicity rights, or trade secrets.

6. Automated Abuse: Attempting to scrape, reverse engineer, bypass rate limits, probe security vulnerabilities, or deploy bots against our cloud GPUs and APIs.

Enforcement: Flux Studio AI reserves the right to review inputs and outputs flagged by automated safety filters, terminate accounts, and cooperate with law enforcement authorities in cases of severe abuse.

6. Disclaimers of Warranties

1. "As-Is” Service: Flux Studio AI is provided on an “AS IS”and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

2. AI Output Variations: Generative AI technology is inherently experimental. We do not warrant that Outputs will be error-free, photorealistic in every instance, or meet specific subjective expectations.

3. Availability:  We strive for continuous uptime, but do not guarantee uninterrupted or error-free access. GPU queues, maintenance windows, and third-party cloud infrastructure may experience temporary latency or downtime.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

- In no event shall Flux Studio AI, its directors, employees, partners, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, goodwill, or business interruption) arising out of or related to your use of the Service.

- Our total aggregate liability for any claims arising under these Terms shall not exceed the greater of  $100 USD or the total amount paid by you to Flux Studio AI in the six (6) months preceding the event giving rise to liability.

8. Indemnification

You agree to defend, indemnify, and hold harmless Flux Studio AI, its affiliates, officers, and contractors from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising from:

1. Your violation of these Terms or applicable laws;

2. Any Input uploaded by you that infringes third-party intellectual property or privacy rights;

3. Your unauthorized commercial exploitation of Outputs under a personal license tier.

9. Third-Party Services & Links

The Service may integrate with third-party software, SDKs, and payment gateways (including Adapty, Google Play Services, Apple StoreKit, and Supabase). Your interaction with third-party services is governed by their respective terms and privacy policies.

10. Modifications to Terms & Service

We may update or modify these Terms periodically to reflect product enhancements, legal requirements, or changes in AI industry standards. When changes are made, we will update the “Last Updated” date above. Continued use of Flux Studio AI after revised Terms become effective constitutes your acceptance of the updated Terms.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction of operation, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved through good-faith negotiation, or, if unresolved, in the competent courts located in the primary jurisdiction of operation.
