This VIP Membership Agreement (hereinafter referred to as the “Agreement”) is entered into between the service provider (hereinafter referred to as “We”, “Us”, “Our”) and you (hereinafter referred to as “You”, “User”), governing your access to and use of the VIP membership services of the EmojiWall mobile application (hereinafter referred to as the “App”), which is available for download on the Apple iOS App Store.
By purchasing, activating, or continuing to use the EmojiWall VIP membership service, you fully acknowledge, understand, and unconditionally agree to be bound by all terms and conditions of this Agreement, as well as Apple’s App Store Terms of Service and Media Services Terms and Conditions. If you do not agree to any part of this Agreement, please do not purchase or use our VIP membership services.
EmojiWall is an iOS-based emoji wallpaper customization application that provides personalized emoji wallpaper creation, exclusive wallpaper resources, high-definition material libraries, one-click setting functions, and other customized services. The VIP membership is a paid subscription service that grants users access to premium, exclusive functional and content rights of the App, which are not available to free users.
All VIP membership services are exclusively applicable to the EmojiWall App for iOS devices. We reserve the right to adjust, optimize, or upgrade VIP service content and functions in accordance with product iteration and operation needs, without prior notice to users, provided that the core enjoyed rights of valid ongoing memberships will not be materially reduced.
2.1 All VIP membership purchases for the EmojiWall App are completed through Apple App Store In-App Purchase. All payment transactions, fund deduction, billing records, and subscription management are solely processed and controlled by Apple Inc. We do not collect, store, or obtain your bank card, Apple ID payment information, or any sensitive payment data.
2.2 Membership types, pricing, and billing cycles are subject to the real-time display on the App Store purchase page, including but not limited to monthly subscription, annual subscription, lifetime membership, and limited-time trial membership. All prices are denominated in the local currency determined by the App Store, and include applicable taxes as required by local laws.
2.3 Auto-Renewal Rules: All periodic subscription memberships (monthly/annual) are auto-renewable by default. The subscription will be automatically renewed within 24 hours before the expiration of the current billing cycle, and the corresponding fees will be deducted via your Apple ID payment method. You authorize Apple to complete automatic fee deduction for renewal services.
2.4 You may cancel the auto-renewal service at any time through your Apple ID account settings (Manage Subscriptions page in App Store Account). Cancellation will take effect at the end of the current billing cycle. No partial refund will be provided for the unused period of the current subscription term after cancellation.
2.5 We reserve the right to adjust membership subscription prices. For users with valid ongoing subscriptions, price adjustments will not take effect until the next renewal cycle. Apple will notify you of price increases in accordance with App Store rules, and continued use of the membership service after price adjustment constitutes your acceptance of the new price standard.
Valid EmojiWall VIP members are entitled to the following exclusive rights during the membership valid period (specific rights are subject to the latest official opening of the App):
3.1 Unlimited access and download of all exclusive high-definition emoji wallpapers, premium emoji materials, and customized wallpaper templates in the App;
3.2 Removal of all in-app advertisements, pop-up promotions, and functional usage restrictions for free users;
3.3 Priority access to new functional updates, new material library resources, and limited-time exclusive theme activities;
3.4 Official exclusive customer service support for VIP users.
All VIP rights are for your personal, non-commercial use only. You shall not copy, distribute, resell, rent, or commercially utilize the exclusive VIP resources and functions obtained through membership subscription.
4.1 In accordance with Apple App Store rules and industry specifications, all in-app purchase subscription fees are non-refundable, except for mandatory refund requirements stipulated by local laws and regulations.
4.2 Since payment and refund authority are fully controlled by Apple, we have no right to initiate, modify, or override any refund decisions. If you have a refund request, you must submit an application through Apple Support or your App Store account. All refund reviews and results are subject to Apple’s final judgment.
4.3 No refund will be granted for the following situations: (1) Voluntary cancellation of subscription by users; (2) Unused or insufficient use of VIP functions and resources by users; (3) Account abnormality, login failure or service unavailability caused by user’s improper operation, device failure, or system incompatibility; (4) Violation of this Agreement or user rules leading to membership service suspension.
4.4 If a refund is successfully processed by Apple, your VIP membership rights will be permanently terminated immediately after the refund takes effect, and you will no longer enjoy any exclusive VIP services.
5.1 The VIP membership valid period shall be subject to the billing cycle confirmed by Apple’s successful deduction record. The membership rights will be activated immediately after successful payment and take effect synchronously on your logged-in device.
5.2 The VIP membership service is bound to your unique Apple ID and App account. It is only available for personal use on your authorized iOS devices. You shall not share, transfer, gift, or sell your VIP membership rights to third parties in any form.
5.3 If your App account is banned, suspended, or restricted due to violation of user agreements, illegal use, malicious operation, or other improper behaviors, we have the right to suspend or terminate your VIP membership rights without any refund or compensation.
5.4 After the expiration of the subscription cycle, the VIP membership will automatically expire. All exclusive VIP functions and resources will be locked, and your account will revert to a free user state. You may re-subscribe at any time to restore VIP rights.
As a VIP member user, you agree to bear the following obligations:
6.1 Comply with local national laws, regulations, and Apple App Store rules, and shall not use VIP exclusive services for illegal, infringing, obscene, violent, or any improper purposes;
6.2 Shall not use plug-ins, cracking tools, scripts, or other third-party auxiliary programs to steal, crack, or illegally obtain VIP membership rights and exclusive resources;
6.3 Shall not copy, reproduce, disseminate, or commercially use the exclusive wallpaper materials, templates, and functional resources of the App without our official authorization;
If you violate the above provisions, we have the right to immediately terminate your VIP membership qualification, suspend your account service, and reserve the right to pursue your legal liabilities and compensation for losses.
7.1 We may temporarily suspend the VIP service due to routine system maintenance, version upgrade, network failure, or force majeure factors (including but not limited to natural disasters, policy adjustments, and server failures). We will try our best to reduce the impact on user experience, and no compensation will be provided for temporary service interruption within a reasonable scope.
7.2 We reserve the right to permanently terminate the VIP membership service of users who seriously violate this Agreement, maliciously abuse service rights, or cause losses to our legitimate rights and interests.
7.3 We may adjust or discontinue individual VIP sub-services due to product iteration and operation optimization. We will notify users through in-app announcements in advance if overall service termination is involved.
We reserve the right to modify and update this Agreement in accordance with business development and legal requirements. The revised Agreement will be published in the App or official channels and take effect immediately upon publication. Your continued use of the VIP membership service after the update of the Agreement constitutes your acceptance of the revised terms. If you do not agree to the modified terms, you shall stop using the VIP service voluntarily.
Your use of VIP membership services is subject to our Privacy Policy. We will strictly protect your personal information in accordance with privacy laws and Apple’s privacy specifications, and will not disclose, sell, or lease your personal information to third parties without your consent, except as required by law.
10.1 Our VIP membership services are provided on an “as is” and “as available” basis. We do not warrant that the service will be uninterrupted, error-free, or fully meet all your personalized expectations.
10.2 We are not liable for any indirect losses, incidental losses, or profit losses caused by service interruption, function adjustment, or system failure within the legal scope.
10.3 All transactions of iOS in-app purchases are independently undertaken by Apple. We are not responsible for payment failures, deduction errors, subscription recognition abnormalities, and refund disputes caused by Apple’s system failures or rule adjustments.
This Agreement shall be governed by the laws of the People’s Republic of China, excluding conflict of law rules. Any dispute arising from the performance of this Agreement shall be settled through friendly negotiation by both parties; if negotiation fails, either party may submit the dispute to the competent people’s court where the service provider is located for resolution.
12.1 If any clause of this Agreement is deemed invalid or unenforceable due to legal adjustment, the validity of the remaining clauses shall not be affected.
12.2 This Agreement constitutes the entire agreement between both parties regarding the use of EmojiWall VIP membership services and supersedes all prior oral and written agreements between both parties on the same subject matter.
By purchasing and using the EmojiWall VIP Membership Service, you confirm that you have read, understood, and fully accepted all terms of this Agreement.
