This Service Provider Agreement (“Agreement”) is a legally binding contract between Bantu2U Holdings Sdn Bhd and the independent or corporate service provider driver or entity identified below (“Driver” or “You”). This agreement governs your use of the Bantu Pandu RescueDriver Application and your provision of roadside assistance services to our customers. By using the Bantu Pandu RescueDriver Application with use of your driver account or accepting any dispatch request through the Bantu Pandu RescueDriver Application, you acknowledge and agree to be bound by this Agreement.
1.1 Independent Contractor Status You acknowledge and agree that your relationship with Bantu2U Holdings Sdn Bhd is that of an independent contractor. Nothing in this Agreement shall be construed as creating an employment relationship, partnership, joint venture, or agency between you and Bantu2U Holdings Sdn Bhd.
Responsibility: You or your towing company are solely responsible for all taxes, insurance, equipment, and operating costs associated with your business and the services you provide. Bantu2U Holdings Sdn Bhd will not withhold any taxes except as required by law.
1.2 No Exclusivity You are free to provide services to any individual, and Bantu2U Holdings Sdn Bhd is free to contract with any other service provider that is not blacklisted by Bantu2U Holdings Sdn Bhd.
2.1 Scope of Service You agree to provide prompt, professional, and competent roadside assistance (including, but not limited to, towing) to Bantu Pandu Application customers according to the terms of the specified service request dispatched via the application.
2.2 Quality and Standards You agree to maintain all vehicles, tools, and equipment in safe and working order and all services shall be performed professionally and in a workmanlike manner, in compliance with all industry standards and applicable laws.
2.3 Acceptance and Response Bantu2U Holdings Sdn Bhd reserves the right to suspend or terminate your Driver account based on consistent failure to accept dispatch requests or excessive rejection rates.
3.1 Incorporation of Data Policy You acknowledge receipt and understanding of the separate document titled “Customer Data Handling Policy”. The Customer Data Handling Policy is incorporated into this Agreement by reference and constitutes a mandatory condition of your partnership.
3.2 Strict Limitation of Use You agree that Customer Data (including but not limited to name, phone number, email address, location), and Customer Vehicle Data (including but not limited to vehicle registration documents, vehicle brand and model, vehicle colour) is provided solely for the purpose of completing the specific assigned service request. You are strictly prohibited from using, retaining, marketing to, or disclosing Customer Data for any other commercial or personal purpose.
3.3 Breach of Data Policy Any violation of the Customer Data Handling Policy shall be considered as material breach of this Agreement and may result in immediate account termination and legal action.
4.1 Non-Payment or Disputes Bantu2U Holdings Sdn Bhd shall not be liable for any non-payment resulting from fraudulent transactions or service requests initiated by the customer or disputed payments unless Bantu2U Holdings Sdn Bhd is in breach of its own obligations under this Agreement.
5.1 Mandatory Insurance You shall, through your sole expense or your towing company, maintain all necessary insurance coverage required by law and industry standards, including, but not limited to Commercial Auto Insurance and General Liability Insurance, with coverage limits acceptable to Bantu Pandu RescueDriver Application.
5.2 Licensing and Permits You warrant that you possess and shall maintain all required licenses, permits, and authorizations necessary to lawfully operate your vehicle and perform the services within your operating area.
5.3 Safety You are solely responsible for the safety of your personnel, equipment, and operations while performing services for Bantu Pandu Application customers.
6.1 Provider Indemnification You agree to indemnify, defend, and hold harmless Bantu2U Holdings Sdn Bhd, its directors, employees, and agents from and against any and all claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to:
Your breach of this Agreement (including the Data Policy).
Any act, omission, negligence, or willful misconduct by you while performing services.
Any claim by a customer related to damage to their vehicle or property caused by your service.
6.2 Bantu Pandu Driver Application Limitation or Liability Bantu Pandu RescueDriver Application provides the Application as a platform for connection only. Bantu Pandu RescueDriver Application shall not be liable for:
The quality or timeliness of the roadside services you provide.
Any damage to property or injury to persons resulting from your services.
Any acts or omissions by a customer.
7.1 Termination by Either Party Either party may terminate this Agreement immediately upon written notice to the other party if the other party commits a material breach of this Agreement, including non-compliance with the Customer Data Handling Policy.
7.2 Post-Termination Obligations Upon termination, you must immediately cease all use of the Bantu Pandu RescueDriver Application and permanently delete all Customer Data that You have retained not legally required for tax or audit purposes.
8.1 Governing Law This Agreement shall be governed by laws of Malaysia, without regard to its conflict of laws principles.
8.2 Dispute Resolution Any dispute, controversy, or claim arising out of or relating to this Agreement shall be settled by binding arbitration in Malaysia in accordance with the rules of Asian International Arbitration Centre (AIAC).
