ALSAJI TERMS AND CONDITIONS OF USE
These Terms and Conditions of Use ("Terms") govern access to and use of the digital platforms operated by Alsaji Auto Spare Parts Co. Ltd. and its affiliates ("Alsaji", "we", "us", "our"), including:
The Alsaji mobile applications for iOS and Android (the "App"), and
The Alsaji websites, including www.alsaji.com and www.alsaji.ae (the "Website"),
together referred to as the "Services".
By accessing, downloading, installing, or using any part of the Services, creating an account, or placing an order, the user ("User", "you", "your") agrees to be bound by these Terms. If you do not agree, do not use the Services.

If you access the Services from outside Iraq, you do so on your own initiative and are responsible for complying with local laws where they apply.
2. SCOPE OF SERVICES
The Services are designed to provide:
Retail Shop
A platform for individual customers to browse, search, and purchase automotive spare parts, oils, accessories, batteries, and related products.
B2B Agent Portal
A secure portal for authorized agents, resellers, and wholesale customers ("Agents") to view inventory, access wholesale pricing, place orders, and manage their business relationship with Alsaji.
Information and Content
Product information, technical details, brand and partner information, branch locations, service offerings, and company news.
The Services are integrated with Alsaji back office and inventory systems, including Odoo, to reflect inventory, pricing, and order processing in real time where technically possible.
3. ACCEPTANCE OF TERMS
3.1 By using the Services, you confirm that you:
Have read, understood, and accepted these Terms, and
Are legally capable of entering into binding contracts under the laws of Iraq.
3.2 If you are using the Services on behalf of a company or other legal entity (for example, as an Agent), you represent and warrant that you are authorized to bind that entity to these Terms. In that case, "you" and "your" refer to that entity.
3.3 Additional terms may apply to specific features, promotions, or agreements (for example, a separate distribution agreement with Alsaji for Agents). In case of conflict, such specific terms prevail for the relevant feature or relationship, and these Terms continue to apply to general use of the Services.
4. USER TYPES
4.1 Retail Users
Retail Users are individual customers who use the Services for personal, non commercial purposes to browse and purchase automotive products.
4.2 Agents (B2B Users)
Agents are legal entities or individuals using the B2B portal for wholesale, distribution, or business related purchases. Agent access may require a separate onboarding and approval process and may be governed additionally by a separate distribution or agency agreement.
4.3 While some provisions may specifically refer to Retail Users or Agents, unless otherwise stated, all Users are bound by these Terms.
5. ACCOUNT REGISTRATION AND SECURITY
5.1 To access certain features, such as placing orders or using the B2B portal, you may be required to create an account.
5.2 When creating an account, you agree to:
Provide accurate, current, and complete information,
Keep your login credentials confidential and not share them with anyone, and
Update your information as needed to keep it accurate and complete.
5.3 You are responsible for all activities that occur under your account. If you believe your account has been compromised, you must notify Alsaji immediately at info@alsaji.com.
5.4 Alsaji reserves the right, at its discretion and without liability, to:
Refuse registration or suspend any username,
Suspend or terminate accounts, and
Restrict access to the Services,
if there is a suspected or actual breach of these Terms, misuse, fraud, or any security risk.
6. USE OF THE SERVICES
6.1 Subject to these Terms, Alsaji grants you a limited, non exclusive, non transferable, revocable license to access and use the Services for their intended purpose.
6.2 You agree not to:
Use the Services for any unlawful or unauthorized purpose or to violate any applicable law or regulation.
Access or attempt to access accounts, data, or systems without authorization.
Interfere with or disrupt the operation of the Services or connected networks, including by introducing viruses, malware, or harmful code.
Copy, scrape, harvest, reproduce, distribute, or commercially exploit any content from the Services except as explicitly permitted.
Reverse engineer, decompile, or attempt to extract source code from the App or any software used in the Services, except to the extent allowed by law.
Misrepresent your identity, affiliation, or authorization when dealing with Alsaji or third parties through the Services.
Use any automated system, robot, script, or data mining tool to access or interact with the Services without prior written consent from Alsaji.
6.3 Alsaji may monitor use of the Services to ensure compliance with these Terms, to improve service quality, and for security and fraud prevention purposes, in line with the Privacy Policy.
7. PRODUCT INFORMATION AND AVAILABILITY
7.1 Alsaji aims to provide accurate and up to date information on products, including descriptions, fitment details, OEM references, pricing, and stock status. However, occasional errors or inaccuracies may occur.
7.2 Product images are illustrative and may differ slightly from the actual product, especially where manufacturers change packaging, part markings, or design.
7.3 Availability and stock levels shown in the Services rely on integration with internal systems (including Odoo) and may not reflect real time changes. Alsaji does not guarantee that any product shown as available will be in stock at the time of order processing.
7.4 Alsaji reserves the right to:
Correct any errors or omissions in product information,
Update or change product details, and
Discontinue any product, at any time without prior notice.
8. ORDERS, PRICING, AND CONTRACT FORMATION
8.1 Retail Users
By placing an order through the Services, you are making an offer to purchase the selected products under these Terms.
8.2 Agents
Orders placed via the B2B portal are offers subject to acceptance by Alsaji and may also be governed by a separate contract or pricing agreement.
8.3 A contract is formed between you and Alsaji only when Alsaji:
Confirms the order by issuing an order confirmation via the Services, email, or other written means, or
Ships or hands over the ordered products,
whichever occurs first.
8.4 Prices
All prices are displayed in [Iraqi Dinar (IQD) or other currency as specified] and may include or exclude applicable taxes, fees, and delivery charges, as indicated.
Alsaji may change prices at any time, but such changes will not affect orders already accepted.
In case of error in pricing (for example, where a product is listed at an incorrect price), Alsaji may cancel the order or contact you to confirm whether you wish to proceed at the correct price.
8.5 Promotions and Discounts
Promotions, discounts, or special offers are subject to their own terms and conditions and may be withdrawn or modified at any time.
9. PAYMENT
9.1 Alsaji may offer one or more of the following payment methods, depending on your location and account type:
Cash on delivery,
Bank transfer,
Card or electronic payments through a third party payment gateway, and
Other methods indicated in the Services.
9.2 By providing payment information, you represent and warrant that:
You are authorized to use the selected payment method, and
The information provided is true and correct.
9.3 Where electronic payments are used, payment processing is handled by third party providers. Alsaji does not store full card numbers and is not responsible for any errors or losses caused by the payment processor, although Alsaji will reasonably assist users in resolving payment issues.
9.4 In the B2B portal, additional or different payment terms may apply (for example, credit terms, postpaid invoicing, or bank transfer). Such terms may be set out in a separate agreement with Alsaji. In case of conflict, that separate agreement prevails regarding payment conditions.
10. SHIPPING, DELIVERY, AND RISK OF LOSS
10.1 Delivery options, fees, and estimated timeframes are displayed during checkout or provided by customer service. Delivery times are estimates only and may vary based on location, carrier performance, and other factors beyond Alsaji control.
10.2 Risk of loss and title to the products pass to you upon delivery of the products to:
The delivery address you specified, or
The carrier, where applicable, depending on the terms indicated at checkout or in your separate agreement.
10.3 You are responsible for providing an accurate and complete delivery address and for being available to receive the shipment. Any additional costs due to incorrect address or failed delivery attempts may be charged to you.
11. RETURNS, REFUNDS, AND WARRANTY POLICY
11.1 General Principle
To the maximum extent permitted by applicable Iraqi consumer protection law, the only form of warranty or return right offered directly by Alsaji to retail final customers is the Limited Alsaji Workshop Warranty described in clause 11.2.
Any other returns or warranty claims must be pursued with the seller that supplied the product or with the manufacturer, in accordance with their policies and applicable law.
11.2 Limited Alsaji Workshop Warranty (Retail Final Customers Only)
This warranty applies only where all of the following conditions are met:
The product was purchased directly from Alsaji, whether through the App, the Website, or at an official Alsaji branch, and
The product was installed or applied by Alsaji personnel at an official Alsaji workshop or service center, and
The customer can present proof of purchase and proof of installation, such as an invoice and job card referencing the vehicle and the installed part.
If all of the above conditions are satisfied and a product is later found, after inspection, to be defective in material or workmanship within the applicable warranty period defined in Alsaji internal procedures, Alsaji may, at its discretion:
Repair the product, or
Replace it with an equivalent product, or
Offer a credit or other remedy,
in line with the detailed Return and Warranty Procedure that Alsaji publishes or makes available upon request.
This Limited Alsaji Workshop Warranty applies only to the specific part installed and does not cover any indirect damage to other vehicle systems, nor any costs related to diagnosis, removal, reinstallation, or downtime, except where Alsaji explicitly confirms coverage in writing.
11.3 No Returns or Warranty for Purchases from Agents or Third Parties
Where a customer purchases an Alsaji branded or Alsaji supplied product from:
An independent agent or reseller, even if that party is an authorized Alsaji Agent, or
Any other retailer or third party,
the customer has no right to make returns or warranty claims directly against Alsaji.
In such cases:
Any returns, exchanges, or warranty claims must be made with the seller that supplied the product, and
The customer will be subject to that seller return and warranty policies and applicable law.
Alsaji has no responsibility for commercial or warranty arrangements made between Agents or third party sellers and their customers.
11.4 No Returns or Warranty Where Installed by Third Party Workshops
If a product is not installed or applied at an official Alsaji workshop or service center, including where:
The product was purchased directly from Alsaji but installed by a third party workshop, garage, or service center, or
The product was purchased from an Agent or any third party and installed anywhere other than an official Alsaji workshop,
the customer has no right to make returns or warranty claims directly against Alsaji in respect of any defect, failure, or damage related to that product, its installation, fitment, or use.
Any complaint in this scenario must be handled between the customer and:
The third party workshop or service center that performed the installation, and or
The seller that supplied the product, or
The manufacturer, where applicable.
11.5 Other Return and Refund Situations
Alsaji may, at its own discretion and purely as a commercial gesture, accept certain returns or provide credit in situations that do not fall within the Limited Alsaji Workshop Warranty. Such cases are:
Decided by Alsaji on a case by case basis, and
Do not create any ongoing or general right for customers to expect similar treatment in the future.
Full procedural details, including any applicable restocking fees, inspection processes, and time frames, may be set out in a separate Return and Warranty Procedure document that Alsaji may update from time to time.
11.6 Non Excludable Rights
Nothing in this Section 11 excludes or limits any rights to returns or warranty that a customer may have under mandatory Iraqi consumer protection laws, to the extent such rights cannot be excluded by agreement.
12. B2B AGENT PORTAL SPECIFIC TERMS
12.1 Access to the B2B Agent portal is limited to Agents approved by Alsaji. Alsaji may revoke or suspend access at any time in case of suspected misuse, breach of these Terms, or breach of any separate agreement.
12.2 Agents must:
Keep login credentials confidential and restrict access only to authorized staff,
Ensure that users accessing the portal on their behalf comply with these Terms, and
Treat all non public pricing, inventory levels, and commercial information accessed through the portal as confidential.
12.3 B2B portal content, including wholesale pricing and discounts, may differ from retail offerings and may change at Alsaji discretion.
12.4 Where the B2B portal conflicts with terms in a separately executed distribution or agency agreement, that agreement will govern the commercial relationship, while these Terms govern the use of the digital Services.
13. INTELLECTUAL PROPERTY
13.1 All content and materials available through the Services, including but not limited to:
Logos, trademarks, and trade names (including the "Alsaji" name and logo),
Text, images, photographs, diagrams, and graphics,
Product catalog data and technical information,
Software, code, design, layout, and user interface,
are owned or licensed by Alsaji and are protected by copyright, trademark, and other intellectual property laws.
13.2 No rights in any intellectual property are transferred to you by accessing or using the Services. You may not:
Use Alsaji trademarks or logos without prior written consent,
Copy, reproduce, distribute, or modify content except as strictly necessary for personal, non commercial use or as agreed in writing, or
Create derivative works based on the Services or their content.
14. THIRD PARTY SERVICES AND LINKS
14.1 The Services may contain links to or integrations with third party websites, services, or content, including:
Manufacturer or partner websites,
Mapping, analytics, or payment services, and
Social media or communication tools.
14.2 These third parties are not controlled by Alsaji. Alsaji is not responsible for:
The content, accuracy, or policies of third party sites or services, or
Any loss or damage arising from your use of or reliance on them.
14.3 Use of third party services may be subject to their own terms and privacy policies. You are encouraged to review those before using such services.
15. SERVICE AVAILABILITY, CHANGES, AND MAINTENANCE
15.1 Alsaji aims to keep the Services available and functioning reliably. However, the Services may be interrupted, restricted, or changed due to:
Maintenance, updates, or technical issues,
Network or infrastructure failures, or
Events beyond Alsaji reasonable control.
15.2 Alsaji reserves the right, at any time and without liability, to:
Modify or discontinue any part of the Services,
Change features, design, or functionality, or
Restrict access to certain features or to the entire Services.
15.3 Where possible, Alsaji will take reasonable steps to inform users of planned major changes or outages.
16. WARRANTIES AND DISCLAIMERS
16.1 To the maximum extent permitted by law, the Services and all information, content, and products made available through them are provided on an "as is" and "as available" basis, without any warranties of any kind, whether express or implied.
16.2 Without limiting the generality of the above, Alsaji does not warrant that:
The Services will be uninterrupted, secure, or error free,
Any data displayed (including inventory, pricing, or fitment information) will be accurate or current at all times, or
The Services will be compatible with every device, operating system, or browser.
16.3 Products sold by Alsaji are subject only to the Limited Alsaji Workshop Warranty described in clause 11.2, provided that all eligibility conditions in that clause are satisfied.
Alsaji does not provide any warranty and does not accept returns:
For products purchased through Agents, resellers, retailers, or any third party, or
For products that are installed or applied by any workshop, garage, or service center other than an official Alsaji workshop or service center,
except where Alsaji is required to do so by mandatory Iraqi law.
Any broader manufacturer warranties that may exist are the responsibility of the relevant manufacturer and must be pursued directly with that manufacturer or through the seller that supplied the product, unless Alsaji explicitly agrees in writing to administer such warranty on its behalf.
16.4 Nothing in these Terms excludes or limits any warranties or rights that cannot be excluded or limited under applicable Iraqi law.
17. LIMITATION OF LIABILITY
17.1 To the maximum extent permitted by law, Alsaji, its directors, officers, employees, and agents shall not be liable for any:
Indirect, incidental, special, punitive, or consequential damages, or
Loss of profits, revenue, data, or business opportunities,
arising out of or in connection with the use or inability to use the Services or products purchased through them.
17.2 In all cases where Alsaji is found liable to you, the total aggregate liability of Alsaji for any claim arising out of or relating to these Terms or the Services shall not exceed the greater of:
The amount you paid for the specific product or service giving rise to the claim, or
[Specify a reasonable monetary cap, for example, the equivalent of one hundred thousand Iraqi Dinars (IQD 100,000)],
unless a higher amount is required by law.
17.3 The above limitations apply regardless of the legal basis of the claim, whether in contract, tort, negligence, or otherwise, and even if Alsaji has been advised of the possibility of such damages.
18. INDEMNITY
You agree to indemnify, defend, and hold harmless Alsaji, its directors, officers, employees, and agents from and against any claims, demands, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to:
Your breach of these Terms,
Your misuse of the Services, or
Any violation of applicable laws or third party rights by you.
19. GOVERNING LAW AND DISPUTE RESOLUTION
19.1 These Terms, and any dispute arising out of or relating to them or to the Services, are governed by and construed in accordance with the laws of the Republic of Iraq, without regard to conflict of law principles.
19.2 The parties agree that the courts of [Baghdad, Iraq] shall have exclusive jurisdiction over any dispute or claim arising out of or relating to these Terms or the Services, subject to any mandatory provisions of law.
19.3 Before initiating court proceedings, the parties shall use reasonable efforts to resolve any dispute amicably, including by contacting Alsaji customer service or legal department.
20. APP STORE AND PLATFORM SPECIFIC TERMS
20.1 Apple App Store (iOS)
If you download the App from the Apple App Store, your use of the App is also subject to the Apple Media Services Terms and Conditions and the standard Apple End User License Agreement (EULA). To the extent permitted by law and where not in conflict with Apple EULA, these Terms govern the relationship between you and Alsaji.
20.2 Google Play Store (Android)
If you download the App from Google Play, your use of the App is also subject to Google Play terms of service and policies. To the extent permitted by law, these Terms govern the relationship between you and Alsaji.
20.3 In case of conflict between platform terms and these Terms, the mandatory provisions of the platform terms apply only to the extent required by the platform. All remaining matters are governed by these Terms and Iraqi law.
21. CHANGES TO THESE TERMS
21.1 Alsaji may update these Terms from time to time, for example to reflect changes in the Services, applicable laws, or business practices.
21.2 When changes are made, the "Effective date" at the top of these Terms will be updated. In the case of material changes, Alsaji may also notify you through the Services, by email, or by other reasonable means.
21.3 Continued use of the Services after the updated Terms take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Services and may request account closure.
22. LANGUAGE
These Terms are provided in English. Alsaji may provide translations (for example, in Arabic) for convenience. In case of any inconsistency between language versions, the English version prevails, except where Iraqi law requires otherwise.
