The first step is to model and rig a character that will be the base for the Venom effect. You can use any character model that you have, or you can download a free one from TurboSquid: https://www.turbosquid.com/3d-models/free-max-mode-human-male/1084120
Once you have imported the character model into 3D Studio Max, you need to rig it with bones and skin modifiers. You can use the Biped system or any other rigging method that you prefer. The important thing is to make sure that the character can move and deform realistically.
Next, you need to create a custom material for the symbiotic suit. This material will have two layers: a base layer that is black and glossy, and a top layer that is transparent and refractive. You will use the Raytrace material in 3D Studio Max to achieve this effect.
To create the base layer, set the Diffuse color to black, the Specular color to white, and the Glossiness to 100. To create the top layer, set the Opacity to 0, the Refraction to 1.5, and the IOR to 2.5. Then, enable Fresnel Reflections and set the Falloff type to Perpendicular/Parallel.
