POSITION DESCRIPTION – BOARD OF TRUSTEES
FUNCTION
A Director represents the interests of the school population and the constituency served by the organization as set out in the articles of incorporation. A Director’s responsibility is to see that the public’s expectation of the organization’s nonprofit purpose is met.
RESPONSIBILITIES
Establish and regularly review or reaffirm Compass High School’s mission
Undertake strategic planning and review the goals and objectives of the organization
Annually review and approve the organization’s budget
Annually review and approve the organization’s funding plan
Approve major policies
Select, monitor, and annually review the Head of School
Annually review and approve personnel policies, compensation, and benefits
Monitor and evaluate performance of the organization
Propose slate of directors to fill vacancies as needed
Elect officers and establish committees
Approve major actions of the organization such as bylaw changes, articles of incorporation changes, expenditures over authorized limits
Annually review performance of the Board and take steps to improve its performance
ATTRIBUTES OF A BOARD MEMBER
Committed to the mission of the organization
Attends meetings regularly
Helps raise money for the organization and gives according to his/her means. (Compass should be in the top three non-profits that an individual gives to.)
Is willing to participate on committees and consider a leadership role
Knows about the issues, the problems, and the solutions
Commits for a complete term of office
Recruits new members
Is recognized by members of the organization for his/her enthusiasm, honesty, teamwork, and dedication
TERM
3 years from starting date
May be nominated for a consecutive term
