BY-LAWS OF ZIAVELO RACING CLUB

ARTICLE I

NAME AND PURPOSE

Section 1.  NAME

The name of the organization shall be ZIAVELO Racing Club (hereinafter also referred to as the “club”).

Section 2.  PURPOSE

(a) Promote of all forms of bicycling

(b) Organize social and bicycle activities

(c) Associate and cooperate with other clubs and associations (ie, Mesilla Valley Bike Coalition, Bike and Chowder, etc.) to promote bicycling and foster fellowship

(d) Promote responsible riding and ethical behavior among the bicycling community

 

ARTICLE II

MEMBERSHIP

Section 1.  QUALIFICATIONS FOR MEMBERSHIP

Membership shall be open to all bicycle riders and supporters of bicycling who pays annual dues to the Club as established by the Club Officers.  New members shall be admitted upon signing a registration form and waiver, and paying the annual dues.

Section 2.  TERM OF MEMBERSHIP AND DUES

(a)  Membership shall be effective for one year commencing January 1.  For members who join between September 1 and December 31 their membership will be effective until December 31 of the following year.

(b)  Individual membership dues shall be fifteen dollars ($15.00) per year. 

(c)  Only members shall be eligible to vote in business meetings of the club or to serve in any of its elective or appointive positions.

(d)  Applicants under eighteen (18) years of age must have the signature of one parent or guardian on the membership application.

 

ARTICLE III

MEMBERSHIP MEETING AND VOTING

Section 1.  PLACE OF MEETINGS

Annual and special meetings of the members shall be held at such place as may be designated by the club officers.

Section 2.  ANNUAL MEETINGS

The annual meeting of the members shall be held at the first meeting of the calendar year in January, on such date and at such time as may be prescribed by the club officers and specified in the notice of the meeting. 

At the annual meeting, the members present at the meeting shall elect by vote the club officers, consider reports of the affairs of the club and transact such other business as may properly be brought before the meeting.

Section 3.  MONTHLY MEETINGS

In addition to the annual meeting of members, the club shall also hold no less than ten (10) monthly meetings of members throughout the year.  Monthly meetings shall be conducted by a club officer.

Section 4.  SPECIAL MEETINGS

Racing, touring, off-road, and other special committee meetings shall be held as necessary.  These meetings shall be open to all club members.

Section 5.  NOTICE OF MEETINGS

Written or printed notice stating the place, day and hour of the meeting and, in case of a special meeting, the purpose or purposes for which the meeting is called, shall be delivered not less than ten (l0) days before the date of the meeting.

Section 6.  VOTING RIGHTS; QUORUM

(a) At all meetings of members, each member is attendance shall be entitled to one vote.

(b) Quorum:  The members present at a meeting will represent not less than 15 percent of the total membership in good standing to constitute a quorum for the transaction of any business  Every decision of a majority of such quorum shall be valid as a corporate act.

 

ARTICLE IV

OFFICERS AND THE DIRECTORY

Section l.  POWERS

There shall be four officers (known as the Executive Committee) and as many coordinators as needed.  The officers will be elected annually by and from the general membership.  The coordinators will be appointed by the club officers.

The business and affairs of the club shall be managed by the four officers and coordinators (together known as the committee) who shall exercise or direct the exercise of all corporate powers except to the extent member authorization is required by law, the Articles of Incorporation of the club or these by-laws.

Section 2.  OFFICERS

          The officers of the club shall be a President, Vice President, Secretary and Treasurer, each of whom shall be elected by the membership at the annual meeting of the members.

Section 3.  TERM OF OFFICE (OFFICERS)

All officers shall be elected to serve a one-year term.

Section 4.  PRESIDENT

The president shall be responsible for the club’s general management and shall oversee the affairs of the club.  The president shall preside at all meetings, shall have power to fill any vacancy that may occur and shall perform such other duties as office may require.

Section 5.  VICE PRESIDENT

          The vice president shall preside in the president’s absence.  In the event of the resignation or removal of the president, the vice president shall assume the duties of such office.

Section 6.  TREASURER

          The treasurer shall receive all moneys, pay all bills upon receiving proper approval and maintain proper financial records, according to accepted accounting practices.  The treasurer presides over meetings when both the president and vice president are absent.

Section 7.  SECRETARY

          The secretary shall keep the minutes of all member meetings when necessary and shall prepare written documents, notices, and correspondence for the club.

Section 8.  MEMBERSHIP COORDINATOR

          The membership coordinator shall be responsible for the promotion of the club, for the development, distribution and processing of club membership applications and for the maintenance of all membership records.

Section 9.  OFF-ROAD RACE COORDINATOR

          The off-road racing coordinator shall, under the direction of the officers, make and have charge of all arrangements for off-road races of the club and shall prepare notices and reports for publication on the club website.  He/she shall give a racing report at each meeting of the membership.  He/she may designate subject to the approval of the president, such assistants as he/she may need in the performance of the duties of his/her office.  The off-road racing coordinator shall be governed by and shall administer, the rules and regulations of the appropriate race sanctioning body.

Section 10.  ROAD RACE COORDINATOR

          The road racing coordinator shall, under the direction of the officers, make and have charge of all arrangements for races of the club and shall prepare notices and reports for publication on the club website.  He/she shall give a racing report at each meeting of the membership.  He/she may designate subject to the approval of the president, such assistants as he/she may need in the performance of the duties of his/her office.  The racing coordinator shall be governed by and shall administer the rules and regulations of the appropriate race sanctioning body.

Section 12.  SPONSORSHIP/PROMOTION COORDINATOR

          The sponsorship/promotion coordinator shall, under the direction of the officers, recruit and organize all sponsorship for the club.  He/she shall give a sponsorship report at meetings of members as necessary. 

Section 13.  MILEAGE COORDINATOR

          The mileage coordinator shall, under the direction of the officers, track off-road and road miles for the club’s mileage competition.

Section 14.  WEB MASTER

          The web master shall, under the direction of the officers, maintain and update the Zia Velo website. 

Section 15.  OTHER SPECIAL EVENT AND PROJECT CHAIRS

(a) The officers may appoint special event and/or project chair positions necessary for the production of special events, newsletters, and other such tasks that are consistent with the stated purpose of the club.  

          (b) The chairs of the club shall be appointed by the club officers. 

          (c) All chairs shall be appointed to serve a one-year term.

The committee shall generally serve without compensation.  In addition, they shall be allowed reasonable advancements for reimbursements for expenses incurred in the performance of their specified duties.  All expenses shall require pre-authorization by the committee.

 

ARTICLE V

CORPORATE RECORDS AND REPORTS ‑‑ INSPECTION

Section l.  RECORDS

The club shall maintain adequate and correct books, records and accounts of its business and properties.  All of such books, records and accounts shall be kept at its place of business as fixed by the club officers from time to time, except as otherwise provided by law.

Section 2.  INSPECTION OF BOOKS AND RECORDS

All books, records and accounts of the club shall be open to the inspection by the members at reasonable times in the manner and to the extent required by law.

Section 3.  CERTIFICATION AND INSPECTION OF BY-LAWS

The original or a copy of these by-laws and any amendments thereto certified by the secretary, shall be open to inspection by the members in the manner and to the extent required by law.

 

ARTICLE VI

GENERAL PROVISIONS

Section 1.  FISCAL YEAR

The fiscal year shall run from the first day of January and end on the last day of December each year.  Annual financial statements shall be submitted to the membership at the annual January meeting.

Section 2.  INDEMNIFICATION

The club shall indemnify and hold all coordinators harmless from any claims or liability which may arise in connection with any of the activities of the officers or the club.  The club may procure insurance to this end.  (This is something I think we need to do.  Anne)

Section 3.  BY-LAW AMENDMENT

          These by-laws may be amended by adding a new section or revised by changing a current section by a simple majority of those present at any regular club meeting.

Section 4.  ADOPTION OF BY-LAWS

          These by-laws shall be adopted upon acceptance by a simple majority of those present at a regular club meeting.
