Bylaws of the Western Trails Neighborhood Association
This Association shall be known as The Western Trails Neighborhood Association, and our meetings shall be held at a public place that is in close proximity to our neighborhood on the third Thursday of January, April, July, and October at 6:30 p.m.
The purpose of this Association is for the members to cooperate with a view to the betterment, improvement, and beautification of the neighborhood in the City of Austin known as the Western Trails and Western Trails Estates Subdivisions, bounded on the north by Redd Street, on the south by Jones Road, on the east by Manchaca Road, and on the west by West Gate Boulevard and Western Trails Boulevard. The Association and its members shall cooperate with officials of the City of Austin, Travis County, the State of Texas, and the United States with that purpose in view. The Association shall take no active part in strictly political matters. Additionally, because the Association is organized and operated exclusively for civic and other non-profit purposes, no part of any of the Association's net earnings may be used to directly benefit any individual officer or member.
Membership in the Association is limited to households of the Western Trails and Western Trails Estates Subdivisions. Each household that pays dues to the Association is a member of the Association, and each household has one vote in Association matters. Honorary members may be appointed by the Board of Directors and approved by a majority of members attending a regular meeting. Honorary members may not hold office in the Association.
Regular meetings of the Association shall be held on the third Thursday of January, April, July, and October at 6:30 p.m. at a public place that is in close proximity to our neighborhood. Special meetings may be called at any time by the President or by at least ten members in good standing. Board of Directors meetings shall be held at any time at the call of the President. For voting matters, each household that is current in paying dues to the Association may vote, with each household having one vote.
A household in good standing that is unable to attend and vote at a meeting may designate as proxy for that meeting another household in good standing. Written notice of the proxy voting authority must include the name of the household exercising the proxy and the date on which the proxy is to be exercised and must be delivered to their Ward Representative on or before that date. Not more than one proxy per household is allowed.
The Officers of this Association shall be a President, Vice-President, Treasurer, and three Ward Representatives. The President, Vice-President, and Treasurer shall be elected by a majority of members. Each Ward Representative shall be elected by a majority of members living in the ward represented by the Ward Representative. The President, Vice-President, Treasurer, and Ward Representatives may appoint a Parliamentarian as a non-voting member of the Board of Directors. The Board of Directors shall be elected or appointed, as applicable, annually and constitute the Board of Directors for the year immediately following their election.
Duties of Officers
The President shall preside at all meetings of the Association and at all Board of Directors meetings. The President shall appoint all committees and shall perform other such duties as are usual to the office of President.
The Vice-President shall perform the duties of the President in the absence of the President. The Vice-President shall assist the President when needed and shall perform other such duties are usual to the office of Vice-President.
The Treasurer shall receive and keep an accurate account of all money paid to the Association and, after being authorized by the Board of Directors, shall make all disbursements of that money.
The Ward Representatives shall assist the other members of the Board of Directors as necessary to ensure the efficient operation of the Association.
The Board of Directors shall have full authority to act for and conduct the affairs of the Association, except as otherwise specifically provided. The Board of Directors serves solely for and on behalf of the members of the Association.
Board of Director members shall exercise good judgment and act appropriately at all times and, in the event a board member is disruptive or fails to act in good judgment, or is excessively absent from regular meetings, he or she may be removed by the vote of a majority of the other board members.
Election of Officers
Officers shall be elected in January of each year. All officers shall be elected by a majority vote, and each officer shall hold office for one year, or until the officer's successor is elected and installed. The incoming officers shall be installed at the regular meeting in January of each year.
Each household desiring membership in the Association shall pay dues at the rate of $15.00 annually, and the dues shall be payable in advance. A special Sustaining Membership classification shall be available for any individual or organization who may desire to make a special financial contribution to fulfill or advance the purposes and activities of the Association.
Amendment of Bylaws
The bylaws of this Association may not be amended or repealed or new bylaws adopted without written notice to all members of this Association. At a meeting called for the purpose of amending or repealing the bylaws or adopting new bylaws, a majority of all members present is necessary to change the bylaws.
