Rules of the Warsash Residents’ Association (Founded in 1932)

1 The association shall be called the Warsash Residents’ Association.

2. a) The Association shall be open to all residents in the Electoral Ward of Warsash or adjoining Wards provided that they are over the age of 18.

b) The Association welcomes members of the public to all General Meetings. At the discretion of the Chairperson, a non-member may speak but may not vote.

3. The aims of the Association are:

a) To ascertain the views of the residents.

b) To speak on their behalf to local government and to other organisations.

4. a) The Association shall be neither party-political nor sectarian.

b) The Association shall decide at a General Meeting (if possible at least three months prior to any local government election) whether its Executive Committee shall seek an independent candidate to represent the interests of Warsash, and whether to support his/her candidacy.

5. The annual subscription shall be decided at the Annual General Meeting, and shall be payable on joining, and thereafter on 1st January each year. Payment for any membership which starts after 1st October in the year shall also cover the succeeding year for the same single payment. On payment of annual subscription, a new member shall be issued with a membership card, acceptance of which shall be considered as agreement to observe these Rules (a copy of which shall be made available to all new members wishing to see them).

6. The Association shall be governed by an Executive Committee of members consisting of Chairperson, a Vice Chairperson, the immediate past Chairperson, a Secretary, a Treasurer and not more than nine other members. In addition, the Executive Committee shall have the right to co-opt members of the Association for any particular requirement (any such appointment not to last longer than one year unless renewed by Executive Committee).

7. The officers of the Association, via Chairperson, Vice-Chairperson, Treasurer and Secretary shall be elected at an Annual General Meeting for periods of two years, but shall be eligible for re-election. To preserve continuity, election of the Chairperson and Vice- Chairperson should alternate, as should that of the Treasurer and Secretary. The remaining members of the Executive Committee shall normally be elected for periods of three years, subject to Rule 8 below.

8. Three of the remaining nine members of the Executive Committee shall retire annually in rotation, but shall be eligible for re-election.

9. Any member of the Association shall be eligible for election as an officer or as a member of the Executive Committee, subject to Rule 10 below. At the September meeting of the Association, the vacancies to be filled at the next Annual General Meeting shall be announced. Nominations in writing to fill those vacancies and confirmation of the candidate’s willingness to serve, must thereafter reach the Secretary by the day before the October meeting at which they shall be announced. The Elections shall take place at the following Annual General Meeting.

10. The Ward Representatives on the Fareham Borough Council and on the Hampshire County Council may be invited to attend all General and Executive Committee meetings, and they will have voting rights at General Meetings provided they are paid-up members. They will not be eligible for Association office during their term as Councillors.

11. Executive Committee meetings shall normally be held on the second Wednesday of each month, except for August, where there shall be no meeting. Special Executive Committee Meetings shall be at the request of three or more of the Executive Committee giving the Chairperson or Secretary at least three days’ notice in writing. Five Executive Committee members shall form a quorum, except that the Chairperson or Vice-Chairperson shall have exceptional power to waive this quorum requirement in cases of routine monthly meetings, providing that he or she informs all other Executive Committee members of any decisions taken at such a meeting at least three days before the next general meeting.

12. a) General Meetings shall normally be held on the third Wednesday of each month, from September to June inclusive, at 7.15 pm in the Victory Hall, Warsash.

b) The November meeting shall be the Annual General Meeting, for which an Agenda shall be available.

c) Extraordinary General Meetings shall be held at the discretion of at least five members of the Executive Committee, or on a written request to the Secretary by ten or more members of the Association giving at least two weeks’ notice.

d) At both General and Extraordinary General Meetings, twenty members shall form a quorum.

13. a) At all meetings, the duration of speeches shall be at the discretion of the Chairperson, and his/her ruling on procedures shall be final.

b) All voting at both General and Committee Meetings shall be by simple majority of paid- up members attending. In the event of a tie, the motion is lost.

14. The Association may award the status of Honorary Life Member to any person(s) in recognition of outstanding service to the Association. Honorary Membership under the Rule shall be without payment of further subscriptions, but with full voting rights.

15. Any proposals for alterations of the Rules shall be submitted in writing to the Secretary on or before 1st October for consideration at the Annual General Meeting in November.

16. The accounts of the Association shall be made up annually to 30th September, shall be independently audited and then presented by the Treasurer to the Annual General Meeting, but if you have a qualified Accountant as Treasurer then there is no need.
