Constitution

 

Article I: Name

 

This organization shall be called: WAVA~An Association for Career and Technical Education Administrators, a section of the Washington Association of Career and Technical Education, hereafter referred to as the Association.

 

Article II: Object

 

Section 1. Career and Technical Education is a planned program of courses and learning experiences that begins with exploration of career options, supports basic academic and life skills, and enables achievement of high academic standards, leadership, preparation for industry-defined work, and advanced and continuing education.

 

Section 2. The mission of WAVA is to provide leadership to enhance and support Career and Technical Education in communities and schools.

 

Article III: Members

 

Section 1.  Active membership in the Association is open to any person who is employed to administer, supervise, coordinate or direct Career and Technical Education programs in the common school system and technical and community colleges of the State of Washington or currently enrolled in the Administrative Internship program through OSPI. Active members may enter into all discussions, serve on all committees, have full voting privileges, and serve as officers of the Association.

 

Section 2. Associate membership is open to anyone who supports the mission of the Association. Associate members may enter into general discussions, serve on committees as ex-officio members, but are not entitled to hold office or have voting privileges.

 

Article IV: Officers

 

Section 1. The elected officers shall be President, President-Elect who will serve as Vice President, Secretary, Treasurer, and the Immediate Past President. These officers shall perform the duties as prescribed by in the By-laws and by parliamentary authority adopted by the Association.           

 

Article V: Parliamentary Authority

 

The rules contained in the current edition of Robert’s Rules of Order Newly Revised, shall govern the Association in all cases to which they are applicable and in which they are not inconsistent with these By-laws and any special rules of order the Association may adopt.

 

Article VI: Amendment of Constitution

 

This Constitution may be amended at any regular meeting of the Association by a two-thirds vote of those members present, provided that the amendment has been submitted in writing to all members at least 30 days prior to the meeting.

 

Article VII:  Dissolution

 

No part of any income, revenue, and grant of or to WAVA shall accrue to the material or pecuniary benefit of any member, officer, or any private individual (except that reasonable compensation may be paid for services rendered in connection with one or more of its purposes); and no member, officer or private individual shall be entitled to share in the distribution of any of the assets of WAVA on its dissolution or liquidation.

 

In the event of such dissolution or liquidation, the assets of the Association, after payment of debts and obligations, shall be transferred to an organization with federal tax exemption for charitable and educational uses and purposes similar to those of WAVA as designated by the Executive Board.

By-Laws 

 

Article I: Members

      A   Qualifications

            Any person meeting the qualifications of Article III of the Constitution shall be eligible for membership in WAVA.

      B.   Active Membership

            1.   Active members are any persons who are employed to administer, supervise, or direct Career and Technical Education programs in the common school system and technical and community colleges of the State of Washington.

            2.   Active members may enter into all discussions, serve on all committees, have full voting privileges, and serve as officers of the Association.

      C.   Associate Membership

            1.   Associate membership is open to anyone who supports the mission of the association to include but not limited to retirees, interns, state agency employees, post-secondary education organizations (ie. technical training programs, community and technical colleges, four-year colleges/university, apprenticeship, and employers.

            2.   Associate members may enter into general discussions, serve on committees as ex-officio members, but are not entitled to hold office or have voting privileges.

      D.   Membership Affiliations

            1.   All members are encouraged to have concurrent membership in the National Council of Local Administrators  (NCLA), the Washington Association for Career and Technical Education (WA-ACTE), the Association for Career and Technical Education (ACTE), and the Washington Association of School Administrators (WASA), and Association of Washington School Principals (AWSP).

 

Article II: Dues and Finances

      A.   Annual dues shall be $75 for Active Members and $50 for Associate Members and 1st Year Active Members.

            1.   Dues shall be paid annually, based on a fiscal year beginning  July 1.

            2.   Membership shall be terminated upon non-payment of dues.

      B.   Fiscal records of the Association shall be reviewed annually.

 

Article III: Officers

      A.   The elected officers shall be President, President-Elect who will serve as Vice President, Secretary, Treasurer, and the Immediate Past President.

      B.   The term of office shall be one year. No member shall be eligible to serve more than two consecutive terms in the same office, with the exception of the positions of Secretary and Treasurer, where continuous re-election is allowed.

      C.   Vacancies in an office shall be filled by the Executive Committee with the exception that a vacancy of the Presidency shall be filled by the President-Elect.

      D.   In the event an officer no longer qualifies as an Active Member due to changing employment role, the Executive Board may extend Active Membership of said officer until the end of the officer’s term.

      E.   Duties

            1.   The President shall:

                  a.   authorize all expenses incurred by the Program of Work and supported by the annual budget of the Association. Any expenditure not provided for in the annual budget shall be approved by the Executive Committee before authorization.

                  b.   serve as ex-officio member of all committees, except the nominating committee, and of all area groups. The President shall be chairperson of the Executive Board and shall be empowered to represent the Association on other boards and committees.

                  c.   serve as the Administrator Representative on the WA-ACTE board and also the WA-ACTE membership committee.

            2.   The President-Elect shall:

                  a.   assume the duties of the President in the event of the President’s absence.

                  b.   serve as the Chair of the Legislative Committee.

                  c.   serve on the WA-ACTE legislative committee

            3.   The Secretary shall: 

                  a.   maintain Association non-fiscal records including but not limited to business meeting minutes, Executive Board meeting minutes, and correspondence as directed by the President.

            4.   The Treasurer shall:

                  a.   maintain Association fiscal records and have the power to interpret the eligibility of persons for membership under the provisions of the By-laws for such eligibility, subject to appeal to the Executive Board.

            5.   The Past President shall:

                  a.   serve as the Chair of the In-service Committee.

                  b.   serve on the WA-ACTE professional development committee.

 

Article IV: Nominations and Elections

      A.   Nominations Committee

            1.   The Nominating Committee shall consist of the three past presidents of the Association.

            2.   It shall be the duty of this committee to nominate candidates for the offices to be elected at the business meeting in spring.

            3.   Before the election at the spring meeting, additional nominations from the floor shall be permitted.

      B.   Election of Officers

            1.   The officers shall be elected by the ballot at the spring meeting to serve one-year terms until their successors are elected.

            2.   Terms of office shall begin at the close of the annual summer meeting at which they are installed.

 

Article VI: Meetings

      A.   The regular meetings of this Association shall be held at the Fall In-service Conference, the Spring In-service Conference, and the Summer In-service Conference, unless otherwise ordered by the Association or the Executive Committee.

      B.   The regular meeting in August shall be known as the annual meeting and shall be for the purpose of installing officers, receiving reports of officers and committees, and for any other business that may arise.

      C.   A quorum shall be those present at a regular meeting.

 

Article VI: Executive Committee and Executive Board

      A.   Executive Committee

            1.   The Executive Committee will consist of:

                  a.   the elected officers of the Association and the officer or member appointed to the WA-ACTE Board shall constitute the Executive Committee.

            2.   Executive Committee shall:

                  a.   have general supervision of the affairs of the Association between its business meetings.

                  b.   to make recommendations to the Association.

                  c.   prepare the annual budget and Program of Work.

                  d.   perform other duties that are specified in these By-laws.

            3.   Executive Committee meetings:

                  a.   may be called by the President.

                  b.   may be called upon the written request of three members of the Executive Committee.

                  c.   require a  majority of the Executive Committee  to constitute a quorum.

                  d.   minutes will be presented to the general membership at their next scheduled business meeting.        

     B.   Executive Board

            1.   The Executive Board shall consist of the Executive Committee plus the area group leader from each of the recognized geographic area groups.

            2.   Area Groups Leaders

                  a.   Area group leaders will be selected annually by the career and technical administrators within each area group through a locally determined                               process.

                        b.   Area group leaders will attend all Executive Board meetings starting with the spring WAVA retreat and ending in the last board meeting in                                         April/May. 

            3.   Executive Board Meetings

                  a.   may be called by the President.

                  b.   may be called by a majority of the Executive Board.

 

Article VII: Representation on the WA-ACTE Executive Board

      A.   WA-ACTE Board

            1.   The Association will be represented on the WA-ACTE Board by a WAVA officer or member appointed annually by the WAVA Executive Committee.

            2.   The Association will be represented on the WA-ACTE Professional Development, Legislative and Membership Standing Committees by an officer or member appointed annually by the WAVA Executive Committee.

 

Article VIII: Committees

      A.   In-service Committee

            1.   The In-service Committee shall meet as needed to plan programs to meet the in-service needs of the Association.

            2.   The Past President shall serve as the Executive Board Chair on the In-service Committee.

            3.   One representative from each of the area groups will serve on the in-service committee.

      B.   Legislative Committee

            1.   The Legislative Committee shall meet as needed to create the joint Legislative Agenda with WA-ACTE.

            2.   The President Elect shall serve as the Executive Board Chair on the Legislative Committee.

            3.   One representative from each of the area groups will serve on the legislative committee.

      C.   Other committees, standing or special, shall be appointed by the President as the Association or as the Executive Board shall deem necessary to carry on the work of the Association on a yearly basis.

      D.   The President shall be an ex-officio member of all committees except the Nominating Committee.

 

Article IX: Parliamentary Authority

The rules contained in the current edition of Robert’s Rules of Order, Newly Revised shall govern the Association in all cases to which they are applicable and in which they are not inconsistent with these By-laws and any special rules of order the Association may adopt.

 

Article X: Amendment of By-Laws

These By-laws may be amended at any regular meeting of the Association by a two-thirds vote of those members present, provided that the amendment has been submitted in writing to all members at least 30 days prior to the meeting.  

 

Article XI:  Dissolution

A.    The Executive Board shall adopt a resolution recommending that the association be dissolved and directing that the question of such dissolution to a vote at a regular meeting of members having such voting rights.

B.    A resolution to dissolve the corporation shall be adopted upon receiving at least two-thirds of the votes which members present at such meeting.

C.    Where there are no members, or no members having voting rights with regard to the question, the dissolution of the corporation shall be authorized at a meeting of the Executive Board upon the adoption of a resolution to dissolve by the vote of a majority of the directors in office.

D.    In the event of dissolution or liquidation, the assets of the Association, after payment of debts and obligations, shall be transferred to an organization with federal tax exemption for charitable and educational uses and purposes similar to those of WAVA as designated by the Executive Board.
