CONSTITUTION OF THE TAMARACK GOLFASSOCIATION

ARTICLE I

Name and Address

Section 1

The name of this organization shall be the Tamarack Golf Association (hereinafter called

"Association").

Section 2

The address of the Association is 97 Hardenburgh Lane, East Brunswick, N. J. 08816.

ARICLE II

Objectives

Section 1

The Association has been organized for the purpose of making available to its members the opportunities, privileges, pleasure and good fellowship of golf, in keeping with the best interests and true spirit of the game; to promote the best interests of the Tamarack Golf Course; to provide competitive play among its members by establishing tournaments; to enable its members, as a group,

to participate in and become associated with other golfing organizations; to provide comradeship and good fellowship and to promote social interests among its members and, when approved by the Executive Committee, to hold social and other approved functions.

ARTICLE III

Membership

Section 1

There shall be the following classes of membership:

a) Regular Membership

b) Honorary Membership

Section 2

Any person of 18 years or over and otherwise acceptable shall be eligible for Regular Membership. Regular members shall possess all the privileges of the Association subject to such rules as made by the Executive Committee and, in addition, they alone shall be entitled to vote and hold office. Eligibility for Regular Membership in this Association is to be determined without regard to race, color, creed, religion or national origin.

Section 3

Honorary Membership may be conferred upon any person by unanimous vote at any meeting of the regular members. Any proposed nomination for Honorary Membership must be in writing and included in the notice of said meeting. Honorary Members shall enjoy the privileges of regular members, except that they shall not vote or hold office. They shall be exempt from payment of all dues and assessments. They shall be eligible to serve in appointive positions.

Section 4

All applications for membership shall be in the form prescribed by the Executive Committee and shall be signed by the applicant. The applicant shall be admitted by the membership committee or its delegate.

Section 5

Each member of the Association will be bound by and abide by all the Rules and Regulations of the Association, as now in force or which may hereafter be adopted, the Constitution and By‑Laws and such amendments thereof and supplements thereto which may hereafter be approved.

Section 6

Discipline of Members:

a) Any member may be reprimanded, suspended, or expelled by a majority vote of the Executive Committee for a violation of the By‑laws or Rules of this Association or for any other conduct deemed by the Executive Committee to be detrimental to the welfare of the Association.

b) At least ten days prior to the meeting where such action is to be considered, written notice thereof and a copy of the charges to be presented against such a member shall be mailed to the member at the member's address as it appears on the records of the Association, and the member shall have the right to attend such meeting if the

member desires.

c) Any action taken under this section may be revoked and modified by a majority of the Executive Committee at a subsequent meeting.

Section 7

When any written notice is required to be given or sent to a member, it shall be sufficient if it is mailed by regular postage to the address of such person as shown on the records of the Association.

ARTICLE IV

Officers

Section 1

The officers of this Association shall be:

General Chairman

Vice Chairman

Secretary

Treasurer

Assistant Treasurer

The officers shall be elected by secret ballot at the annual fall meeting and shall serve for a term of one year, terminating at the end of each fiscal year, or until successors are elected. They shall be eligible for re‑election. Any vacancy in any official office shall be filled by selection by the Executive Committee of a member in good standing. Such appointment shall be for the

unexpired term. Such member shall have been a member in good standing for at least eighteen months.

ARTICLE V

Executive Committee

Section 1

The Executive Committee shall consist of the Officers of the Association.

Section 2

A simple majority of the Executive Committee shall constitute a quorum for the transaction of business. Approval of any action shall require the vote of a majority of those members present at any meeting.

Section 3

Following each annual election the next year's Executive Committee must meet prior to the ensuing February 1 to take preparatory action for the conduct of affairs of the Association, including: the appointment of chairman of standing committees; the fixing of such dues for the next year; and any other action necessary to carry out the objectives and purposes of this Association.

ARTICLE VI

Committees

Section 1

There shall be six standing committees; namely,

Tournament Committee

Rules Committee

Handicap Committee

Social and Publicity Committee

Membership Committee

Action Committee

The Chairman of such committees shall be appointed by the General Chairman and shall hold office during the fiscal year.

Section 2

The committee chairman shall appoint the members of their committees, the number to be an odd one consisting of no less than three (3) and no more than seven (7). The General Chairman, who is an ex‑officio member of all committees, shall not be included in these numerical limitations.

Section 3

Duties and powers of the committees shall be outlined in the By‑Laws.

Section 4

The General Chairman shall have the right to form special committees; the tenure of office of which shall not exceed the limits of the fiscal year unless re‑appointed by the succeeding administration.

ARTICLE VII

Association Advisor

Section 1

The Association Advisor shall be the Golf Professional, Tamarack Golf Course.

ARTICLE VIII

Meetings

Section 1

There shall be a minimum of three (3) membership meeting each year.

Section 2

The last membership meeting of the year shall include an election of officers for the succeeding year.

Section 3

Special meetings may be called by the General Chairman or by written request of five (5) members. The purpose of the special meeting shall be clearly stated in the notice or call of such meeting.

Section 4

Fifteen per cent of the membership in good standing shall constitute a quorum at any regular or special meeting of the members.

Section 5

Notice of all meetings shall be posted in writing on a bulletin board which shall be placed and maintained in a conspicuous place at the Tamarack Golf Club House.

ARTICLE IX

Financial

Section 1

The regular membership dues shall be in the amount as determined by the Executive Committee, subject to an affirmative vote of two‑thirds of all votes cast of the regular members voting. Dues shall be payable by check only and prior to the beginning of competition each season. No person may participate in any club function before membership dues are paid. The Executive Committee reserves

the right to assess the membership for a nominal contribution in case of deficit or unforeseen emergency.

Section 2

No indebtedness or liability shall be incurred by the Executive Committee or Officers in any fiscal year exceeding an amount of funds on hand.

Section 3

The fiscal year shall end on the 31st of October. A regular membership in the previous season shall not expire until the beginning of the next season which shall commence on the first Saturday in April.

Section 4

Checks shall be binding on the Association when authorized by the Executive Committee and signed on behalf of the Association by any two of the following officers to wit: General Chairman, Vice Chairman, Secretary, Treasurer, and Assistant Treasurer.

ARTICLE X

Nominations

Section 1

The Nominating Committee shall consist of five members; none of whom shall be Officers and all of whom shall be appointed by the Executive Committee. The Nominating Committee shall post on the Bulletin Board the names of the candidates for office at least two weeks prior to the election meeting.

Section 2

Independent nominations of candidates for any of the posts to be filled at the election meeting may be made by five (5) members in good standing; such nominations are to be submitted in writing to the Chairman of the Nominating Committee not later than three (3) days prior to the election meeting.

ARTICLE XI

Amendments

Section 1

Amendment of this Constitution, in whole or in part, may be made at any meeting of the members by the affirmative vote of two‑thirds of all votes cast of the Regular Members voting. Any proposed amendment must be in writing and posted on a bulletin board which shall be placed and maintained in a conspicuous place at the Tamarack Golf Club House at least fourteen (14) days before the meeting

at which it is to be considered.

ARTICLE I

Meetings

Section 1

At meetings of the Association, the following order of business shall be observed:

1. Roll call of the Executive Committee

2. Reading of minutes of previous meeting

3. Report of the Treasurer

4. Report of the Standing Committees

5. Unfinished and New Business

6. Election of Officers (Fall Meeting)

7. Matters of a routine nature relating to

the conduct of the meeting

ARTICLE II

Duties of Officers

Section 1 ‑ General Chairman

The General Chairman shall be the executive officer of the Association, and shall be an ex‑officio

and voting member of all standing committees. He shall appoint the Chairman of all Committees. He

shall preside at all meetings of the General Membership and the Executive Committee and in general,

perform the duties and exercise the powers which are usually incident to the Office of General

Chairman, as well as those which may now or hereafter be placed or conferred upon him by the By‑Laws.

Section 2 ‑ Vice Chairman

In the absence or incapacity of the General Chairman, the Vice Chairman shall perform the duties and

exercise the powers of that officer. He may act as an ex‑officio member of such committes as the

General Chairman may wish to delegate in order to share the burden of his office.

Section 3 ‑ Secretary

The Secretary shall keep the records of all the meetings of the Association. He shall have charge

of all the official correspondence and papers of the Association. He shall be custodian of all records

of previous administrations. He shall present at each meeting of the Association, a full report on all

matters relating to the affairs of the Association.

Section 4 ‑ Treasurer

The Treasurer shall keep an account of all monies received and a detailed account of all expenditures.

The Treasurer shall disburse funds only as authorized by the Executive Committee. He shall present

at each regular or special meeting of the members a report of the cash standing of his accounts. His

account shall be subject to audit. Within sixty days after October 31, the Treasurer shall send to

the Executive Committee a duly audited financial statement for the preceding year and within said

period he shall post such financial statement on a bulletin board which shall be placed and maintained

in a conspicuous place at the Tamarack Golf Club House.

Section 5 ‑ Assistant Treasurer

In the absense or incapacity of the Treasurer, the Assistant Treasurer shall perform the duties of

that office.

ARTICLE III

Duties of the Executive Committee

Section 1

The Executive Committee shall supervise and promote the activities of the Association in accordance

with the objectives outlined in Article II of the Constitution.

Section 2

It shall conduct the business of the Association.

Section 3

It shall define and supervise the work of all committees.

ARTICLE IV

Duties of the Standing Committees

Section 1 ‑ Tournament Committee

The Tournament Committee shall have sole jurisdiction over the scheduling and conducting of all

tournaments of the club and awarding of prizes. The Tournament Committee shall be the contact group

with all other organizations in tournament and related matters.

Section 2 ‑ Rules Committee

The Rules Committee shall be guided by the laws, regulations and rulings of the Tamarack Golf

Course and interpretations of the rules of golf as have been and may be decided by the United States

Golf Association. It shall act in accordance with such provisions and may supplement them with such

local rules as it may deem necessary for the proper conduct of tournaments of the club; such local

rules must, however, be clearly posted on the bulletin board for the guidance of contestants. It

shall act as judge or arbiter in all disputes arising from tournament play in contests within its

jurisdiction. Its ruling in such matters shall be final.

Section 3 ‑ Handicap Committee

The Handicap Committee shall adopt a system of handicapping and shall fix the handicaps of all

members of the Association.

Section 4 ‑ Social and Publicity Committee

This Committee shall make plans and conduct all affairs of a social nature. The Committee shall

publicize all activities of the Association through notices and releases of information to local news

media.

Section 5 ‑ Membership Committee

This committee shall process all applications for membership in the Association. It shall keep an

up‑to‑date listing of all members.

Section 6 ‑ Action Committee

The Action Committee shall be responsible for determining the weekly group alignment and mandatory

sign up schedule for tee‑off time. The weekly group alignment and mandatory sign up schedule for

tee‑off time must be posted on the bulletin board to cover the period from the first weekend in April

to and including the second weekend in October of each year. Section 7

Section 8

Vacancies occurring in any committee shall be filled by the General Chairman of a member in good

standing. Such appointment shall be for the unexpired term.

Any act by any committee shall be subject to repeal, alteration, amendment or modification in whole

or in part by the Executive Committee.

ARTICLE V

Amendments

Section 1

Amendment to the By‑Laws, in whole or in part, may be made at any meeting of the members by the

affirmative vote of two thirds of all votes cast of the Regular Members voting. Any proposed

amendment must be in writing and posted on a bulletin board which shall be placed and maintained in

a conspicuous place at the Tamarack Golf Club House at least fourteen (14) days before the meeting

at which it is to be considered.

TAMARACK GOLF ASSOCIATION

A PROPOSED CONSTITUTIONAL AMENDMENT

In accordance with Article XI of the Constitution of the Tamarack Golf

Association, be it resolved that Article III‑Membership be amended by

adding a new Section 8 as follows:

Section 8

A regular membership, unless renewed, shall expire at the beginning of

the official new season, which shall be the first weekend in April. In

the event of unique and/or unforeseen circumstances, the Executive Com‑

mittee may extend the membership year for a maximum of 30 calendar days

after the start of the official new season.

In support of the proposed amendment, the sponsor(s) believes it is in

the best interest of the Association and its members inasmuch as current‑

ly dues are not annual and all memberships cease at the end of the

fiscal year, October 31st. Elected officers who meet to carry on

Association business are in violation of the Constitution and do so with

immunity of their action. It is conceivable that the only members of

the Association in the interim are only those who pay an amount (any

agreed upon amount) after October 31st and before the start of the new

season and as such may conduct business as it sees fit.
