PTSO Bylaws

  • These Bylaws were approved at a meeting of the Rogers PTSO on Thursday, 15 May 2003.

Article I – Name, Purpose

Section 1: The name of the organization shall be the Pittsburgh Middle School for the Creative and Performing Arts Parent Teacher Student Organization (hereafter, the Pittsburgh Middle CAPA PTSO).

Section 2: The Pittsburgh Middle CAPA PTSO is organized exclusively for charitable, cultural, and educational purposes, more specifically to support activities at Rogers CAPA.

Article II – Membership

Section 1: Membership to the Pittsburgh Middle CAPA PTSO shall be open to parents of children in the school, teachers, and community members.

Section 2: Membership shall consist of the members of the Pittsburgh Middle CAPA PTSO.

Section 3: Membership meetings shall be held monthly.

Article III - Annual Meeting

Section 1:Annual Meeting. The date of the regular annual meeting shall be set by the Pittsburgh Middle CAPA PTSO who shall also set the time and place. The date of the annual meeting will be the May meeting, or the last Pittsburgh Middle CAPA PTSO meeting of the school calendar year. The annual meeting includes the election of officers for the proceeding school calendar year.

Section 2:Special Meeting. Special meetings may be called by the President or the Executive Committee. Notice of special meetings shall be given to each voting member by mail or e-mail, not less than 5 days before the meeting.

Article IV - Executive Committee

Section 1:Executive Committee Role, Size, Compensation. The Executive Committee is responsible for overall policy and direction of the Pittsburgh Middle CAPA PTSO, and delegates responsibility for day-to-day operations to the PTSO President and committee chairs. The Executive Committee shall have up to 12 and not fewer than 4 members. The Pittsburgh Middle CAPA PTSO receives no compensation other than reasonable expenses as approved by the membership.

Section 2: The Executive Committee shall meet at an agreed upon time and place, prior to monthly membership meetings to set agenda for the immediately proceeding membership meeting.

Section 3:Executive Committee Elections. Election of new Executive Committee members or election of current Executive Committee members to a second term will occur as the first item of business at the annual meeting of the Pittsburgh Middle CAPA PTSO. Executive Committee members will be elected by a majority vote of the membership at the annual meeting.

Section 4: All Executive Committee members shall serve 1 (one) year terms, but are eligible for re-election. No Executive Committee member shall hold the same position for more than 2 (two) years.

Section 5: A quorum must be attended by at least 51 percent of the Executive Committee before motions may be made or passed.

Section 6:Officers and Duties. There shall be four officers of the Executive Committee consisting of President, Vice-President, Secretary, and Treasurer. Standing committee chairs shall also serve on the Executive Committee. The roles of the officers of the Executive Committee shall be as follows:

The President shall convene regularly scheduled Pittsburgh Middle CAPA PTSO meetings, shall arrange for other members of the Executive Committee to preside at each meeting in the following order: Vice-President, Secretary, and Treasurer.

The Vice President assists the President and fills in for the President in his/her absence.

The Secretaryshall be responsible for keeping records of the Executive Committee meetings and membership meetings, including taking minutes at all Executive Committee and membership meetings, sending out meeting announcements, distributing copies of minutes and the agenda to each Executive Committee member, and assuming that records are maintained.

The Treasurer shall make a report at each Executive and Membership meeting. The Treasurer shall chair the finance committee, assist in the preparation of the budget, help develop fundraising plans, and make financial information available to the Rogers CAPA Principal, the Executive Committee, the Membership, and the Public.

Section 7:Vacancies. When a vacancy on the Executive Committee exists, nominations for new members may be received from present membership by the Secretary two weeks in advance of a PTSO monthly meeting. These nominations shall be announced at the next membership meeting. These vacancies will be filled only to the end of the particular Executive Committee member's term.

Section 8:Resignation, Termination and Absences. Resignation from the Executive Committee must be in writing and received by the Secretary. An Executive Committee member shall be dropped from the Executive Committee if she has three unexcused absences from Executive Committee meetings in a year. An Executive Committee member may be removed for other reasons by a three-fourths vote of the remaining Executive Committee members.

Section 9:Special Meetings. Special Meetings of the Executive Committee shall be called upon the request of the President or one-third of the Executive Committee. Notices of special meetings shall be sent out by the Secretary to each Executive Committee member.

Article V - Committees

Section 1: The standing committees for the Pittsburgh Middle CAPA PTSO shall be Finance, Marketing, and Events. The Executive Committee may create ad-hoc committees as necessary.

Section 2: Committee chairs shall be nominated by the membership. The Executive Committee approves standing committee chairs. The chairs of standing committees shall also serve on the Executive Committee.

Section 3:Finance Committee. The Treasurer is the chair of the Finance Committee. The Finance Committee is responsible for developing and reviewing fiscal procedures for the review of the Executive Committee. With the assistance of the Executive Committee, the Finance Committee prepares the budget for the proceeding school calendar year. The Budget shall be adopted by the Executive Committee during the first monthly membership meeting of the school calendar year.

Article VI - Amendments

Section 1: These Bylaws may be amended when necessary by a two-thirds majority of the membership, provided a quorum of the Executive Committee is present. Proposed amendments must be submitted to the Secretary to be sent out with regular Board announcements.
