YOUTUBE Living legends project official terms

 

Participation in the YOUTUBE LIVING LEGENDS Project is open to individuals 18 years or older (and who have also reached the age of majority in individuals’ Country/Region of residence) at time of submission and who are registered members of YouTube in good standing, per YouTube member Terms of Use.

 

1. Project Dates and Times: YouTube Living Legends Project (“Project”) begins April 4, 2008 at 12:00:01 AM Eastern Time U.S. (“ET”), and will live indefinitely. YouTube LLC retains sole discretion of terminating this promotion at a time/date of its own choosing. The YouTube computer runs the official clock for the Project. During this Project there are a series of events which start and end on or about the dates and times noted below:

2. Project Entities: YouTube, Inc. 1000 Cherry Ave. 2nd Floor, San Bruno CA. 94066. Interscope Geffen A&M Records, 2220 Colorado Avenue, Santa Monica, CA 90404 Administrator: Marden-Kane, Inc., 36 Maple Place, Manhasset, NY 11030. Collectively referred to as the “Project Entities”.

 

3. Eligibility: Participation in this Project is open to individuals 18 years or older (and who have also reached the age of majority in individuals’ Country/Region of residence) at time of submission and who are registered members of YouTube in good standing, per YouTube member Terms of Use. Not eligible to enter are employees, officers, directors (including immediate family members) of the Project Entities and their respective parents, affiliated and subsidiary companies, advertising and promotion agencies, legal and financial advisors, and any and all other companies associated with this Project. "Immediate family" is defined as: parents, spouses, children, and siblings regardless of where they live or any members of the same households whether related or not of such employees and directors. Project is void where prohibited by law. There is no fee or charge to become a registered YouTube member.

 

4. How to Participate in this Project: No purchase necessary. Eligible members may create and upload where instructed one (1) Project video up to 30 seconds in length per Phase (there are 2 Phases). Instructions and complete requirements for the creation of a video will be provided on the Project site. It is a requirement of entry that these instructions be followed. The Phase 1 video submission must ask a question to be answered by either Mick Jagger or Keith Richards of the Rolling Stones. The Phase 2 video submission must be a response to the question posed by the Rolling Stones in their video. Video submissions may be submitted anytime during the Open Call for each Phase (see Rule #1 for dates and times) at the Living Legends Project area located online at www.youtube.com. Limit one Entry per each Phase per YouTube member eligible to enter this Project. If more than one video submission is submitted by an eligible member in the Open Call only the first submission received per Phase (based on date and time received by YouTube) by that member will be considered. Video submissions not submitted in accordance with the instructions provided on the YouTube website and the Terms of Use of YouTube membership and/or these Official Terms shall not be considered in the Project.

 

5. YouTube Living Legends Project Video Technical/Content Requirements:

 

·         Running Time: No video may be longer than thirty (30) seconds maximum.

·         Language: All with English Subtitles or English dialog. Non-English dialog submissions that are submitted without English subtitles will not be eligible for review and possible posting. The subtitles must be legible and accurately reflect the dialog. Should the judges and translators determine that there is a significant disparity in meaning between an entries’ dialog and associated subtitles the entry will not be eligible for consideration and can be withdrawn at any time at the sole discretion of the Project Entities.

·         Director Guidelines: The following Director Guidelines are a requirement of submission and must be adhered to.

1.       For Phase 1, the video must ask a question of the Rolling Stones band or Mick Jagger and/or Keith Richards directly related to music and the Rolling Stones, or Mick Jagger’s or Keith Richards’ lives as musicians or living legends.

2.       For Phase 2, the video must be in the form of a response and directly and clearly respond to the question posed by the Rolling Stones’ question video.

3.       Videos may not use music of any kind.

6. Entry Terms: By submitting a video in this Project, entrants agree to comply with YouTube’s Terms of Use (www.youtube.com/t/terms), Privacy Policy www.youtube.com/t/privacy, and with these complete Official Terms. By entering, entrant warrants that his or her idea and video and all elements thereof satisfy the Terms and Conditions of YouTube’s Terms of Use and that the Entry: (i) is the original work of the entrant; (ii) has not previously been submitted in any competition and has not won an award or prize of any kind; (iii) does not infringe or violate the rights of any third party, including but not limited to, copyrights, trademarks, patents, trade secrets, logos, contract and licensing rights, rights of publicity or privacy, moral rights, or any other intellectual property rights; (iv) is not subject to any third party agreements, and that the Entities  will not be required to pay or incur any sums to any person or entity as a result of its use or exploitation of the idea or video or rights therein; (v) shows proof that any required permits from local authorities and other permissions have been obtained; vi) does not contain any content that is likely to be considered offensive by the Entities  or could adversely affect the name, reputation, or goodwill of the Entities or the Rolling Stones. Entities reserve the right to verify the legitimacy of all submitted releases or permissions or to supply a release form which must be executed in full and returned within 48 hours of attempted notification. If the appropriate form(s) are not received as directed, the Entry will be disqualified. Entrant is responsible for obtaining prior to submission of the Entry, all licenses, rights, assignments of rights, consents and permissions to the Entry or performance contained in such Entry, and to all underlying elements or other works incorporated into the Entry, including, without limitation the words spoken and/or any music and lyrics performed, to permit the use and exhibition of the Entry by Entities in the manner set forth in these Official Terms, including, without limitation, name, voice, statements, photos and likeness releases for any person who appears in or is identifiable in the video (collectively, the “Clearances”). By submitting an Entry, entrant warrants and represents that he/she consents to the submission and use of the Entry in the Project, and to its posting on the Internet in connection with the Project and that he/she has obtained the required Clearances and can make them available to the Entities upon request. Entities reserve the right to disqualify any Entries that, in the Entities sole and absolute discretion, (i) include trademarks, logos, or copyrighted material not owned by entrant or used without permission (such as company names, music, photographs, works of art or images published on or in websites, television, movies or other media); (ii) use individuals’ names in whole or in part (including the entrant’s last name); (iii) refer to public figures other than the Rolling Stones; (iv) contain profanity, pornographic or sexual content, content promoting alcohol, illegal drugs, tobacco, or firearms or weapons, hateful content of any kind (including racism, sexism, etc.), content that promotes violence or harm to another living creature; (v) promote a political agenda regardless of the political affiliation and regardless of Entities‘ treatment of other Entries that may or may not promote a political agenda; (vi) defame, misrepresent, or contain disparaging remarks about other people or companies; (vii) contain materials embodying the names, likenesses, photographs or other identifying elements of any person, living or dead without permission except the Rolling Stones; and (vii) to disqualify an entrant,  or cancel the Project if the Entities believes entrant, the Entry,  posting of a video or the Project itself violates any applicable law, rules or regulations.

 

Group submission will be accepted (although different individuals might have taken part in the making of a Project video, only one individual may be considered to have produced and submitted the video). Entities may at their discretion require any other individuals appearing in an Entry to sign and submit a Personal Release within two days of receipt. Failure to complete and submit a Personal Release, by any individual appearing in an Entry may void the Entry from inclusion in the Project. Project Entities and their respective parents, subsidiaries, affiliates and each of their respective officers, directors, shareholders, agents and employees, and any  Internet access providers (collectively “Released Parties”) are  not responsible for incorrect or inaccurate entry of information, human error, technical malfunction, lost/delayed data transmission, omission, interruption, deletion, defect, line failure of any telephone, computer or other network, computer equipment, software or any combination thereof, inability to access the YouTube web site, for problems uploading or downloading any Project-related materials from the web site, or for late, lost, damaged, misdirected, incorrect or incomplete Entry. For purposes of these Official Terms, receipt of Entry occurs when YouTube servers successfully receive the uploaded video file and record the required Entry information including the following: Living Legends Project video title, description, director’s name, street address, city, state, ZIP Code, phone number and email address and any other information required as stated on the Project website. Any Entry information collected from the Project shall be used only in a manner consistent with the consent given by entrants at the time of Entry, with these Official Terms, and with YouTube’s Privacy Policy which can be found at www.youtube.com. All Project information is collected in the United States. Any personal information collected will only be used for administration of this Project.

 

7. Judging to Determine Phase 1 Video Submission to be Posted: All eligible submissions received that have satisfied the technical and content requirements in Rule #5 will be judged by the Project Entities, their agents and representatives to select 10 entries for posting in their sole discretion generally applying  the following judging criteria:

 

  • Creativity and Originality
  • Significance of question and overall impression
  • Technical Execution

 

The judges' decisions are final and binding in all matters relating to this Project. If there is not a sufficient number of eligible and qualified submissions received, and/or if any selected entrant fails to return required paperwork by the stated due date (see Rule #8), the Project Entities reserve the right to disqualify any submission and post fewer than ten (10)  Project videos or select an Alternate video submission(s) to clear and post.

 

8. Phase 1 Notification: The top ten (10) Phase 1 submissions will be notified by telephone and/or email on or about April 27, 2008 and may be required to sign and properly execute the following documents and return them via facsimile (and subsequently by mail) to Administrator by 5:00 PM ET on April 29, 2008: (1) a Personal Release; (2) an Affidavit of Eligibility and Group Release (if relevant); (3) where lawful, a Publicity Release. If any documents sent by any means are returned as undeliverable or if all documents described herein are not properly executed and returned in the time noted, or if an entry is found not to be eligible or not in compliance with these Official Terms and YouTube terms and conditions the entry will be disqualified and, at the sole discretion of the Project Entities, time permitting, another entry will be posted and notified time permitting at their sole discretion.

 

9. Project Terms: By participating, entrants agree to release and hold harmless Project Entities, their advertising and promotion agencies and their respective parent companies, subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers and directors, from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever including without limitation, property damage, personal injury and/or death which may occur in connection with, preparation for, travel to, or participation in the Project or participation in any Project-related activity and for any claims based on publicity rights, defamation or invasion of privacy . Project Entities are not responsible if Project cannot take place due to delays or interruptions, acts of God, acts of war, natural disasters, weather or acts of terrorism. By entering this Project, and to the extent allowed by law, entrants grant and its licensees the absolute right and permission to edit, modify, publish, exploit and use the content of and elements embodied in the Entries and the Entries themselves in perpetuity in any and all media including but not limited to digital and electronic media, computer, audio and audiovisual media (whether now existing or hereafter devised), in any language, throughout the world, and in any manner, for trade, advertising, promotional, commercial, or any other purposes without further approval or consideration. Entrants waive and release Project Entities from any and all claims that entrants may now or hereafter have in any jurisdiction based on “moral rights” or “droit moral” or unfair competition with respect to Entities exploitation of Entries without further compensation to entrants of any kind, and agree not to instigate, support, maintain, or authorize any action, claim, or lawsuit against Entities  or its licensees, or any other person in connection with this Project, on the grounds that any use of any Entry, or any derivative works, infringe or violate any of entrants rights therein. Entrants agree that Project Entities/and their licensees shall have the right and permission to use the name, photograph, testimonial or other likeness and/or information or personal exposition (and/or any edited portion thereof) for promotional, advertising and/or publicity purposes in any media, now or hereafter known throughout the world in perpetuity, without compensation or notice to, or further consent of, to the winner to the extent permitted by law. Project Entities will not enter into any correspondence, including e-mail, with entrants except as provided in these Official Terms. Project Entities reserve the right, in their sole discretion, to disqualify any individual found tampering with the Entry process or Entry materials. ALL ENTRANTS ACCEPT THE CONDITIONS STATED IN THESE OFFICIAL TERMS, AGREE TO BE BOUND BY THE DECISIONS OF THE JUDGES , WARRANT THAT THEY ARE ELIGIBLE TO PARTICIPATE IN THIS PROJECT, THAT THEY HAVE THE RIGHT TO GRANT THE RIGHTS RELATIVE TO THE ENTRIES AS PROVIDED HEREIN, AND THAT THEY RELEASE PROJECT ENTITIES FROM AND AGAINST ALL CLAIMS AND DAMAGES ARISING IN CONNECTION WITH THEIR PARTICIPATION AND/OR ENTRY IN THE PROJECT, PROJECT ENTITIES  USE OF THE ENTRIES, INCLUDING BUT NOT LIMITED TO LIABILITY/ DAMAGES FOR PERSONAL INJURY, BODILY INJURY, WRONGFUL DEATH OR DISABILITY, DAMAGE TO PROPERTY AND DAMAGE OR LOSS OF ANY KIND. ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROJECT IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE, THE PROJECT ENTITIES AND THEIR RESPECTIVE LICENSEES RESERVE THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR ANY SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. ENTRANTS (OR IF ENTRANT IS NOT OF AGE OF MAJORITY IN THEIR STATE OR COUNTRY OF RESIDENCE, GUARDIANS OF SUCH) AGREE TO INDEMNIFY AND HOLD HARMLESS THE PROJECT ENTITIES AND THEIR LICENSEES FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES, DAMAGES OR LIABILITY (INCLUDING REASONABLE ATTORNEYS’ FEES AND EXPENSES) THAT MAY BE ASSERTED AGAINST OR INCURRED BY ANY OF THEM AT ANY TIME, IN CONNECTION WITH ENTRY, OR USE THEREOF, OR BY RESPECTIVE ENTRANTS’ BREACHES OF ANY AGREEMENT OR WARRANTY ASSOCIATED WITH THE PROJECT. This Project is governed by, and will be construed in accordance with, the laws of the State of California. Any and all legal actions or claims arising in connection with this Project must be brought in a court of competent jurisdiction in the state of California. If, in Project Entities opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Project or if technical difficulties compromise the integrity of the Project, the Project Entities reserve the right to void suspect video submissions and/or terminate the Project. The use of any automated launching or Entry software or any other mechanical or electronic means that permits the participant to automatically enter repeatedly is prohibited. In the event of a dispute as to the identity of an entrant based on an e-mail address and/or YouTube account information the authorized account holder will be viewed as the entrant. Further, the Entry in question due to identity dispute may be disqualified at the discretion of Project Entities. Should the Project be terminated prior to the stated expiration date, the Project Entities will endeavor to post notice of termination at www.youtube.com.
