NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN.  PURCHASE WILL NOT INCREASE CHANCES OF WINNING.  CONTEST SUBMISSION PERIOD BEGINS AT 12:00:01 P.M. EASTERN TIME (“ET”) ON APRIL 23, 2010 AND ENDS AT 11:59:59 P.M. ON MAY 10, 2010 (“SUBMISSION PERIOD”). THE PERIOD WHERE INDIVIDUALS MAY VOTE ON SUBMISSIONS TO DETERMINE THE FINALISTS BEGINS AT 12:00:01 A.M. ET ON MAY 11, 2010 AND ENDS AT 11:59:59 P.M. ET ON MAY 18, 2010 ("VOTING PERIOD”).  

THE FOLLOWING CONTEST IS INTENDED FOR RESIDENTS IN SAN DIEGO, CALIFORNIA RESIDING IN THE ELIGILBE ZIP CODES SET FORTH ON SCHEDULE A ATTACHED HERETO ( THE “ELIGIBLE AREA”)  ONLY AND SHALL BE CONSTRUED AND EVALUATED ACCORDING TO UNITED STATES LAW.  DO NOT ENTER THIS CONTEST IF YOU DO NOT RESIDE IN THE ELIGIBLE AREA AT THE TIME OF ENTRY.  VOID WHERE PROHIBITED BY LAW.  AFFIDAVIT OF ELIGIBILITY / RELEASE OF LIABILITY AGREEMENT MAY BE REQUIRED.

 

OVERVIEW: Energizer Personal Care, LLC (“Company”) is offering the “Clean Break Local Guide” contest (the “Contest”) to find a man and/or  woman to guest star as a local guides in an episode of the original web series entitled “Clean Break” (the “Series”).  Participation in the Contest is governed by these Official Rules (“Official Rules”) and the terms and conditions set forth below.  Participation in this Contest constitutes your full and unconditional agreement to these Official Rules and Company’s and judges' decisions, which are final and binding in all matters related to this Contest. Winning a prize is contingent upon fulfilling all requirements set forth herein.

ELIGIBILITY:  The Contest is open to individuals who are legal residents of the state of California, residing in the Eligible Area,  who are 21 years of age or older at the time of entry, have not been arrested for, charged with or convicted of a felony, misdemeanor or a crime of moral turpitude at the time of entry, awarding of prize or prior to acting as a Local Guide (as described below), and are not members of the Screen Actors Guild or AFTRA.  Employees of Company, Grainey Pictures, and any of their parent company, affiliates, subsidiaries, advertising and promotion agencies, retailers, distributors; all of their immediate families (parents, children, sibling, and spouse of each) and members of the same household (individuals who share the same residence at least 3 months per year) of such employee may not participate in the Contest.  Void outside California and where prohibited or restricted by any law and subject to all applicable Federal, State and local laws and regulations which may apply.  The Contest is not open to groups, teams or organizations.  Additional requirements for participating in the Series are set forth below.

TO PARTICIPATE:  To participate in the Contest, you must first register for a YouTube.com account by following and completing the registration process at [www.youtube.com/registration].  Failure to register with YouTube.com will prevent you from being able to enter the Contest and/or disqualify your Submission from consideration.  You may obtain a YouTube.com account at no cost at any time.

 

 

We are looking for the kind of in-the-know knowledge only a San Diego local would have, so only individuals who reside within the Eligible Area will be eligible to be selected as a Local Guide.  Company will not provide any travel, accommodations or expenses.  To enter the Contest, you must prepare a video recording (a “Video” or “Submission”) that shows your knowledge of the San Diego area and why you should be selected as the local guide for San Diego, CA.  For example, your Video can demonstrate to the Company what you think makes the Location unique and incredible, tell us what the Series should feature and otherwise show off your local knowledge,  etc.  Upload your Video by following the instructions at YouTube.com/HydroExperience (“Website”) and clicking on the “Submit Now” button. Failure to comply with these requirements or failure to follow any of the instructions on YouTube.com/HydroExperience or the YouTube terms of use may result in the Submission not being eligible for the Contest.  Technical assistance with Video Submissions is available at http://www.youtube.com/t/yt_handbook_home or http://www.google.com/support/youtube/bin/static.py?page=start.cs&hl=en_US. You may enter your Submission from 12:00:01 p.m. ET on April 23, 2010 through 11:59:59 p.m. ET on May 10, 2010. 

In addition, if you remove or edit any Submission before the expiration of the applicable Submission Period on Youtube.com or if your account with YouTube.com is suspended or terminated for any reason, such Video Submission shall no longer qualify to participate in the Contest.  You must at all times comply with YouTube.com’s Terms of Use available at http://www.youtube.com/t/terms. Nothing in these Contest guidelines shall be deemed to restrict, limit or alter the YouTube.com Terms of Use.   Limit one (1) Video and Submission per person/YouTube account/email address for the entire Submission Period.  Participants may not register with multiple email addresses nor may entrants use any other device or artifice to register multiple times or as multiple registrants. Any Participant who attempts to enter with multiple email addresses under multiple identities or uses any device or artifice to register/play multiple times will be disqualified and forfeits any and all prizes won, in Company's discretion.

SUBMISSION REQUIREMENTS: Each Video Submission must also meet the following requirements: (i) your face must clearly appear in the video and be recognizable; (ii) the video must be at least two (2) minutes long and not longer than three (3) minutes and in .MOV or .WMV format; and (iii) the video must otherwise comply with all other requirements and guidelines set forth herein.  BY MAKING A SUBMISSION, ENTRANT ACKNOWLEDGES THAT HIS/HER SUBMISSION MAY BE POSTED ON COMPANY’S WEBSITE, IN COMPANY’S DISCRETION.   Submission cannot: (i) be sexually explicit or suggestive, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic, contain nudity or any materially dangerous activity; (ii) promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message; (iii) be obscene or offensive, endorse any form of hate or hate group; (iv) defame, misrepresent or contain disparaging remarks about Company or its products, or other people, products or companies; (v) contain trademarks, logos or trade dress owned by others, or advertise or promote any brand or product of any kind, without permission, or contain any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses; (vi) contain copyrighted materials owned by others (including photographs, sculptures, paintings and other works of art or images published on or in websites, television, movies or other media) without permission; (vii) contain materials embodying the names, likenesses, photographs, or other indicia identifying any person, living or dead, without permission; (viii) communicate messages or images inconsistent with the positive images and/or goodwill to which Company wishes to associate; and (ix) depict, and cannot itself, be in violation of any law.  If you think that any Submission infringes your intellectual property rights, click here if you wish to report it http://www.youtube.com/t/terms.  SUBMISSIONS POSTED TO YOUTUBE WERE NOT EDITED BY COMPANY AND ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT AND DO NOT REFLECT THE VIEWS OF COMPANY IN ANY MANNER. If Company receives notice of any claim of infringement from any third party, Company may immediately remove such Video.  Company reserves the right to provide information to law enforcement officials, governmental agencies and pursuant to judicial or regulatory compulsion, to protect their respective interests, YouTube or to comply with legal, regulatory, audit and compliance obligations. Company may terminate the accounts of repeat copyright infringers in appropriate circumstances.  Any waiver of any obligation hereunder by Company does not constitute a general waiver of any obligation to entrants.  Company reserves the right to waive the Submission Requirements set forth herein in its reasonable discretion.  Company reserves the right, in its reasonable discretion, during or upon completion of the Submission Period, to request that any entrant resubmit his or her Submission which fails to comply with the Submission Requirements prior to any judging or voting period.  Company reserves the right to, and may or may not,  monitor/screen Submissions uploaded to YouTube. By entering, you acknowledge that Company has no obligation to use or post any Submission you enter. 

You acknowledge that are solely responsible and liable for your Submission, and the content therein, (and the consequences) made under your name, user name, email address, password and your registration and profile information, if any. In no event shall Company have or be construed to have any responsibility or liability for or in connection with of your Video.  If Company determines, in its sole discretion, you or your Video violates these Official Rules, Company reserves the right, at any time, without notice and without limiting any and all other rights Company may have under this Agreement, at law or in equity, to (a) disqualify you from the Contest, (b) remove and delete your Video, (c) revoke your registration and right to use Company’s YouTube website and (d) use any technological, legal, operational or other means available to enforce the terms of these Official Rules, including, without limitation, blocking specific IP addresses or deactivating your registration, access using your e-mail address, your user name and password.

RELEASEES (AS DEFINED BELOW) EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, WARRANTIES CONCERNING ACCESS TO AND/OR THE AVAILABILITY, OPERATION, ACCURACY, USEFULNESS AND/OR SECURITY OF THE WEBSITE, ANY CONTENT, MATERIAL, SOFTWARE, INFORMATION, DATA, CAPABILITIES MADE AVAILABLE TO YOU, RESOURCES, FACILITIES, PRODUCTS AND/OR SERVICES, AND WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR THAT THE WEBSITE WILL FUNCTION OR PERFORM IN ANY PARTICULAR MANNER.  Neither Company nor any other person or entity associated with the Contest is responsible for lost, late, incomplete, damaged, stolen, misdirected, or illegible Submissions or for incomplete, lost, interrupted or unavailable network, server or other connections, miscommunications, computer or software malfunctions or telephone transmission problems or technical failures, garbled transmissions, damage to a user's computer equipment (software or hardware) or other errors or malfunctions of any kind whether, human, mechanical, electronic or otherwise.  Any internet access and usage charges imposed by your online service provider will apply.  Company reserves the right, in its sole discretion to cancel or suspend this Contest should fraud, virus, bugs or other causes beyond the control of Company corrupt the administration, security or proper play of the game.  Should multiple users of the same YouTube account enter the Contest and a dispute thereafter arise regarding the identity of the entrant, the authorized account holder of said YouTube account at the time of entry will be considered the entrant.  “Authorized account holder” is defined as the natural person whose name is listed on the registration for the YouTube account. 

PERSONAL INFORMATION:  All personal information collected from you in connection with the Contest will be used and collected in accordance with Company’s Privacy Policy, located at http://www.energizer.com/pages/privacy-policy.aspx.  As provided for in the Privacy Policy, you will be provided with an opportunity to “opt-in” to receive future alerts via e-mail to new features, special offers, updated information and new services.

SUBMISSION AGREEMENT:  By making a Submission, you will be required to confirm that you agree to all of the terms and conditions of the Contest submission agreement (the "Submission Agreement"), which provides, in general as follows:

(i)                  that you irrevocably grant Company and its contractors (and its successors, assigns and licensees) the unrestricted, exclusive, royalty-free, transferable, irrevocable, worldwide license and right to use and otherwise exploit your Video, including, without limitation, your name, sobriquet, likeness, voice, biographical information, image, performance, actions, statements or expressions (“Likeness”) as embodied therein, any title thereof, in whole or in part, and all copyrights, trademarks, moral rights or "droit moral" and other intellectual property and proprietary rights therein, throughout the world, in any and all media, platforms, manners, and forms whether now or hereafter existing, including, without limitation, distribution by or through broadcast, cable, satellite, website, mobile device or otherwise (collectively, “All Media”), on a gratis basis commencing on the date you submit the Video to Company and continuing in perpetuity.  Without limiting the generality of the foregoing, you acknowledge and agree that Company's rights shall include, without limitation, the right to: (a) publicly perform, in any language, any and all of your performance as embodied in the Video, to store the Video, distribute and transmit the Video via any and all Internet exploitation methods; (b) reproduce, store, broadcast, transmit, stream, exhibit, cache, distribute and otherwise exploit any and all of the Video and/or any excepts therefrom in whole or in part, alone or in compilations with recordings of other performances by other participants in the Contest, all at Company's sole discretion; (c) edit, juxtapose, alter, modify, or rearrange any portion of the Video, and/or add narration, voiceover, sound, and/or music, all at Company's sole discretion; (d) exploit, in any and All Media the Video and any excerpts therefrom, including, without limitation, in audio format only (e.g., utilize your voice without the accompanying video or image of such performance); and (e) to authorize third parties to engage in any of the foregoing activities.;

(ii)                that you warrant and represent: (a) that the Submission is your original work, (b) that the Submission has not been previously published, (c) that the Submission has not won previous awards, (d) that the Submission does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity; (e) that you have obtained permission from any person who's name, likeness or voice is used in the Video; (f) the Video is free and clear of any liens or claims with respect to the use of such Video in the manner authorized herein;  (g) all of the information you submit to Company in connection with your Video, now or in the future, is and shall be complete, correct, true and accurate; (h) all persons engaged by you to work on the Video: (i) have no payment claims, (ii) have no rights of approval or consultation and no participation rights whatsoever, and (iii) are not engaged pursuant to any union or guild agreement that results in any ongoing obligations resulting from the exploitation of the Video and/or any other materials you provide Company; and (f) and that Company’s use of the Video, including via various media, will not infringe on the rights of any third party or give rise to any claims for payment of re-use fees, residuals or license fees. Any such entrant will indemnify and hold harmless, Company, YouTube and Administrators from any claims to the contrary.  Any entrant whose work includes likenesses of third parties or contains elements not owned by the entrant (such as, but not limited to, depictions of persons, buildings, trademarks or logos) must be able to provide legal releases for such use including Company’s use of such entry, in a form satisfactory to administrator, upon request, prior to award of prize and/or naming of entrant as a Finalist.

(iii)               that your submission is gratuitous and made without restriction, and will not place Company under any obligation, that Company is free to disclose or otherwise disclose the ideas contained in the Video on a non-confidential basis to anyone or otherwise use the ideas without any additional compensation to you. You acknowledge that, by acceptance of your Submission, Company does not waive any rights to use similar or related ideas previously known to Company, or developed by its employees, or obtained from sources other than you. 

By making a Submission, you also expressly represent and warrant that you do not have any obligation (contractual or otherwise) to any third party which may interfere with or prevent you from fully participating in the Contest and, if applicable, rendering services as a Local Guide at the Location on the applicable Production Dates.

Except where prohibited by law, by accepting a prize, the winner agrees to grant Company (or any of Company’s assignees or licensees) the irrevocable right to use winner’s name, voice and likeness in connection with the Contest and the advertising and promotion of the Contest, Company,  Content & Co. (“Content”), (and/or any other Company) or any of their products or services in all media now known or hereinafter invented, without time or territorial limitations and without additional compensation.

SELECTION PROCESS:  Company and its designees will initially review your Submission to ensure their compliance with these Official Rules, the Submission Requirements and the Submission Agreement. The Submissions which are deemed to be eligible will be posted at YouTube.com/HydroExperience where visitors to the site will be able to view the Video Submissions during the Submission Period.  The Voting Period will begin at 12:00:01 a.m. ET on May 11, 2010 and will end at 11:59:59 p.m. on May 18, 2010.  Visitors will be asked to vote for their favorite Submission based on; 1) the creativity and manner that the Location is presented in the Video Submission; 2) the entrants knowledge of the local area and attractions shown in the Video Submission; 3) the energy, enthusiasm and charisma shown by the individual appearing in the Video Submission and 4) the suitability of individual appearing in the Video Submission to be part of the Series.    Limit one (1) vote per person/YouTube account during any twenty-four (24) hour period.  At the expiration of the Voting Period, a panel of judges selected by Company in its sole discretion will further review the top five (5) Submissions receiving the most votes (the “Finalists”) and select from the Finalists a Grand Prize winner.  The Grand Prize winner selection will be made based on the following judging criteria and scoring method:  1) creativity in manner that the Location is presented in the Video Submission (1-10 points); 2) entrants knowledge of the local area and attractions  shown in the Video Submission and the individuals’ knowledge of same (1-10 points); 3) the energy, enthusiasm and charisma shown by the individual appearing in the Video Submission (1-10 points); and 4) suitability of individual appearing in the Video Submission to be part of the Series (1-10 points).  In the event of a tie, tied entries will be re-judged based on the following criteria: suitability of individual appearing in the Video Submission to be part of the Series (1-10 points). Company may also select alternates as it determines in its sole discretion from the pool of Finalists. Finalists will be required to produce two forms of identification to verify that Finalist was 21 years of age or older when your Video was recorded, including at least one form of photo ID and at least one form of government-issued ID (for example, a birth certificate and driver's license or a birth certificate and a passport or a birth certificate and a school ID card).

INTERFERENCE WITH VOTING PROTOCOLS:  You agree not to manipulate or interfere with the operation of YouTube.com in any way including by use of any automated or manual system to manipulate any voting and/or ranking of any Submission. Any attempt by Entrant and/or his/her family/friends to vote more than the number of times authorized herein using multiple names or email address and/or any other fraudulent mechanism, as determined by Company in its sole discretion, shall give Company the right to disqualify Entrant in its reasonable discretion and/or to report any manipulations or interference to the authorities when such action is warranted.

PRIZE: One (1) Grand Prize winner will be selected as a Local Guide for San Diego, CA and will be invited to be a guest star in the episode of the Series scheduled to be produced in San Diego, CA (“Location”) during June 2 – June 4, 2010 (“Production Dates”) (in the sole discretion of Company).  Grand Prize winner must be available at all times during the Production Dates to render services for Company at the Location and on possible additional dates for post production, looping, dubbing, shooting of additional scenes and production of promotional materials.  Grand Prize winner will not be provided with any travel, accommodations or expenses (though winner will be provided with meals while rendering services).  Any Grand Prize winner who is unable to meet the foregoing will be forfeiting their prize and opportunity to participate in the Series and an alternate may be announced to replace him or her. As a condition of each being invited to participate in the production of the Series, you agree that if you are selected as a Grand Prize winner, or being considered as a Grand Prize winner, Company or its designee may conduct an investigation of your background (including criminal background checks, credit check and/or research into your previous work background) at any time after you have submitted a Submission. You agree to such background checks and research and agree to execute such additional consent forms as may be required by Company in connection therewith. You further understand that any decision by Company to invite you to participate in the Series or not may, among other things, depend upon the results (in the sole discretion of Company) of such background check(s) confirming your eligibility.  Approximate Retail Value (“ARV”): $200.00.  Prize is non-transferrable and may not be substituted.  Company is not responsible for any delay or cancellation in production of the Series or the episode of the Series in which Grand Prize winner may have appeared.

As a condition of being awarded a prize, Winner will be required to provide Company with a hard copy of his or her Video, to Company, including the waiver in favor of Company of all rights of “Droit Moral” or “Moral Rights of Authors” or any similar rights or principles of law that winner may now or later have to his or her winning Submission, and grant Company the right to alter, change or modify the winner’s Video, in its sole discretion.  Upon request of Company, winner shall execute and deliver such additional instrument of assignment, as may be solely deemed by Company, reasonably necessary to establish the ownership of record of the right, title and interest in and to the Submission and of the copyrights transferred and “Moral Rights of Authors” waived under these Official Rules.  Should Company fail to request the said assignment as stated, that shall not be deemed a waiver of Company’s rights and Company may at a later time request the assignment.

WINNER NOTIFICATION:  Potential winner is subject to verification, including verification of age.  If a Potential Winner is found not to be eligible or not in compliance with these Official Rules, or if prize notification or any prize is returned as undeliverable, the Potential Winner may be disqualified, in Company’s sole discretion.  In the event that a Potential Winner is disqualified for any reason, Company reserves the right to award the prize to an alternate entrant who will also be selected randomly, even if the disqualified Potential Winner’s name may have been publicly announced.   As a condition for the prize and participating in the Series, each Local Guide must sign and return the Engagement Agreement (as defined below) within [seven (7) days] of being named a potential Grand Prize winner. The potential winner who fails to execute the Engagement Agreement within such time period may be replaced with an alternate.  Any alternate selected as a Local Guide must also comply with all requirements set forth herein for each Local Guide.

ENGAGEMENT AGREEMENT:  Collection the prize and participating in the Series is conditioned upon each Local Guide will be required to sign an agreement (the “Engagement Agreement”) with Company which will provide in part that (i) each Grand Prize winner will receive the total sum of $200  as a W-9 Independent Contractor payable upon conclusion of the applicable Production Period in consideration of the winner’s services and rights granted; (ii) that the winner agrees to render the services required by Company in connection with production of the Series and to follow all of Company’s directions and instructions; (iii) Company or its designee shall have the exclusive right to use the winner’s name, voice and likeness in and in connection with the Series and the advertising, marketing and promotion of the Series; (iv) all of the materials, results and proceeds of the winner’s services shall be owned exclusively by Company; (v) Company shall be fully discharged from any obligation to winner upon payment of the $200 sum referenced above and in no event shall Company or Content or any other party be obligated to utilize winner’s services or the results and proceeds of any of their services; and (vi) such other terms customary for such talent agreements.

Taxes, if any, insurance, gratuities, meals and expenses not specifically stated herein are the sole responsibility of the individuals selected as Local Guides. 

WINNERS LIST:  For the names of the Local Guides, send a self-addressed, stamped envelope to be received by June 30, 2010 to: “Clean Break Local Guide-San Diego Winners List,” P.O. Box, 750376, El Paso, TX 88575-0376.

DISQUALIFICATION: you may be subject to immediate disqualification from the Contest and may be barred from qualification to be a Local Guide, if you: (i) fail to meet any of the eligibility criteria hereunder; (ii) breach any of any provision of the Submission Agreement, (iii) misrepresent any information to Company or its designees; (iv) engage in physical or verbal abuse towards another individual participating in the Contest, or any other person involved in the administration or production of the Series or the Contest or any component thereof; (v) use illegal drugs; (vi) otherwise violate any federal, state, or local laws of the State of California.  Disqualification shall not affect any rights granted by you pursuant to the Submission Agreement.

GENERAL CONDITIONS:  As a condition of entering, entrants agree (and agree to confirm in writing): (a) to release Company, YouTube, their parents, affiliates, subsidiaries, retailers, sales representatives, distributors and advertising and promotional agencies, and each of their officers, directors, employees and agents (“Promotional Parties”), from any and all liability, loss or damage incurred with respect to (i) the awarding, receipt, possession, and/or use or misuse of any prize, including any traveling related thereto; and (ii) the use of any Submission, including entrant’s Likeness as contained therein; (b) to defend, indemnify and hold Promotional Parties, harmless from and against any and all liabilities, judgments, losses, claims, demands, costs, damages and expenses (including reasonable attorney's fees and legal costs) (individually and collectively "Claims") arising out of or relating to: (i) any breach or alleged breach of any representation, warranty or agreement made by you under these Official Rules or any other agreement between entrant and Company in connection with the Contest, and (ii) your participation in the Contest, including, without limitation, any statement or action made or taken by you during or in connection with your Video; (c) under no circumstances will entrant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (d) all causes of action arising out of or connected with this Contest, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (e) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs.  By entering, entrants agree to binding arbitration  in the event of any disputes related to matters covered herein and that all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, participant’s rights and obligations, or the rights and obligations of the Company in connection with the Contest, shall be governed by, and construed in accordance with, the laws of State of Connecticut without giving effect to any choice of law or conflict of law rules. 

YouTube is not a sponsor of and is in no way affiliated with the Contest and has no responsibility or liability regarding the conduct or administration of the Contest.
