Maine Chapter Constitution

I. Name and Purpose

The name of this Chapter shall be the Maine Chapter of the American Association of Teachers of German. The purpose of the chapter conforms to that of the national organization. It works to promote and improve a spirit of cooperation and fellowship among its members. 

II. Membership
Any teacher of German or anyone interested in the teaching of German may join the chapter and the national association upon payment of the annual dues as specified by the by-laws of the national association. Membership will be retained by the continued payment of the annual dues, payable in September. Membership is based on the academic year (September 1 - August 31). 

III. Officers 
The officers of the chapter shall be a president, a vice-president, a secretary, and a treasurer to be elected in such manner and for such terms as indicated in the by-laws.

IV. Administration 
The general direction of the chapter shall be in the hands of a steering committee consisting of the officers listed in Article III and of the immediate past president, testing chair, Sprachfest coordinator, and the chapter representative to FLAME (Foreign Language Association of Maine). The steering committee will also include the State Consultant for Foreign Languages. 

V. Meetings 
The chapter shall meet at least two times a year. The time and place of the meeting shall be determined by the steering committee. The members present at any session shall constitute a quorum. 

VI. Changes in the Constitution 
The constitution of the chapter may be amended by a two-thirds vote of members present at the annual spring meeting, provided that the text of any proposed amendment has been approved by the steering committee and has been presented to the members. 

Bylaws
1. The president and vice-president shall be elected for a term of two years. a) The vice-president shall be the president-elect. b) The offices of president and vice-president should alternate between secondary and post-secondary representatives whenever possible. 

2. The secretary and the treasurer shall be elected for a term of two years and elections of these officers shall be staggered. a) The secretary and the treasurer shall have the duties usually belonging to those offices. b) In addition, the treasurer shall act as chapter membership coordinator, maintaining updated membership lists, and organizing the promotion of membership. 

3. Elections shall be held at the annual spring meeting. A nominating committee, chosen by the steering committee, shall solicit nominations from the membership, and present a slate of candidates. 

4. The slate shall be presented at the annual spring meeting. Nominations may also be made from the floor. Voting shall be by a show of hands. Officers shall assume duties at that time and shall serve until the next election. 

5. A testing chair, Sprachfest coordinator and representative to the FLAME advisory board will be appointed by the steering committee at the annual spring meeting.
