RetireFlow - Terms of Service (last updated May 2026)

Overview

These Terms of Service ("Terms") are between you ("User", "you", or "your") and RandFact Works Inc. ("RandFact", "we", "us", or "our"), the developer and operator of the RetireFlow mobile application ("RetireFlow" or the "App").

By downloading, installing, accessing, or using RetireFlow, you agree to be bound by these Terms. Additional terms and a Privacy Summary are presented within the App at first launch and require your explicit acceptance. Those in-app terms form part of these Terms.

RetireFlow is currently distributed through the Apple App Store. Apple's standard Licensed Application End User License Agreement ("Apple Standard EULA") applies to the software license for the App for iOS distribution unless RandFact later provides a custom EULA through App Store Connect. These Terms supplement the applicable platform license by providing RetireFlow-specific disclosures, disclaimers, subscription terms, privacy references, and liability limitations. If there is a conflict regarding the App Store software license scope, the applicable platform EULA controls to the extent required by the distributing app store.

1. No Financial , Tax, Legal, Or Investment Advice

RetireFlow is an educational and informational tool designed to assist with personal retirement planning. The App does not provide financial, investment, legal, tax, accounting, or fiduciary advice.

• RandFact is not a licensed financial advisor, broker, investment adviser, tax professional, accountant, attorney, or insurance professional.

• -All calculations, including Monte Carlo simulations, Backsolver results, AI Observations, sensitivity analysis, cash-flow projections, rule-based planning notices, and potential cross-border reporting indicators, are hypothetical and do not guarantee future results.

• You should consult with a qualified professional, such as a CPA, cross-border tax expert, attorney, or Certified Financial Planner, before making significant financial, tax, legal, investment, residency, or retirement decisions.

2. Accuracy of Calculations

While RandFact strives for mathematical integrity and reasonable model accuracy, the following limitations apply:

Tax Data Currency: Tax calculations are based on publicly available CRA and IRS data current as of April 2026, reflecting the 2026 tax year. Tax brackets, contribution limits, government benefit thresholds, credits, deductions, surtaxes, and related rules are subject to change, and the App may not reflect the most recent legislative or administrative updates.

Jurisdiction Coverage: The App models detailed progressive tax brackets for all 13 Canadian provinces and territories and all 50 US states plus the District of Columbia. Certain province-specific and state-specific credits, surtaxes, levies, deductions, local taxes, payroll taxes, treaty interactions, and special rules may be simplified or omitted. Consult official CRA, IRS, provincial, territorial, state, and local sources for your jurisdiction's full rules.

Supported Accounts: Account types modeled include RRSP with RRIF conversion, TFSA, 401(k) / Traditional IRA, and Roth IRA. FHSA, RESP, HSA, 529 plans, and other specialized accounts are not modeled unless expressly stated in the App.

Government Benefits: CPP and Social Security benefit amounts are user-entered estimates and are not calculated from your personal earnings history. OAS amounts and clawback thresholds are modeled based on April 2026 CRA data and may not reflect future legislative changes.

Market And Planning Assumptions: Returns, inflation, volatility, correlations, spending assumptions, exchange rates, retirement ages, life expectancy assumptions, and other inputs are hypothetical. Small changes in assumptions can materially change projected outcomes.

AI Observations: AI-generated insights are probabilistic and may be incomplete, incorrect, inconsistent, outdated, or unsuitable for your circumstances. Do not rely solely on AI-generated summaries or recommendations.

User-Provided Inputs: All projections are based on data you enter. Incorrect, incomplete, outdated, or unrealistic inputs will produce incorrect, incomplete, or misleading projections.

3. Privacy and Data Storage

RetireFlow is designed with a privacy-first architecture. Outside optional third-party features you choose to use, planning data you enter is stored locally on your device. RandFact does not operate a server for your planning data and does not collect or have access to your personal financial planning inputs or generated planning outputs.

Locally stored data may include identity information used for legal acceptance records, planning inputs, assumptions, app settings, legal acceptance records, generated projection outputs, and saved scenarios. Saved scenarios may include both input snapshots and generated outputs such as deterministic results, simulation results, rule-based planning notices, potential cross-border reporting indicators, and backsolver outputs.

No Cloud Sync: Because data is local, RandFact cannot recover your data if the App is deleted, your device is lost, or local storage is cleared. You are responsible for any manual backups.

AI Features: If you enable AI Observations and provide your own API key, a masked projection summary and your chat messages are transmitted directly from your device to the AI provider you select. The payload is designed to omit names and birthdates. RandFact does not proxy, store, inspect, or have access to these transmissions.

No Analytics: The App does not include third-party analytics, telemetry, advertising, or crash-reporting SDKs. RandFact receives no usage statistics or diagnostic reports from the App.

4. Subscriptions and Purchases

Access to premium features may require a valid subscription, Day Pass, active free trial, lifetime purchase, or other purchase option offered in the App.

Premium features may include Monte Carlo Simulation, Backsolver, AI Observations, Save and Compare scenarios, Custom Sensitivity Shifts, and other features identified in the App. The deterministic baseline projection table may remain available without a paid subscription, subject to future feature availability decisions.

All transactions are handled by your app store's billing service through your app store account.

Billing: Payment is charged to your app store account at confirmation of purchase.

Auto-Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. Your account will be charged for renewal within 24 hours before the end of the current period.

Cancellation: You may cancel or manage subscriptions through your device Settings > Apple ID > Subscriptions.

Refunds: No refunds are provided by RandFact for unused portions of a billing period, Day Pass period, trial period, or lifetime purchase. Refunds for app store purchases are subject to the applicable app store's standard refund terms and processes.

Day Pass: A Day Pass, if offered, grants time-limited access for the period shown in the App. Day Pass access is not a recurring subscription and does not automatically renew.

Free Trial: A free trial, if offered, grants access for the period shown in the App. Trial eligibility may be limited by device, account, app store rules, or anti-abuse controls.

Lifetime License Scope: A "Lifetime" purchase, if offered, grants access to premium features for the lifetime of the RetireFlow application in its current major version as distributed through the applicable app store. RandFact reserves the right to release successor products, separate applications, or major new versions that may not be covered by an existing lifetime purchase.

Feature Availability: RandFact reserves the right to modify, add, remove, rename, or discontinue free or premium features at any time, subject to applicable law and app store rules.

5. AI Observations

AI Observations are optional and require you to provide your own API key for the provider you select. You are responsible for obtaining, securing, and paying for your own AI provider account and API usage.

When you use AI Observations:

• Data is sent directly from your device to the selected AI provider.

• RandFact does not proxy, host, store, or review your AI requests or responses.

• The selected AI provider's privacy policy, terms, logging practices, training policies, data retention practices, and fees apply to your AI use.

• You should not type personal identifiers, account numbers, confidential tax details, or other sensitive information into the AI chat.

• AI outputs are for educational and informational purposes only and are not professional advice.

6. Limitation of Liability

RetireFlow is provided "as-is" and "as-available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, availability, non-infringement, tax accuracy, investment performance, or suitability for your circumstances.

To the maximum extent permitted by applicable law, RandFact shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages resulting from your use of or inability to use RetireFlow, including but not limited to financial losses, investment underperformance, tax penalties, missed opportunities, incorrect assumptions, reliance on App projections, reliance on AI outputs, loss of local data, or inability to recover data after deletion or device loss.

You use RetireFlow at your own risk.

7. Intellectual Property

RetireFlow, including its software, code, algorithms, simulation engine, Backsolver, Monte Carlo engine, tax-modeling logic, user interface, visual design, documentation, text, logos, and branding, is owned by RandFact or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not reverse engineer, decompile, disassemble, copy, modify, redistribute, sell, sublicense, or attempt to extract the source code of the App except to the extent such restrictions are prohibited by applicable law or expressly permitted by the applicable platform license agreement.

8. Cross-Border and Residency Risks

Cross-border tax laws and compliance obligations, including FBAR, FATCA, T1135, deemed disposition, treaty residency, departure tax, withholding tax, pension treatment, and account reporting rules, are complex and subject to change without notice.

RetireFlow helps visualize potential scenarios, but it cannot account for every legislative update, treaty nuance, administrative position, filing requirement, state or provincial rule, or personal fact pattern. Consult a qualified cross-border tax professional for your specific situation.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles, except to the extent the applicable platform license agreement or app store terms require otherwise.

10. Termination

RandFact may modify, suspend, or discontinue RetireFlow or any feature at any time, subject to applicable law and app store rules. Your right to use the App may terminate automatically if you fail to comply with these Terms, the applicable platform license agreement, or applicable law.

11. Changes to These Terms

RandFact may update these Terms from time to time. The "Last Updated" date at the top of this page reflects the most recent revision. Continued use of the App following an update constitutes acceptance of the revised Terms.

These Terms apply to the RetireFlow mobile application. For iOS distribution, these Terms supplement Apple's standard Licensed Application End User License Agreement. Similar platform-specific license terms may apply for other app stores.
