Terms & Conditions

These Terms & Conditions ("Agreement") govern your use of the microsite managed by Sku Driver ("Company") on behalf of its client KP Snacks. By accessing and using the microsite, you agree to be bound by the terms and conditions outlined in this Agreement. If you do not agree with any of these terms, please refrain from using the microsite.
Microsite Usage
1.1 Access and Registration: The microsite is available for use by caterers ("Users") who wish to order Point of Sale Kits ("Kits") provided by KP Snacks. To access the microsite, Users must provide their business name, address, and Booker/Makro registration number. By providing this information, Users confirm that they are authorized representatives of their respective catering businesses.
1.2 Kit Ordering: Users may order up to three Kits per order through the microsite. The availability of Kits is subject to stock availability and may be limited or discontinued at any time without prior notice.
User Obligations
2.1 Accurate Information: Users are responsible for providing accurate and up-to-date information during the registration process, including their business name, address, and Booker/Makro registration number. Any changes to this information must be promptly communicated to the Company.
2.2 Lawful Use: Users agree to use the microsite in compliance with all applicable laws, regulations, and this Agreement. Users shall not engage in any unlawful, fraudulent, or harmful activities while using the microsite.
2.3 User Credentials: Users are responsible for maintaining the confidentiality of their account credentials, including usernames and passwords. Users shall not share their account credentials with any third parties or allow unauthorized access to their account.
Intellectual Property
3.1 Ownership: All intellectual property rights, including but not limited to trademarks, logos, and content displayed on the microsite, are owned by the Company or KP Snacks or the Booker Group Users are prohibited from using, reproducing, or modifying any of the intellectual property without the prior written consent of the Company or the respective rights holder.
3.2 User Content: By submitting any content, including business names and addresses, through the microsite, Users grant the Company and its clients a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content for the purpose of fulfilling and managing Kit orders.
Limitation of Liability
4.1 No Warranty: The microsite is provided on an "as-is" basis, without any warranties, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
4.2 Indemnification: Users agree to indemnify and hold harmless the Company, its officers, directors, employees, and agents from any claims, damages, liabilities, or expenses arising out of or related to their use of the microsite, including any violation of this Agreement.
4.3 Limitation of Liability: In no event shall the Company be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use of the microsite, even if advised of the possibility of such damages.
Termination
The Company reserves the right to suspend or terminate a User's access to the microsite at any time without prior notice, if it believes that the User has violated any provision of this Agreement or engaged in any fraudulent or harmful activities.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where the Company is based, without regard to its conflict of laws principles.
Modifications
The Company reserves the right to modify or update this Agreement at any time. Users are responsible for regularly reviewing the Agreement to ensure their continued compliance. The Company will provide notice of any material changes to this Agreement through the microsite or via email to the address provided during registration. By continuing to use the microsite after such changes are made, Users acknowledge and accept the modified Agreement.
Privacy
The Company values User privacy and handles personal information in accordance with its Privacy Policy. By using the microsite, Users consent to the collection, use, and disclosure of their personal information as described in the Privacy Policy. Users are encouraged to review the Privacy Policy, which can be found on the microsite.
Severability
If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified or replaced with a valid provision that achieves as closely as possible the original intent of the Agreement.
Entire Agreement
This Agreement constitutes the entire agreement between the Users and the Company concerning the subject matter herein and supersedes any prior or contemporaneous agreements, communications, or understandings, whether written or oral.
Waiver
The failure of the Company to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision unless acknowledged and agreed to in writing by the Company.

By using the microsite and placing an order, Users confirm that they have read, understood, and agreed to be bound by these Terms & Conditions.
