LEGAL REPRESENTATION BY ARTHUR MAZIROW IN REAL ESTATE MATTERS

The following is a partial list of matters for which Arthur Mazirow as the responsible billing person, performed legal services by either handling the matter himself, or with other lawyers, or supervised the work of other lawyers or reviewed transactions done by other lawyers involving the following types of real estate transactions:

1.         Purchases Transactions.

            (a)       Representing purchasers of real estate in acquiring or purchasing different types of real estate, including raw land for development, land ready for development, improved real estate consisting of industrial building developments, office building developments, retail developments, shopping center developments, residential developments, and apartment house developments.

            (b)       The number of these transactions is not less than 543.

2.         Sales Transactions.

            (a)       Representing sellers of real estate in selling different types of real estate, including raw land, improved real estate consisting of industrial developments, retail developments, shopping centers, residential and apartment house developments.

            (b)       The number of these transactions is not less than 338.

3.         Leases representing the landlord (excluding ground leases).

            (a)       Lease transactions representing a lessor in the leasing of improved real estate, including industrial properties, office properties, retail properties, shopping center properties, on buildings already built or to be built.

            (b)       The number of these transactions is not less than 1,167.

4.         Leases on behalf of Tenants (excluding ground leases).

            (a)       Representing tenants in lease transactions concerning real estate of all types, including industrial properties, office properties, retail property, shopping center properties, including buildings already built and to be built.

            (b)       The number of these transactions is not less than 107.

5.         Leases on behalf of Landlords concerning ground leases.

            (a)       Representing the lessor in ground leases.

            (b)       The number of these transactions is not less than 21.

6.         Leases, tenant representation in ground leases.

            (a)       Lease transactions representing the tenant in ground leases.

            (b)       The number of these transactions is not less than 16.

7.         Real Estate Loan Transactions.

            (a)       Representing borrowers or lenders in loan transactions, including purchase money loans, land loans, construction loans and permanent loans involving different types of real estate including raw land, improved real estate, industrial developments, office building developments, retail developments, shopping center developments, residential and apartment houses.

            (b)       The number of these transactions is not less than 406.

8.         Real Estate Brokerage Matters.

            (a)       Matters involving real estate brokerage concerning listings for sale, for lease, loan transactions, disputes between brokers, disputes between brokers and sellers, buyers, tenants, lessors, lenders, lending institution or sales people and the preparation of real estate brokerage contracts and forms on behalf of real estate associations, individual brokerage companies, sellers, buyers and tenants.

            (b)       The number of these transactions is not less than 101.

9.         Real Estate Developments.

        (a)     Representing the developer in a real estate development concerning an industrial development, an office project development, a retail development, a shopping center development or a residential development.

            (b)       The number of these transactions is not less than 382.

10.       Real Estate Litigation.

            (a)       Real Estate litigation representing either the buyer, the seller, the lessor, the tenant, the lender, the borrower, the title company, adjoining land owners, owners, or contractors concerning various types of real estate disputes, including purchase and sale matters, landlord/tenant matters, title issues, lien disputes, partnership disputes and arbitrations or all types of real estate.

            (b)       The number of these transactions is not less than 283.

11.       Partnerships.

            (a)       Representing partnerships or partners concerning a partnership dealing with a real estate project.

            (b)       The number of these transactions is not less than 225.

12.       Forms of leases.

            (a)       Preparation of printed lease forms to be used on a mass basis concerning single tenant industrial/commercial net lease forms, single tenant industrial/commercial gross lease forms, office leases, net lease forms, office leases gross lease forms, multi-tenant lease forms, including various addenda thereto on behalf of real estate brokerage associations or on behalf of landlords or tenants.

            (b)       The number of these transactions is not less than 84.

13.       Forms of Purchase and Sale Documents.

            (a)       Preparation of printed forms of contracts, option contracts, letters of intent, and proposals for the purchase and sale of real estate on behalf of real estate brokerage associations, real estate brokers and buyers.

            (b)       The number of these transactions is not less than 6.

14.       Title Matters.

            Representing parties on issues concerning title matters, including easements, encroachments, boundary line disputes, surveys, easements in gross, easements appurtenant, implied reservations of easements, implied grants of easements, and co-ownership matters.

            The number of these transactions is not less than 78.

15.       Construction Contracts.

            (a)       Representing parties to a construction contract for the construction of a building, buildings or project.

            (b)       The number of these transactions is not less than 37.

16.       Expert Witness.

          Retained as an expert witness in more than 50 lawsuits to testify concerning:  the interpretation, meaning, custom and usage of real estate purchase-sale agreements and escrow instructions; the interpretation, meaning, custom and usage of real estate leases; the standard of care required of lawyers dealing in real estate leases and contracts.

17.       Real Estate Mediation and Arbitration.

           Employed by buyers, sellers, lessors, lessees and real estate brokers to mediate and arbitrate real estate based disputes.

18.       The disputes that have come before him in his capacity as an arbitrator, mediator and expert witness have included:

Disputes between lessor and lessee concerning office, commercial and industrial leases and ground leases on various issues including:

·         interpretation of expense allocation provision

·         determination of fair market rent

·         letters of credit and security deposits

·         repair obligations

·         options

·         interpretation of leases

Disputes between buyers and sellers of real estate concerning land, industrial property, office projects, commercial property and residential property on various issues including:

Disputes concerning title insurance issues on various issues including:

·         title insurance coverage

·         malicious prosecution

Disputes between real estate brokers and clients on various issues including:

·         broker claims against clients of broker

·         claims between brokers

Disputes between partners in real estate ventures on various issues including:

·         damages for breach of fiduciary duties owed to joint venturers

·         interpretation of joint venture development agreement

Title disputes including:

·         easements

·         boundaries
