XI’AN JIAO TONG UNIVERSITY ALUMNI ASSOCIATION OF NORTHERN CALIFORNIA

 


PURPOSES

SECTION 1. OBJECTIVES AND PURPOSES

The general nature and objective of the Association shall be to provide a community for the Xi’an Jiao Tong University alumni and their family and friends to connect with each other and grow personally and professionally. In the context of these general purposes, the Association shall:

  • Organize all types of social, academic, and career activities to unite our alumni members.
  • Foster connection and exchange event information between our organization with our Alma Mater and promote various social and business opportunities for our alumni.
  • Promote our alumni organization in public and in front of other alumni organizations.
  • Promote the image of Xi’an Jiao Tong University (XJTU) and bridge our overseas alumni back to the school in China.
  • Support member’s professional development.
  • Encourage and help members develop business ideas.


OFFICERS

SECTION 1. NUMBER OF OFFICERS

a)       The officers of the Association shall be a President, an Executive Vice President, and one or more Vice Presidents. Any number of offices may be held by the same person except that President and Executive Vice President may not be held by the same person.

SECTION 2. QUALIFICATION, ELECTION, AND TERM OF OFFICE

An officer of this Association must be alumni of Xi’an Jiao Tong University. The term of the officers is one (1) year. The Assembly of Members meets in January to elect the Officers for the next term. Except for the inception of the Association when the Assembly of Members elects both President and Executive Vice President, the Assembly of Members meets in January to elect the next Executive Vice President, and the preceding Executive Vice President shall take the office of President, unless he or she resigns or is removed or is otherwise disqualified to serve.

Candidates shall have 2/3 of votes from the Assembly of Members to be elected as officers. In the case of the Assembly has no more than 10 members, the candidate shall have votes from all the members to be elected.

The President and the Executive Vice President shall assemble the executive team by appointing Vice Presidents and other officers described in Section 1 of this Article.

Each officer shall hold office until he or she resigns or is removed or is otherwise disqualified to serve, or until his or her successor shall be elected and qualified, whichever occurs first.

SECTION 3. REMOVAL AND RESIGNATION

Any officer may be removed, either with or without cause, by the Assembly of Members, at any time. Any officer may resign at any time by giving written notice to the Assembly of Members or to the President of the Association. Any such resignation shall take effect at the date of receipt of such notice or at any later date specified therein, and, unless otherwise specified therein, the acceptance of such resignation shall not be necessary to make it effective. The above provisions of this Section shall be superseded by any conflicting terms of a contract which has been approved or ratified by the Assembly of Members relating to the employment of any officer of the Association.

SECTION 4. DUTIES OF PRESIDENT

The President shall, subject to the control of the Assembly of Members, supervise and control the affairs of the Association and the activities of the officers. He or she shall perform all duties incident to his or her office and such other duties as may be required by law, or by these Bylaws, or which may be prescribed from time to time by the Assembly of Members. If applicable, the President shall preside at all meetings of the members. In the context of the above general duties, the President shall be responsible to:

a)         Maintain and manage the mailing list and the web site for the organization.

 

b)         Monitor the performance of the other officers and replace the officers who resigned or ineffective in serving their roles.

c)         Organize the Assembly of Members.

d)         Manage the day-to-day operations of the Organization.

e)         Respond to internal and external requests and resolve issues.

f)          Define the number of the functional areas to appoint Vice Presidents and form the Executive Team.

g)         Promote or initiate any activities that would benefit the organization.

h)         Represent Xi’an Jiao Tong University Alumni Association of Northern California in dealing with other sister alumni organizations and government agencies.

MEMBERS

SECTION 1. DETERMINATION OF MEMBERS

All XJTU alumni and friends resided in North California are eligible to joint the Association as members. His or her membership is determined by his or her joining of the email list of the XI’AN JIAO TONG UNIVERSITY ALUMNI ASSOCIATION OF NORTHERN CALIFORNIA. Membership is terminated when a member requests to one of the officers in writing to withdraw his contact information from the email list.

 


ASSEMBLY OF MEMBERS

The Assembly of Members represents the active members of XJTU alumni in the organization. It provides a valuable talent pool for organizing major activities. It also serves as a training ground for active volunteers to build leadership skills.

XJTU alumni are all eligible to join the Assembly of Members and participate in the elections.

The Members in the Assembly have the following duties:

a)      Actively participate in the events initiated by the President

b)      Promote or initiate any activities that would benefit the organization.

c)      Elect officers each year.


ADVISORY COMMITTEE

The Advisory Committee represents distinguished alumni and influential community activists. Members of the Advisory Committee shall be nominated by officers of the Association and approved by simple majority of Assembly of Members. Past officers of the Association automatically become eligible for nomination. There is no term limit for members of the Advisory Committee.

 

 

OTHERS

SECTION 1. ASSOCIATION PROPERTIES

Websites, mailing lists, and flags of the Association are the properties of the Association.

SECTION 2. RECORDS

(a) Minutes of all meetings of officers, of all meetings of members, indicating the time and place of holding such meetings, whether regular or special, how called, the notice given, and the names of those present and the proceedings thereof;

(b) A record of its members, if any, indicating their names and addresses and, if applicable;

(c) A record of books for major event;

(d) A copy of the Bylaws as amended to date, which shall be open to inspection by the members.

 

SECTION 3. MEMBERS' INSPECTION RIGHTS

Each and every member of XJTU alumni shall have the following inspection rights, for a purpose reasonably related to such person's interest as a member:

(a) To obtain from the Officers of the Associations, upon written demand, an alphabetized list of the names, addresses and voting rights of those members entitled to vote for the election of President and Vice President as of the most recent record date for which the list has been compiled or as of the date specified by the member subsequent to the date of demand. The demand shall state the purpose for which the list is requested. The membership list shall be made available on or before the later of ten (10) business days after the demand is received or after the date specified therein as of which the list is to be compiled.

(b) To inspect at any reasonable time the books, records, or minutes of proceedings of the members, upon written demand on the Association by the member, for a purpose reasonably related to such person's interests as a member.


AMENDMENT OF BYLAWS

SECTION 1. AMENDMENT

These Bylaws, or any of them, may be altered, amended, or repealed and new Bylaws adopted by approval of equal or greater than two thirds of the Assembly of Members.
