PFA Bylaws

BYLAWS OF WHITEHEAD SCHOOL

PARENT-FACULTY ASSOCIATION

 

The Parent-Faculty Association of Jerry Whitehead Elementary School was established as a non-profit association in the school year 1986-1987 by vote of the parents and faculty.  The Board of Trustees amended these Bylaws on April 7, 2003, and again on February7, 2012.

 

ARTICLE I

NAME

 

The name of this association shall be the Whitehead School Parent-Faculty Association.

 

ARTICLE II

OBJECTIVES

 

The objectives of the association are:

 

Section 1:

 

To promote the welfare of children and youth in home, school, church and community.

 

Section 2:

 

To raise the standards of home life.

 

Section 3:

 

To bring into closer relation the home and the school, that parents and teachers may cooperate intelligently in the training of children and youth.

 

Section 4:

 

To develop between educators and the general public such united efforts as will secure for every child the highest advantages in physical, mental, social and spiritual education.

 

Section 5:

 

To financially assist the students’ educational achievement through fund raising efforts.

 

 

ARTICLE III

POLICIES

 

 

The following are basic policies of the association:

 

Section 1:

 

The program of this association shall be educational and shall be developed through conferences, committees, projects and fund raising.

 

Section 2:

 

This association shall be non-commercial, non-sectarian and non-partisan.  The name of the association or the names of its officers in their official capacities shall not be used with any partisan interest, or for any other purpose than the regular work of the association.

 

Section 3:

 

The association shall not directly or indirectly participate or intervene in any way, including the publishing or distributing of statements, in any political campaign on behalf of, or in opposition to, any candidate for public office, or devote more than an insubstantial part of its activities to attempting to influence legislation by propaganda or otherwise.

 

Section 4:

 

This association shall not expend any funds except for the purpose of accomplishing its stated purposes.

 

Section 5:

 

This association shall not seek to direct the administrative activities of the school or to control is policies.

 

 

ARTICLE IV

MEMBERSHIP AND DUES

 

Section 1:

 

Any individual who subscribes to the objectives and basic policies of this association may become a member of this association, subject only to compliance with the provisions of the Bylaws.  Membership in this association shall be available without regard to race, color, creed or national origin.

 

Section 2:

 

The association shall conduct an annual enrollment of members but persons may be admitted to membership at any time.

 

Section 3:

 

Only members in good standing of the association shall be eligible to participate in its business meetings, or to serve in any of its elective or appointive positions.

 

Section 4:

 

The annual dues shall amount to ten dollars ($10.00) per family.

 

 

ARTICLE V

OFFICERS AND THEIR ELECTION

 

Section 1:

 

The officers of this association shall be president, vice president, secretary, communications and treasurer.

 

Section 2:

 

Thirty days prior to the March meeting, notification of open nominations will be given to the members.  Nominations will be taken from the floor at the March meeting.  The nominations will be made public.  Election of the officers will occur at the April meeting.  A member of the board of trustees is responsible for providing notification, organizing and coordinating the nominating process.

 

Section 3:

 

Election of officers will be at a regular meeting in the spring, but no later than the end of April.

 

Section 4:

 

The consent of each candidate must be obtained before his/her name is placed in nomination.  Additional nominations may be made from the floor provided the consent of each candidate has been obtained before his name is placed in nomination.  All nominations from the floor must be completed and nominations closed for each office before voting for any office takes place.  A written ballot shall take the vote.  The nominee for each office receiving the majority of the votes cast shall be declared elected.

 

Section 5:

 

All candidates shall introduce themselves at the election meeting.

 

Section 6:

 

Vacancies in offices may be appointed by the Board of Trustees. Such appointments would be approved by majority vote of the general membership at the next available meeting.

 

Section 7:

 

Officers shall assume their official duties at the close of the last meeting of the school year and shall serve for a term of one (1) year or until their successors are elected.  No person shall serve more than two (2) consecutive years in the same office; with exception for positions of secretary and treasurer, these terms may be extended with majority vote of the membership at the next meeting.

 

Section 8:

 

If any officer or committee chairman fails to satisfactorily perform his duties then such officer or chairman may be removed from office by a two-thirds vote of the Board of Trustees.

 

 

 

ARTICLE VI

DUTIES OF OFFICERS

 

Section 1:

 

The president shall:

 

(a)   Preside at all meetings of the association and the Board of Trustees;

(b)   Be a member ex-officio of all committees;

(c)   Perform all other duties usually pertaining to the office.

 

Section 2:

 

The vice president shall act as aide to the president and shall perform the duties of the president in the absence of that officer.

 

Section 3:

 

The secretary shall keep a correct record of all meetings of the association and of the Board of Trustees and perform such other duties as may be delegated.  At each membership meeting the secretary shall read the minutes of the prior meeting.

 

Section 4:

 

The treasurer shall receive all monies of the association, keep an accurate record of receipts and expenditures, and pay out funds only as authorized by the association.  The treasurer shall present a statement of account at every meeting of the association and at other times when requested by the Board of Trustees, and shall make a full report at the annual meeting (joint old and new board meeting).  The Board of Trustees shall audit the annual report of the treasurer.

 

 

ARTICLE VII

BOARD OF TRUSTEES

 

 

Section 1:

 

The Board of Trustees shall consist of the elective officers, the principal, the chairmen of the standing committees and if available, the immediate-past president.  This board shall transact routine business, act for the association in cases of emergency, and present regular board minutes at regular business meetings of the association for the information of the members.

 

Section 2:

 

Meetings of the Board of Trustees will be held as needed, and special meetings may be called by the president or a majority of the board.  A quorum shall consist of four (4) members.

 

 

ARTICLE VIII

MEETINGS

 

Section 1:

 

There shall be regular meeting of this association held on the dates established by the Board of Trustees.  Special meetings may be called by the Board of Trustees, five (5) days’ notice having been given.  At the annual meeting annual reports shall be received.  The annual meeting shall be the first meeting of the school year.

 

Section 2:

 

The privilege of holding office, making motions and voting shall be limited to dues-paying members of the association.

 

Section 3:

 

Majority of members present shall constitute a quorum for the transaction of business in any meeting of this association.

 

Section 4:

 

PFA meetings are for PFA business.  Any business needs to be presented to the president twenty-four (24) hours prior to the meeting.  Any personal issue with staff, administration or board members should be resolved with those individuals directly.  If escalation occurs, the incident may be brought to the President directly, not in a general meeting.

 

ARTICLE IX

FUNDS OF THE CORPORATION

 

The president and treasurer are authorized to open a bank account(s) for the use of the association at a bank authorized by resolution of the Board of Trustees.  Withdrawals from such account(s) shall only be authorized over the signature of any two (2) of the following:  president, vice president, principal and treasurer.

 

 

ARTICLE X

COMMITTEES

 

There shall be the following standing committees: (a) membership, (b) newsletter, (c) hospitality, and (d) fundraising.  The Board of Trustees will annually appoint the members and chairmen of the standing committees.  The Board of Trustees may appoint any other committees that are necessary to promote the objectives of this association.

 

 

ARTICLE XI

PARLIAMENTARY AUTHORITY

 

The rules contained in Roberts’ Rules of Order Revised shall be used as a guideline to this association in all cases in which they are applicable.

 

ARTICLE XII

AMENDMENTS

 

 

Section 1:

 

These Bylaws may be amended at any regular meeting of the Board of Trustees by a two-thirds (2/3) vote of the members present and voting.  Notice of the proposed amendment shall have been given at the previous meeting.  The proposed amendment shall be subject to approval by a majority of the membership of the association at the next regular meeting.

 

Section 2:

 

A committee may be appointed to submit a revised set of Bylaws as a substitute for the existing Bylaws only by a majority vote at a meeting of the association or by a two-thirds (2/3) vote of the Board of Trustees.  The requirements for adoption of a revised set of Bylaws shall be the same as in the case of an amendment.
