Constitution

Preamble: We the members of the Val Vista Villages Computer Club do organize for the mutual benefit of residents for computer education and for management of the computing resources at Val Vista Villages Resorts Park.

ARTICLE 1 -  NAME
  • Section 1. We shall be known as Val Vista Villages Computer Club, hereinafter referred to as the VVVCC herein.
ARTICLE II - MEMBERSHIP
  • Section 1. Membership shall be open to only residents within the confines of Val Vista Villages Resorts Park (Casitas, Fiesta, Ranchos and Val Vista).
  • Section 2. Annual dues shall be established by the Executive Board on a year-to-year basis and subject to approval by the membership as defined in the By-Laws herein.
ARTICLE III - OFFICERS
  • Section 1. The officers of the VVVCC shall consist of a President, First Vice President, Second Vice President, Third Vice President, Secretary and Treasurer.
ARTICLE IV -  DUTIES OF OFFICERS
  • Section 1. President shall:
    • Preside at business meetings.
    • Be chairperson of the Executive Board.
    • Vote when there is a “tie” among the present directors
    • Call extra meetings, appoint committees not otherwise provided for and fill protem vacancies as specified.
    • Be responsible for the program and arrangements at the general business meetings.
  • Section 2. The First Vice President shall:
    • Perform the duties of the President in his/her absence.
    • Be responsible for Operations (Membership, Volunteers and Computer Club operations)
  • Section 3. The Second Vice President shall:
    • Perform the duties of the First Vice President in his/her absence.
    • Be responsible for the Education, classes and instructors.
  • Section 4. The Third Vice President shall:
    • Perform the duties of the Second Vice President in his/her absence.
    • Be responsible for the Technical Services (Hardware, Software and Coordinating with Cal-Am Technical Support e.g. Myriad Computing)
  • Section 5. The Secretary shall:
    • Keep minutes of all Executive Board and other business meetings.
  • Section 6. The Treasurer shall:
    • Keep an accurate account of all financial transactions of the organization.
    • Be responsible for all funds of the organization and receive and disburse all money subject to the direction of the Executive Board.
    • Make disbursements only by check. A checking account will be set up and no check will be honored by the bank for payment unless signed by the Treasurer, President or Secretary .
    • Maintain all accounts and financial records to meet specifications set by an Auditing Committee selected by the Executive Board.
    • Review the bank statements with the executive board at board meetings.
    • Review the financial records with an officer or club member upon request.
    • Give a Treasurer's report at every meeting.
  • Section 7. The officers shall be collectively responsible for:
    • Overseeing and coordinating the efforts of all Special Interest Groups (SIG).
    • Notifying members of all club meetings via e-mail and other posted documents.
    • Maintaining all required documents of the club.
    • Reviewing the bank statements with the Treasurer at board meetings.
    • Performing such other duties as the offices may require.
ARTICLE V - ELECTION OF OFFICERS
  • Section 1. Offices will be held for a two year period with a maximum of two (2) consecutive terms to an office. A one year absence will make a member eligible for re-election for another term. The offices of President, Second Vice President, Secretary shall be filled by election at the February regular meeting of the “Odd” years. The offices of First Vice President, Third Vice President and Treasurer will be filled the “Even” year. This pattern will be continued for ensuing years. (Note 2008-2009 will be considered an “Even” year. Years run from March 1st through February 28th)
  • Section 2. Nominations for officers of the organization shall be made by a three-person Nominating Committee including the Retired President and two (2) others appointed by the President at the January meeting of every calendar year. They shall solicit replacement Officers via email, posters and other public announcements. They shall present a list of nominees to the organization to be voted upon at the February regular meeting of every calendar year.
  • Section 3. No person is eligible to hold office who is not a dues-paying member of the organization.
  • Section 4. No member is eligible to hold more than one elective office at a time. The length of a term is defined as two years.
  • Section 5. All elections shall be by secret ballot and/or by unanimous voice approval by the members present, if a candidate is running unopposed.
  • Section 6. Office vacancies of the President, First Vice President, Second Vice President, Third Vice President, Secretary and Treasurer must be filled within 30 days of vacancy either by appointment by the board or special election.
ARTICLE VI -  COMMITTEES AND BOARDS
  • Section 1. There shall be an Executive Board, with three major Special Interest Groups (SIG).
  • Section 2. Executive Board:
    • Shall be composed of: the President, First Vice President, Second Vice President, Third Vice President, Secretary, Treasurer, and the immediate Past President.
    • Shall decide on all expenditures, promotion of activities, appointments of committees and the general government of the organization.
    • Shall meet at least once a month, November thru March.
  • Section 3. Special Interest Groups (SIG)
    • The VVVCC SIG’s shall be Operations, Education, and Technical Services Committee.
    • The Operations SIG shall maintain the club membership and monitor the computers and activities during “Open Club Hours”. Perform services of “copying documents, various labels, letters, posters, etc as requested for fees documented in the by-Laws. Register students for classes and collect fees.
    • The Education SIG will provide courses, instructors and classes on various computer related subjects.
    • The Technical Services SIG for maintaining and upgrading hardware and software as needed for general computer use and specific classroom course materials. Provide limited personal computer support for club members during “Open Club “hours.
    • Other committees or sub-committees to the major SIG’s may be formed at any time to carry out the various club activities.
ARTICLE VII - MEETINGS
  • Section 1. Regular meetings shall be determined by the Board and the membership will be notified via email and other posted documents.
  • Section 2. Special meetings may be called at any time as determined by the President.
  • Section 3. All meetings will be conducted in compliance with Roberts Rules of Order. Regular monthly meetings (November through March) should include: Reading of the past meeting by the Secretary, Treasurer’s Report, Reports of SIG VP’s, Old Business and New Business. Special Technical presentations of limited duration may also be included. (Members come to learn new things.)
  • Section 4. Prior to the regular or special meetings of the VVVCC, the programs shall be open to any interested residents of Val Vista Villages Resorts Park and their invited guests.
ARTICLE VIII - AMENDMENTS
  • Section 1. This constitution may be amended by the submission in writing of a proposed amendment at any regular or special meeting of the VVVCC membership. The proposal shall be received and acted upon at the next succeeding regular meeting of the club at which there shall be a quorum present.
  • Section 2. Amendments may be acted upon at the announced meeting or by mail ballot. A 51% majority of the members present at the meeting or responding by printed email or mail ballot shall be required to adopt an amendment.
  • Section 3. Written notice of the meeting shall be given three weeks prior to the meeting at which the amendment is voted upon.
