This Agreement, made and entered on the ______ day of ____________, 20____ extends its effects for the entire period between______ day of ____________, 20____ and ending______ day of ____________, 20____.

This Agreement covers:

• PC hardware installation, troubleshooting, upgrades, repairs, maintenance.

• PC software installation, troubleshooting, upgrades, repairs, maintenance.

• Network installation, troubleshooting, upgrades, repairs, maintenance.

• Consulting and expert witness (case-by-case basis).

   

This Agreement does not cover:

• Design and development of a web site.

• Web site hosting.

• Domain name registrations and renewals.

• PC and mainframe software development fees.

• Product purchases of any kind.

• Subcontractor expenses.
  

• A guarantee of 100% data recovery.

• Improper usage by the user.

Once contracted, Prometheux will act with reasonable diligence and promptness, as well as its best effort. Prometheux will not be held responsible for any damages caused by you the user, or the improper usage of the hardware and or software including but limited to viruses, trojans, bugs, malware, spyware or badware. Prometheux will abide by the client’s decisions including whether or not to purchase new computer parts or to exchange - out old computer parts, and will explain the results and problems the client may have in the future.

Emergency Calls:

We reserve the right to assign priorities to simultaneous emergency calls. An “emergency call” is any instance where your business operations have essentially ceased due to a computer problem. And, the response will and or may take place within three (3) to six (6) hours after the call was received.

Billing and Payments:

Prometheux guarantees four (4) hours of monthly service, including but not limited to computer maintenance, billed at a rate of $_________ per hour (representing a discount of $______ off the actual rate). Any additional time needed will have a rate of $_________ per hour. The services will be provided whenever the client solicits Prometheux, or when Prometheux considers the intervention necessarily due.

Client is billed at time of service for the services provided, and any additional costs made on its behalf. Prometheux will provide the client with an itemized billing statement, detailing the hourly rates, time spent, tasks performed, and costs incurred. 

All telephone support calls are billed at one quarter-hour increments of our stated hourly rate of $_______ per hour. Any sum due to Prometheux must be paid when services are rendered. Prometheux reserves the right to stop providing computer support at any time.
