ARTICLE I Name and Form

Section 1.1 |
This organization shall be known as the Sumter Landing Bicycle Club
|
|
Section 1.2. |
The Sumter Landing Bicycle Club (hereinafter referred to as SLBC) shall be composed of residents of The Villages
|
|
Section 1.3 |
SLBC shall be governed by a Board of Directors and shall be presided over by a President and appropriate assisting officers.
|
|
Section 1.4 |
Any word denoting gender used in these bylaws shall apply equally to either gender as the context may require
. |
|
Section 1.5 |
The fiscal year of SLBC shall run concurrent with the annual calendar year. |
ARTICLE ll Purpose
|
Section 2.1 |
The purpose of this organization is to:
|
|
Section 2.2 |
Promote bicycling for recreation, health, and pleasure, and as a means of transportation for commuting and shopping.
|
|
Section 2.3 |
Promote bicycle touring and arrange bicycle rides to fit varying skills.
|
|
Section 2.4 |
Sponsor bicycle events such as touring rides and family activities.
|
|
Section 2.5 |
Encourage and work for bicyclist education and promote safe bicycling.
|
|
Section 2.6 |
Work to encourage the planning and development of bikeways within The Villages and the surrounding area. |
ARTICLE III Membership
|
Section 3.1 |
Membership is open to but also limited to all residents of The Villages. |
|
|
|
|
Section 3.2 |
There are two classes of membership in the organization; a) individual membership; and b) life membership. |
|
|
|
|
Section 3.3 |
Individual Membership. This is an individual person who has paid his/her dues and assumed the responsibilities of a club member. |
|
Section 3.4 |
Life Membership. Life membership may be bestowed upon any individual member who has made exceptional contributions to the SLBC by a unanimous vote of the organization's Board of Directors. Life members shall pay no dues, but shall, in every respect, be eligible to participate in all club affairs and activities. |
|
|
|
|
Section 3.5 |
All members in good standing shall be able to take part in all activities. All individual members and life members shall be entitled to vote at any club election or vote on other matters pertaining to the club. |
|
|
|
|
Section 3.6 |
Only those members who are in attendance at the general membership meetings when elections are held may vote for officers or vote on other matters pertaining to the club. |
ARTICLE IV Termination of Membership
|
Section 4.1 |
The Board of Directors, by affirmative vote of two thirds of all members of the Board of Directors may suspend or expel a member for just cause after an appropriate hearing. |
|
|
|
|
Section 4.2 |
Upon written request signed by a formally expelled member and filed with any officer, the Board of Directors, by the affirmative vote of two-thirds of the Board, may reinstate said former member to membership upon such terms as the Board of Directors may deem appropriate. |
|
|
|
|
Section 4.3 |
When dues of any member are in arrears later than 90 days after the beginning of the dues year, membership will be terminated automatically and without further notice. |
ARTICLE V Officers

Section 5.1 |
The elected officers of the club shall consist of a President, a Vice President, a Secretary, a Treasurer, and A Ride Coordinator. |
|
|
|
|
Section 5.2 |
The Board of Directors shall appoint two members-at-Large to serve on the Board. The additional appointed Members-at-Large positions will be a Safety Coordinator and a Club Web Site Coordinator. |
|
|
|
|
Section 5.3 |
These elected and appointed officers shall constitute the Board of Directors. |
|
|
|
|
Section 5.4 |
The officers shall serve a term of one (1) year from January 1 of one year through December 31 of that year. |
|
|
|
|
Section 5.5 |
No officer shall hold a position for more than three consecutive years unless there is no other volunteer for the office. |
|
Section 5.6 |
All voluntary resignations from the Board of Directors must be made in writing to the President or the Secretary. |
|
|
|
|
Section 5.7 |
If a vacancy should occur in an office, it shall be filled by appointment of the Board of Directors and shall be effective until the term of office expires. |
|
|
|
|
Section 5.8 |
Four voting Directors shall constitute a quorum for the transaction of business of the Board of Directors. Without a quorum, the only business to be transacted shall be a motion to adjourn. |
ARTICLE VI Duties of Officers

Section 6.1 |
The President shall preside at all meetings of the club and the Board of Directors, and shall be the chief executive officer of the club. |
|
|
|
|
Section 6.1.1 |
The President shall have the right to cast his vote only to break a tie vote at all meetings and all committees of SLBC of which he is an ex-officio member with the exception of the Committee on Nominations and the Rules Committee. |
|
|
|
|
Section 6.2 |
The Vice-President shall act in the absence of the President. |
|
|
|
|
Section 6.2.1 |
The Vice-President shall perform such duties as may be assigned by the Board of Directors |
|
|
|
|
Section 6.3 |
The Secretary shall keep a record of all meetings of the Club and the Board of Directors, conduct correspondence for the club as needed, make copies of the minutes available for all of the members and provide press releases to local newspapers. |
|
|
|
|
Section 6.4 |
The Treasurer shall receive the money due the club and upon order of approval of the Board of Directors, shall pay money on behalf of the club. The Treasurer shall deposit the funds of the club in accordance with instructions received from the Board of Directors. He/She shall prepare an annual financial statement to be presented at the October meeting of the Club. Checks of the club shall be signed either by the President, Vice President, Secretary, or Treasurer. Checks over an amount to be determined by the Board require two signatures. |

|
Section 6.5 |
The Ride Coordinator shall provide a schedule of upcoming local or away club rides, and appoint ride leaders. |
|
|
|
|
Section 6.6 |
Director for Safety shall keep the club informed on all safe bicycling practices. |
|
|
|
|
Section 6.7 |
The Director for web site coordination shall ensure that the club web site is maintained with up-to-date, relevant information and reflects a positive image for the club. |
|
|
|
|
Section 6.8 |
All additional Members at Large and Appointees of the club shall participate in the decisions and operation of the club. |
|
|
|
|
Section 6.9 |
The Board of Directors shall maintain control and management of the affairs of the club. It shall be the duty of the Board to carry out the objectives of the club, and each Director shall be assigned a specific function of the club activities for which he/she will be responsible. |
ARTICLE VII Elections

Section 7.1 |
The Annual Election of Officers shall take place at the November business meeting. Nominations will be presented by the Nominating Committee at the October club meeting. Nominations for officers can also be made by club members at the October meeting from the floor. The member nominated from the floor must be present to accept the nomination. Elected officers shall take office on January 1. |

|
Section 7.2 |
The Nominating Committee is to be appointed by the President, with the approval of the Board of Directors, and shall consist of at least three members in good standing. |
|
|
|
|
Section 7.3 |
A member shall only be eligible for election to the Board of Directors if he/she is nominated by the Nominating Committee or by being nominated from the floor during the election of officers. |
ARTICLE VIII Meetings

Section 8.1 |
General business meetings shall be held monthly at such place and hour as the board of Directors shall designate. Such meetings shall be open to all club members and prospective members. |

|
|
|
Section 8.2 |
A separate Board meeting shall be held quarterly and as needed at such place and hour as the board of Directors shall designate. Such meetings shall be open to all club members as observers. |
|
|
|
|
Section 8.3 |
Special meetings may be called by the Board of Directors or by request of twenty-five percent of the club members. |
|
|
|
|
Section 8.4 |
All questions of parliamentary procedures not covered in this Constitution and By-laws shall be decided according to the latest edition of Roberts' Rules of Order. |
|
|
|
|
Section 8.5 |
Unless otherwise provided by the members or the President, the order of business at all meetings of SLBC shall be:
1. Acceptance of Minutes
2. Reports of Officers
3. Reports of Committees
4. Unfinished Business
5. Elections (only at the annual meeting)
6. New Business
7. Adjournment |
ARTICLE IV Committees

Section 9.1 |
The Board of Directors shall designate standing and special committees that may be necessary for the conduct and care of the club's affairs such as, but not limited to, ride committee and publicity. |
|
|
|
ARTICLE X Dues
|
Section 10.1 |
Dues shall be assessed annually. |
|
|
|
|
Section 10.2 |
The amount and schedule of dues shall be proposed by the board and ratified by a majority vote of the members attending a regularly scheduled meeting. No change shall be made to the annual dues unless notice of proposed change has been included in the call to said meeting and published on the SLBC web site at least 30 days prior to the meeting. A change in the amount of dues shall be made only by a majority vote of members attending a regularly scheduled meeting. |

ARTICLE XI Amendments

Section 11.1 |
These Bylaws may be amended at any regularly scheduled meeting upon two-thirds vote of the members present. Notice of the proposed amendment change must be published a minimum of thirty (30) days previous to voting on the amendment. Publication must be in writing and made available to all members by email and the club web page. |

|
Article XII Miscellaneous
|
Section 12.1 |
Any oral or written correspondence by a member with non SLBC groups or individuals, public or private, which represents any official SLBC policy, or position or which implies that the member is an official representative of SLBC shall have the prior approval of the President or the Board of Directors. |
|
|
|
|
Section 12.2 |
Unless otherwise approved in advance by the Board of Directors, all services performed for SLBC by its members shall be without monetary compensation of any kind. |
