Our
Lady of Grace Booster Club Constitution and By-Laws
(As Adopted On November 12, 2007)
PART A-CONSTITUTION
Preamble
We, the parents, guardians and teachers
of the pupils of Our Lady of Grace School have adopted this
constitution and these constitution and these by-laws for
the purpose of rededication ourselves and this organization
to our tradition of supporting the efforts of the Holy
Catholic Church, the Bishop of the Roman Catholic Diocese of
Charlotte, our Pastor and our Principle “to teach as Jesus
did.”
Article I-Name
The name of this organization shall be
the Our Lady of Grace Booster Club, in the Diocese of
Charlotte, State of North Carolina.
Article II-Objectives
The primary objective of this
organization shall be to give moral, physical, and financial
support to Our Lady of Grace School and athletic programs.
Article III-Respect for Policies
The Booster Club shall respect the
established policies and practices set forth by the Bishop,
the Pastor, the school Principal and members of the faculty.
Article IV-Membership
Membership shall consist of parents,
guardians, the Pastor, and assistant Pastors, which he will
appoint, the Principal, and members of the faculty.
Article V-Officers
Section1. The elected officers shall
be president, the Vice President, the Secretary, and the
Treasurer.
Section 2. These officers shall be
elected at the annual meeting, which shall be the final
meeting of the school year.
Section3. The term of office for
secretary may be longer than one year. The term of
Treasurer shall be one year. The Vice-President Elect shall
serve for two years - one year as Vice–President and one
year for President. Each year a new Vice- President is
elected and the current Vice-president becomes President.
Section 4. If an officer is unable to
fulfill his or her term of office, the remaining Executive
Committee members shall appoint a person to fill that
office.
Article VI-Spiritual Advisor
The Pastor or an assistant Pastor or
other priest appointed by the Pastor shall be the Spiritual
Advisor of the Organization.
Article VII-Meetings
This Organization shall hold at least
three meetings each school year and others deemed necessary
by the Executive Committee. The final meeting of the school
year must include the completion of outstanding business.
Article VIII- Affiliation
The Our Lady of Grace Booster Club
shall be affiliated with the Our Lady of Grace Parish
Council and the Board of Education for the Diocese of
Charlotte. Liaison will also be maintained with the Our
Lady of Grace Transportation Committee and the Parish
Council of any other Parish in the Greensboro area whose
student(s) attends(s) Our Lady of Grace School. This
Organization may affiliate with any other local, regional or
national association/organization approved by the Bishop and
the Pastor.
PART B- BY LAWS
Article I- Officers
Section1. The President shall preside
at the meetings of the Organization and of its Executive
Committee, shall appoint the chairpersons of committees of
the Executive Committee, shall instruct the Treasurer to
make payments of the bills and invoices of the Executive
Committee and shall perform such duties as are incumbent on
this office. The President is an Ex-Officio member of all
committees except the Nominating Committee.
Section 2. The Vice-President, in the
absence of the President, shall perform all the duties of
the President and such duties as are assigned to this
office.
Section 3. The secretary shall keep
the minutes of all organization meetings, meetings of the
Executive Committee and shall discharge such duties as are
incumbent upon this office.
Section 4. The treasurer shall receive
all dues, collect other monies of the organization, pay
bills and invoices only upon the instruction of the
President and shall report and keep accurate account of the
Treasury at all regular business meetings of the
Organization.
Section 5. The President with the
approval of the Committee may appoint other Officers.
Section 6. The Officers shall be
installed at the final meeting.
Article II-Dues
Membership dues in this organization
shall be forty dollars ($35.00) per year per family.
Article III- Executive Committee
Section 1. The Executive
Committee shall consist of the President, Vice-President,
Secretary, Treasurer, the Pastor Ex-Officio, the Principals
Ex-Officio, and Athletic Director. These persons shall have
full responsibility for the Organization’s business affairs,
including the approval of committee appointments, review
committee reports, planning organization activities and
budgets and other appropriate administrative details.
Section 2. The Executive
Committee shall maintain an up-to-date description of the
duties and responsibilities of Organization Officers,
committees and committee heads, in a manner not inconsistent
with this constitution and By Laws for the purpose of
continuing the traditions of this organization.
Section 3. Actions taken by the
Executive Committee are review able on a two- thirds vote,
of the members present at a regular meeting.
The President and the Executive
Committee are required to obtain approval from the majority
of members present at a regular business meeting for
expenditures of three hundred ($300.00) or more. Any
expenditure of $500.00 and over must have the Pastor
Ex-Officio, the Athletic Director, and Booster club
President signatures. Quarterly budget reports on financial
position must be provided to the Principal. Fund-raising
money will be reflected as a separate line item in the
schools overall budget. There will be a quarterly budget
report from the athletic budget that shows where the money
has been distributed. This will be part of the Principal’s
report to the school board of education each month.
Section 5. The President and Executive
Committee shall meet during the summer following their
installation in office to prepare for the coming school
year.
Article IV-Meetings
The Executive Committee shall hold the
regular business meetings of this organization at least
three times a year or more a deemed necessary. These
meetings will be scheduled at the beginning of the school
year.
Article V- Committees
Section 1. The standing committees
shall be Director and volunteer committee.
Section 2. The President with the
approval of the Executive Committee may appoint special
committees in keeping with the organization’s objectives.
Section 3. The chairperson of the
standing and special committees shall report their findings
and recommendations to the Executive Committee and, if
approved, report them to the general membership at the
regular business meetings.
Article VI- Nominations and Elections
Section 1. The members of the
Nominating Committee having been appointed by the Executive
Committee shall be announced by the Vice-President at the
regular business meeting prior to the final meeting. This
committee shall consist of no less that four members with
the Vice-President acting as chairperson.
Section 2. The Nominating Committee
shall give its report at the final meeting, presenting the
name of at least one candidate for each office. Nomination
may also be offered from the floor.
Section 3. Officers shall be elected
at the final meeting by a majority of qualified members
present and voting.
Article VII- Rules of Order
All meetings of the Organization shall
be conducted according to Robert’s Rules of Order, revised
when not inconsistent with this Constitution and By Laws.
Article VIII- Quorum
Section 1. A Quorum of the
Organization shall consist of one-fifth members
Section 2. A Quorum of the Executive
Committee shall be a majority of the members of that
committee.
Article IX-Amendments
These By Laws may be amended at any
regular business meeting of the Organization by a two-thirds
vote of the numbers present, provided notice has been given
in writing at least one week prior to the next regular
business meeting of the Organization.
Article X- Adoption
This Constitution and these By Laws shall be adopted by a
two- thirds vote of the members present at a regular
business meeting, and the vote adoption shall be duly
recorded by the Secretary in the minutes of the
Organization. The act of adoption shall be confirmed by
having the officers and members present at such meeting
placing their signatures on this constitution and By Laws
this __________________________.
