Bylaws of GBeCS Parents Group

 

ARTICLE I: NAME, DESCRIPTION, & PURPOSE

Section 1: Name- The name of the organization shall be GBeCS Parents Group. The GBeCS Parents Group address is c/o Great Bay eLearning Charter School, 30 Linden St., Exeter, NH.

 

Section 2: Description-The GBeCS Parents Group is organized exclusively for charitable, religious, educational, and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under 501(c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code. The specific purpose is to improve students’ learning conditions at Great Bay eLearning Charter School. No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to its members, trustees, officers or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of section 501(c)(3) purposes. No substantial part of the activities of the corporation shall be carrying on of propaganda, and the corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office.

 

Section 3: Purpose- The Great Bay eLearning Charter School Parents Group is committed to supporting school staff, promoting family involvement, developing and organizing activities that build community, engaging students in activities that will enrich their social and educational opportunities and empowering students to foster a sense responsibility as valued members of their school and larger community.

 

ARTICLE II: MEMBERSHIP:

 

Section 1: Membership- Membership is open to all GBeCS students, alumni, parents or legal guardians of GBeCS students or alumni. There shall be no dues for the GBeCS Parents Group. Each parent or legal guardian shall be entitled to one vote. Three (3) student representatives designated by GBeCS student senate shall have one vote each.

 

 

Article III OFFICERS AND ELECTIONS

 

Section 1: Executive Board- The Executive Board shall be a President, Vice President, Treasurer, Secretary and Assistant Secretary who shall be chosen from among those who are members in good standing of the organization. The Executive Board may make decisions on an ad hoc basis between meetings.

 

Section 2: Term of Office These offices shall be held for one year. Officers shall be restricted to two consecutive terms in the office served.

 

Section 3: Qualifications- Any non-student 18 years old or over GBeCS Parents Group member in good standing, other than disqualified persons, may become an officer of the GBeCS Parents Group.

3 a: Disqualified Persons shall include two members of any one family, GBeCS administrators, and any others who would be considered “disqualified persons” as defined by applicable Internal Revenue Code.

 

Section 4: Vacancies- Any vacancy may be filled by a majority vote of the Executive Board. The newly appointed officer would serve for the current remainder of the term.

 

Section 5— Nominations & Elections- Nominations will be made from the floor. Voting shall be by voice vote if only one candidate is presented. If more than one person is running for an office, a ballot vote shall be taken. Nominations shall be made at the April meeting. Elections shall be held in May. Officers shall assume their duties on July 1.

 

Section 6: Duties

 

Executive Board: Develop the GBeCS Parents Group's annual budget, establish and oversee committees to conduct the work of the GBeCS Parents Group, establish fundraising programs, and approve by majority vote of the Board unbudgeted expenditures greater than $100.

 

President: The President shall prepare the agenda and preside over meetings of the organization and executive board, serve as the primary contact for the principal, represent the organization at meetings outside the organization, serve as an ex officio member of all committees, retain the official records of the organization, and shall perform all other duties as needed.

Vice President: The Vice President shall assist the president and carry out the president's duties in his or her absence or inability to serve and other such duties as needed.

 

Secretary: The Secretary shall keep a complete record of the proceedings of all meetings and prepare the minutes for approval, and shall perform other such duties as needed.

 

Assistant Secretary: The Assistant Secretary shall send out all written or electronic correspondence and shall perform other such duties as needed.

 

Treasurer: The Treasurer shall pay all bills and accounts against the organization. The Treasurer is responsible for financial integrity, monthly report of income and expense and year-end reporting of income, expenditures and remaining balance, and shall perform all other duties as needed.

 

Section 7: Board Meetings- The Executive Board shall meet monthly during the school year, or at the discretion of the President.

 

Section 8: Removal- An officer can be removed from office for failure to fulfill his/her duties, after reasonable notice, by a majority vote of the Executive Board.

 

ARTICLE IV: MEETINGS

 

Section 1: General Meetings- General GBeCS Parents Group meetings shall be held to conduct the business of the GBeCS Parents Group. Meetings shall be held monthly during the school year. Meetings shall be held weekly throughout May and until one week following the end of the school year.

 

Section 2: Special Meetings- Special meetings may be called by any two board members, with 24 hours notice.

 

Section 3: Voting- Each parent member, and each of the (3) Student Council Representatives, in attendance at a GBeCS Parents Group meeting, is eligible to vote. Absentee and proxy votes are not allowed.

 

Section 4: Quorum- Half the number of Executive Board members plus one constitutes a quorum.

ARTICLE V: COMMITTEES

 

Section 1: Membership. Committees may consist of members and Board members, with the Coordinator acting as an ex officio member of all committees.

 

Section 2: Standing Committees. The following are committees that shall be held by the organization: Prom, Senior Reception. In the absence of sufficient membership the needed work will be delegated at the regular meeting.

 

Section 3: Additional Committees. The Board may appoint additional committees as needed.

 

ARTICLE VI: FINANCIAL POLICIES

 

Section 1: Fiscal Year- The fiscal year of the GBeCS Parents Group begins July 1 and ends June 30 of the following year.

 

Section 2: Banking- All funds shall be kept in a checking account in the name of GBeCS Parents Group, requiring two signatures of the Executive Board and held at a local financial institution.

 

Section 3: Account Access- The organization will keep bank accounts such that all officers will have on-line access to review the information. The President and Vice President will maintain the two debit cards to the account to be used for local and online purchasing as needed.

 

Section 4: Reporting- All financial activity shall be recorded in a computer-based/ manual accounting system. The Treasurer shall reconcile the account(s) monthly and report all financial activity monthly.

 

Section 5: Ending Balance- The organization shall leave a minimum of $500 in the treasury at the end of each fiscal year. Necessary and/or capital purchases may be made at the end of the fiscal year in accordance with bylaws. "Spend downs" are not allowed.

 

 

 

ARTICLE VII: BYLAWS AMENDMENTS

Amendments to the bylaws may be proposed by any GBeCS Parents Group member. Amendments presented at a GBeCS Parents Group meeting shall be considered for voting at a subsequent meeting. Simple majority approval of all members present and voting is required to adopt an amendment to the bylaws.

 

ARTICLE VIII: DISSOLUTION

The provisions for disposition of the corporate assets in the event of dissolution of the corporation including the prioritization of rights of shareholders and members to corporate assets are: Upon dissolution of the Corporation, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not disposed of shall be disposed of by a Court of Competent Jurisdiction of the County in which the principal office of the Corporation is then located, exclusively for such purposes or to such organizations, as said Court shall determine, which are organized and operated exclusively for such purposes. Notwithstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from Federal income tax under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or (b) by a corporation, contributions to which are deductible under section 170 (c)(2) of the Internal Revenue Code, or the corresponding section of any future federal tax code.

 

ARTICLE IX: PARLIAMENTARY AUTHORITY

 

The authority for this organization shall be Democratic Rule of Order.
