PLEASE TAKE NOTICE that on October 13, 2011, Aureon Biosciences, Inc. (f/k/a Aureon Laboratories) (“Aureon” or the “Company”), a Delaware corporation, as assignor, made a General Assignment for the Benefit of Creditors (the “Assignment”) to Aureon (assignment for the benefit of the creditors), LLC (“Assignee”), a California limited liability company, as assignee, pursuant to Delaware Law.  An Assignment is an insolvency proceeding whereby the assets of a company are transferred in trust to an assignee who has the fiduciary obligation to monetize them and wind down the Company.  Please note that with the exception of the relationship created by the Assignment, Assignor and Assignee have no corporate affiliation to each other.
